Comitês de gestão
Created by CCR in 2002, the six Management
Committees have no executive functions, but,
rather a technical and consulting nature, in
order facilitate and bring greater efficiency to the
decisions made by the Board of Administration.
Organized in six areas – Auditing, Strategy,
Finance, Governance, New Business, and Human
Resources – they are formed by independent
members and representatives of the controlling
shareholders, and can even have the participation
of Company executives.
Criados pela CCR em 2002, os seis Comitês de Gestão não têm funções
executivas, mas um caráter técnico e consultivo, para conferir mais
agilidade e eficiência às decisões tomadas pelo Conselho de Administração.
Organizados em seis áreas – Auditoria, Estratégia, Finanças,
Governança, Novos Negócios e Recursos Humanos –, são formados
por conselheiros independentes e representantes dos acionistas controladores
e podem contar com a eventual participação de executivos
da Companhia.

Protection mechanisms
CCR established internal protection mechanisms
for services involving interested parties, so as to
avoid eventual conflicts in contracts between the
concessionaires and controlling shareholders.
All of the contracts that are for more than R$
1 million and any other agreements signed
with third parties and that are for more than
R$ 5 million must be approved by the Board
of Administration.
Any member of the Board can also request, in
good time, the preparation of an independent
evaluation by a specialized consulting firm
that will review the terms and conditions of
the proposed contract and its appropriateness,
in terms of market conditions and practices.
In the case of doubts, the contracts with the
parties involved may be vetoed by 25% of the
members of the Board.
Mecanismos de proteção
A CCR estabeleceu mecanismos de proteção internos para serviços
que envolvam as partes interessadas, de forma a evitar eventuais conflitos
em contratações envolvendo as concessionárias e os acionistas
controladores. Todos os contratos estabelecidos que superem o valor
de R$ 1 milhão e quaisquer outros acordos firmados com terceiros e
que ultrapassem R$ 5 milhões têm de ser aprovados pelo Conselho de
Administração.
Qualquer membro do Conselho também pode solicitar, previamente e
em tempo hábil, a elaboração de uma avaliação independente, realizada
por uma consultoria especializada, que revisará os termos e as condições
da proposta de contratação e a sua adequação às condições e às práticas
de mercado. Em caso de dúvida, os contratos com as partes envolvidas
poderão ser vetados por 25% dos membros do Conselho.
