People who apply transaction cost reasoning to understand the reasons why real
organizations emerge have too often gone to the other extreme, finding transaction
cost explanations for almost any organizational arrangement that appears. They
frequently ignore or do not analyse systematically, the possibility that there may be
market power motivations or market power consequences for these organizational
arrangements as well [...].

ilustrar tais argumentos.
AZEVEDO (1996, p. 21, nota de rodapé 13), no entanto, detecta a discordância de
Williamson a respeito: "[...] Williamson (1995) [...] vê na Organização Industrial um
campo fértil de aplicação da ECT [Economia dos Custos de Transação] sem, no entanto, se
restringir a ela". Ao que parece, Williamson admite inserir a discussão da eficiência onde
antes se discutia poder, mas não o contrário, ao comentar (1991b, p. 276 - grifos no
original) que "economizing is more fundamental than strategizing - or, put differently, that
economy is the best strategy". Ou como o próprio Azevedo comenta sobre a NEI em geral
(idem, p. 76): "[...] NEI e poder permaneceram como óleo e água".
