Janet KNOEDLER (1995) constrói, sobre os argumentos <strong>de</strong> Thorstein Veblen, uma<br />
crítica centrada na "simplicida<strong>de</strong>" do conceito e do objetivo das transações utilizados na<br />
TCT por Williamson. Para KNOEDLER (i<strong>de</strong>m, p. 388), os objetivos das transações <strong>em</strong><br />
Veblen (que partilham do conceito <strong>de</strong> Commons, já referido há pouco) são mais realistas, e<br />
não se resum<strong>em</strong> à coor<strong>de</strong>nar a produção por critérios <strong>de</strong> otimização <strong>em</strong> eficiência, <strong>em</strong>bora<br />
não sejam eles completamente irrelevantes: "In Veblen's view, business persons may seek<br />
not only to coordinate production, but at times to disturb it." 169 Os objetivos das firmas não<br />
estão confinados aos ganhos realizáveis com maior eficiência na produção e/ou sua<br />
coor<strong>de</strong>nação, mas resi<strong>de</strong>m sim num espectro b<strong>em</strong> mais amplo que é o <strong>de</strong> ganhos<br />
pecuniários, quer envolvam diretamente ou não a produção (e os critérios <strong>de</strong> eficiência<br />
para realizá-la a mais baixos custos), uma vez reconhecida a natureza monetária da<br />
economia capitalista. 170 Se as possibilida<strong>de</strong>s <strong>de</strong> tais ganhos se dão num ambiente <strong>de</strong><br />
competição, é preciso observar que as firmas não <strong>de</strong>cidirão sobre a integração ou não <strong>de</strong><br />
ativida<strong>de</strong>s apenas com base <strong>em</strong> informações <strong>de</strong> seus custos e <strong>em</strong> um dado momento do<br />
t<strong>em</strong>po. Deverão sim agir estrategicamente para obter ganhos pecuniários colocando-se à<br />
frente <strong>de</strong> seus rivais e procurando sustentar-se <strong>em</strong> tal posição, ou se possível (ou necessá-<br />
rio) colocando-os <strong>em</strong> situações "insolventes ou insalubres", ou mesmo "sabotando" a<br />
eficiência industrial, consi<strong>de</strong>rando s<strong>em</strong>pre as transações futuras, uma vez cientes <strong>de</strong> que<br />
processos <strong>de</strong> seleção "artificial" são possíveis. Seguindo o argumento <strong>de</strong> KNOEDLER<br />
(i<strong>de</strong>m, p. 388-9 - grifo e acréscimos entre parênteses no original), t<strong>em</strong>os:<br />
Given Veblen's insight, it is by no means obvious that consolidation [integração]<br />
will simply eliminate costly transactions; in fact, Veblen argued that, quite often,<br />
consolidation was aimed at obtaining only t<strong>em</strong>porary control of a given block of<br />
industrial plant - [...] that have strategic importance - 'as a basis for further<br />
transactions out of which gain is expected' (Veblen, 1932, p. 21). Consolidation, in<br />
such cases, does not reduce transaction costs nor do these transactions tend toward<br />
more effective coordination. Being both 'transient and factitious', the purpose is 'not<br />
to (maintain) the permanent efficiency of the industrial equipment, but to<br />
