(een besloten vennootschap met beperkte aansprakelijkheid opgericht naar Nederlands recht, statutair gevestigd te
‘s-Hertogenbosch, Nederland) (“Aedificium Retail” of de “Uitgevende Instelling”)
Dit Prospectus wordt gepubliceerd in verband met de aanbieding en uitgifte van 189 Aedificium Retail Obligaties van EUR
25.000,- per stuk (exclusief 3% emissiekosten) (de “Obligaties”) door Aedificium Retail.
Aedificium Retail has not taken any action to permit a public offering of the Bonds (de Obligaties) in any jurisdiction
outside the Netherlands. The distribution of the Prospectus and the offer and sale of the Bonds in certain jurisdictions may
be restricted by law. The Prospectus does not constitute a sale, an offer to sell or a solicitation of an offer to buy any Bonds
in any jurisdiction in which such sale, offer or solicitation would be unlawful or to any person to whom it its unlawful
to make such offer in such jurisdiction. Accordingly, the Bonds may not be offered or sold, directly or indirectly, and the
Prospectus may not be distributed in any jurisdiction, except in accordance with the legal requirements applicable in such
jurisdiction. The Bonds have not been and will not be registered under the United States Securities Act of 1933, as amended
and may not be offered, granted, issued, sold, taken up, delivered, renounced, or transferred in or into the United States. The
Prospectus is published in Dutch language only.
Het investeren en handelen in de Obligaties brengt bepaalde risico’s mee. In het hoofdstuk 2 “Risicofactoren” worden deze
risico’s besproken.
Dit Prospectus kwalificeert als een prospectus in de zin van de Prospectusrichtlijn (Richtlijn 2003/71/EG) en is opgesteld in
overeenstemming met hoofdstuk 5.1 van de Wet op het financieel toezicht (“Wft”).
Dit Prospectus is goedgekeurd door de Stichting Autoriteit Financiële Markten (“AFM”) op 30 mei 2011.
