unsuccessful, due to a number of factors. As a result of the <strong>in</strong>efficacy of judicial management<br />

the new rescue procedure c<strong>om</strong>es under <strong>in</strong><strong>te</strong>nse scrut<strong>in</strong>y. The key role player <strong>in</strong> the bus<strong>in</strong>ess<br />

rescue procedure is the person on wh<strong>om</strong> the duty to rescue the c<strong>om</strong>pany rests, namely the<br />

bus<strong>in</strong>ess rescue practitioner.<br />

This article is aimed at evaluat<strong>in</strong>g the provisions perta<strong>in</strong><strong>in</strong>g to the qualifications of the rescue<br />

practitioner conta<strong>in</strong>ed <strong>in</strong> the 2008 C<strong>om</strong>panies Act <strong>in</strong> order to ascerta<strong>in</strong> whether the new<br />

provisions constitu<strong>te</strong> improvements or not. This is done by c<strong>om</strong>par<strong>in</strong>g the current provisions<br />

with the provisions conta<strong>in</strong>ed <strong>in</strong> the previous C<strong>om</strong>panies Act and the <strong>in</strong><strong>te</strong>rnational guidel<strong>in</strong>es<br />

provided for <strong>in</strong> the Uni<strong>te</strong>d Nations C<strong>om</strong>mission on In<strong>te</strong>rnational Trade Law's (UNCITRAL)<br />

Legislative guide on <strong>in</strong>solvency law. A c<strong>om</strong>parison is made of the qualifications, knowledge,<br />

experience and personal qualities of the judicial manager and the bus<strong>in</strong>ess rescue practitioner.<br />

It is clear fr<strong>om</strong> the c<strong>om</strong>parative study that the previous act did not place an emphasis on the<br />

qualifications of the rescue practitioner <strong>in</strong> that, for example, it permit<strong>te</strong>d liquidators to be<br />

appo<strong>in</strong><strong>te</strong>d as judicial managers. Furthermore, the 1973 act failed to stipula<strong>te</strong> the qualification<br />

requirements that judicial managers needed to adhere to. The act of 2008 does, however,<br />

provide qualification requirements for practitioners. Accord<strong>in</strong>g to the 2008 C<strong>om</strong>panies Act a<br />

bus<strong>in</strong>ess rescue practitioner should be a member of the law, account<strong>in</strong>g or bus<strong>in</strong>ess<br />

management profession. The regulations to the act furthermore stipula<strong>te</strong> that a practitioner<br />

should have experience <strong>in</strong> "turnaround practice". Therefore a liquidator should not be able to<br />

qualify.<br />

The 2008 act places more emphasis on the experience of the bus<strong>in</strong>ess rescue practitioner than<br />

its predecessor. Practitioners are therefore divided <strong>in</strong>to three ca<strong>te</strong>gories: senior practitioners,<br />

experienced practitioners and junior practitioners. For large and sta<strong>te</strong>-owned c<strong>om</strong>panies only<br />

senior practitioners may be appo<strong>in</strong><strong>te</strong>d. For medium c<strong>om</strong>panies senior and experienced<br />

practitioners may be appo<strong>in</strong><strong>te</strong>d, but not junior practitioners; etce<strong>te</strong>ra. This clearly <strong>in</strong>dica<strong>te</strong>s<br />

that the legislature wan<strong>te</strong>d to make sure that only the most experienced practitioners be<br />

appo<strong>in</strong><strong>te</strong>d <strong>in</strong> the larger and more difficult rescue situations <strong>in</strong> order to optimise the chances of<br />

a successful rescue of the c<strong>om</strong>pany.<br />

Although the 1973 act made no mention of the personal attribu<strong>te</strong>s of a practitioner, the 2008<br />

act refers to qui<strong>te</strong> a few. Under the 2008 act bus<strong>in</strong>ess rescue practitioners have to be<br />

<strong>in</strong>dependent, objective and of good charac<strong>te</strong>r. A licence can be issued to a practitioner only<br />

once the C<strong>om</strong>panies and In<strong>te</strong>llectual Property C<strong>om</strong>mission (CIPC) is also satisfied that the<br />

practitioner has <strong>in</strong><strong>te</strong>grity. The provisions regard<strong>in</strong>g personal attribu<strong>te</strong>s also <strong>in</strong>corpora<strong>te</strong><br />

provisions aga<strong>in</strong>st possible conflicts of <strong>in</strong><strong>te</strong>rest which may arise dur<strong>in</strong>g the course of the<br />

practitioner’s appo<strong>in</strong>tment.<br />

Clearly very few people <strong>in</strong> South Africa qualify to be bus<strong>in</strong>ess rescue practitioners. At<strong>te</strong>ntion<br />

should be given to the tra<strong>in</strong><strong>in</strong>g of people <strong>in</strong> order to crea<strong>te</strong> a bigger pool of qualified<br />

practitioners.<br />

It therefore seems that the new provisions conta<strong>in</strong>ed <strong>in</strong> the 2008 act truly constitu<strong>te</strong> a big<br />

improvement.<br />
