Hier bo is aangetoon dat <strong>die</strong> <strong>om</strong>skryw<strong>in</strong>g van “vervreem” <strong>in</strong> <strong>hier</strong><strong>die</strong> Wet ook skenk<strong>in</strong>gs<br />

<strong>in</strong>sluit, en regspraak oor <strong>hier</strong><strong>die</strong> artikel rakende <strong>die</strong> <strong>om</strong>skryw<strong>in</strong>g van <strong>die</strong> koopsaak is dus ook<br />

vir skenk<strong>in</strong>gs relevant. Die volgende algemene riglyne oor <strong>die</strong> <strong>om</strong>skryw<strong>in</strong>g van ’n koopsaak<br />

kan aan <strong>die</strong> hand van Clements v Simpson 49 vasges<strong>te</strong>l word: ’n Absoluut akkura<strong>te</strong> beskryw<strong>in</strong>g<br />

van <strong>die</strong> saak is nie ’n vereis<strong>te</strong> nie, en solank <strong>die</strong> saak tot sekerheid herlei kan word, is dit<br />

vanself seker (’n vry vertal<strong>in</strong>g <strong>die</strong> beg<strong>in</strong>sel van certum est quod certum reddi po<strong>te</strong>st). In<br />

<strong>hier</strong><strong>die</strong> verband merk hoofreg<strong>te</strong>r Wa<strong>te</strong>rmeyer <strong>in</strong> Van Wyk v Rottcher’s Saw Mills (Pty) Ltd 50<br />

oor ’n voorganger van <strong>die</strong> huidige artikel 2(1) op:<br />

Clearly, if sec. 30 be construed so as to require a writ<strong>te</strong>n contract of sale to conta<strong>in</strong>,<br />

under pa<strong>in</strong> of nullity, a faultless description of the property sold couched <strong>in</strong><br />

meticulously accura<strong>te</strong> <strong>te</strong>rms, then such a construction would merely be an<br />

encouragement to a dishonest purchaser to escape fr<strong>om</strong> his barga<strong>in</strong> on a <strong>te</strong>chnical<br />

defect <strong>in</strong> the description of the property, even <strong>in</strong> cases where there was no dispu<strong>te</strong> at<br />

all between the parties. Such construction would be an encouragement to dishonesty<br />

and cause loss of revenue to the Sta<strong>te</strong>, and it should be avoided if possible.<br />

In Headermans (Vryburg) (Pty) Ltd v P<strong>in</strong>g Bai 51 is <strong>die</strong> volgende aanhal<strong>in</strong>g uit <strong>die</strong> Van Wyksaak<br />

dan ook as <strong>die</strong> korrek<strong>te</strong> benader<strong>in</strong>g (“true approach”) beskryf:<br />

There must, of course, be set out <strong>in</strong> the writ<strong>te</strong>n contract the essential elements of the<br />

contract. One of such essential elements is a description of the property sold and,<br />

provided it is described <strong>in</strong> such a way that it can be identified by apply<strong>in</strong>g the<br />

ord<strong>in</strong>ary rules for the construction of contracts and admitt<strong>in</strong>g such evidence to<br />

<strong>in</strong><strong>te</strong>rpret the contract as is admissible under the parol evidence rule … the provisions<br />

of the law are satisfied.<br />

Voorgaande be<strong>te</strong>ken nie dat <strong>die</strong> hof ’n kontrak vir <strong>die</strong> partye sal ops<strong>te</strong>l <strong>in</strong><strong>die</strong>n hul bedoel<strong>in</strong>g<br />

nie met ’n redelike ma<strong>te</strong> van sekerheid vasges<strong>te</strong>l kan word nie, maar soos reg<strong>te</strong>r Colman <strong>in</strong><br />

Burroughs Mach<strong>in</strong>es Ltd v Chenile Corporation of SA (Pty) Ltd 52 aandui:<br />

<strong>in</strong>elegance, clumsy dr<strong>af</strong>tsmanship or loose use of language <strong>in</strong> a c<strong>om</strong>mercial document<br />

purport<strong>in</strong>g to be a contract, will not impair its validity as long as one can f<strong>in</strong>d there<strong>in</strong>,<br />

with reasonable certa<strong>in</strong>ty, the <strong>te</strong>rms necessary to constitu<strong>te</strong> a valid contract.<br />

Volgens <strong>die</strong> Clements-saak is <strong>die</strong> toets of <strong>die</strong> eiend<strong>om</strong> slegs uit hoofde van <strong>die</strong> koopkontrak<br />

self behoorlik geïdentifiseer kan word sonder dat ekstr<strong>in</strong>sieke getuienis aangevoer moet word<br />

oor <strong>die</strong> partye se onderhandel<strong>in</strong>ge of wilsooreens<strong>te</strong>mm<strong>in</strong>g.<br />

Dit is opvallend dat daar nie <strong>in</strong> een van bogemelde besliss<strong>in</strong>gs meld<strong>in</strong>g gemaak word van <strong>die</strong><br />

bestaan van beswar<strong>in</strong>gs op <strong>die</strong> koopsaak, soos ’n verband, wat openbaar moet word nie.<br />

Voorts het <strong>die</strong> besliss<strong>in</strong>g van <strong>die</strong> hoogs<strong>te</strong> hof van appèl waarop <strong>in</strong> Scholtz ges<strong>te</strong>un is as gesag<br />

vir <strong>die</strong> doels<strong>te</strong>ll<strong>in</strong>gs van <strong>die</strong> Wet op Vervreemd<strong>in</strong>g van Grond, naamlik Stalwo, e<strong>in</strong>tlik niks <strong>te</strong><br />

doen gehad met <strong>die</strong> regsvraag <strong>te</strong>r sprake nie en bloot bevestig wat <strong>te</strong>en <strong>hier</strong><strong>die</strong> tyd algemeen<br />

oor <strong>die</strong> doel van artikel 2(1) bekend is. Stalwo het naamlik gehandel oor opskor<strong>te</strong>nde<br />

voorwaardes, onderverdel<strong>in</strong>g van landbougrond en <strong>die</strong> betal<strong>in</strong>g van<br />

eiend<strong>om</strong>sagen<strong>te</strong>k<strong>om</strong>missie. Meer nog, juis oor <strong>die</strong> vraag wat as essensiële of wesenlike<br />
