GENERAL TERMS OF SALE
CONDIZIONI GENERALI DI VENDITA
1 TERMS OF CONTRACT
1.1 The supplies of goods made by our Company (hereinafter called
as supplier), are regulated by the present General Terms of Sale,
unless derogation in a written way. The general terms shall
regulate every relationship of supply between the supplier and
the buyer until the following expressed change of the terms and
will be valid since the terms are signed.
2 ORDERS
2.1 The buyer shall carry out orders of goods in a written way and
shall transmitt them to the supplier’s address by fax or mail
message. By formulating and confirming orders the parts join,
for acceptance, the present general terms of sale.
3 DELIVERY
3.1 The seller has the right to change the supply delivery term as
indicated in the order.
3.2 The non-observance of delivery term as specified at point 3.1,
does not imply any type of right in favour of the buyer. He will not
be able to stop payment for other supplies ordered previously.
3.3 Partial or shared delivery is allowed only if previously agreed
between parts.
3.4 The supplier, after 10 days from the delivery term agreed or from
the notice sent to the buyer that the supply is ready, is authorized
to send the goods, in case the buyer does not withdraw the
goods, through carrier. In any case, the main storage expenses,
for the period after term expiry and the notice to withdraw, will
be charged to the buyer account.
3.5 The supplier reserves the right to stop supplying in case of
previous supply are not paid. This can happen on the supplier’s
opinion also in case of changing the statement of assetts and
liabilities of the buyer, as laid down in Art. 1461 C.C.
4 PRICES
4.1 Prices are free of value-added taxes.
4.2 Prices are always referred without trasportation and packaging.
Packing and transport charges are therefore at the expenses of
the buyer calculated each time between the parties.
4.3 In case of delay in payment, the moratory interests will be
calculated in the measure of discount rate valid at the payment
term expiry increased by three points.
4.4 Goods supplied remain of supplier’s property until the integral
payment of the price is made according to the modalities above
indicated.
5. GUARENTEES
5.1 The supplier guarantees the comformity and the professional
production of the goods supplied according to the specific
working techniques. The seller will be able to apply technical
changes to the goods by communicating it previously to the
buyer.
5.2 The supplier guarantees the supply in conformity to the art.1490
and foll. of C.C.
5.3 However, in departure from the art.1495 C.C., the buyer has the
right to denounce the defects found out in the goods within
eight days from the delivery of the goods through a written
notice to be addressed to the supplier.
6 APPLICABLE LAW
6.1 Every supply contract, apart from the present general terms of
sale, is submitted to the Italian law.
7 esclusive Forum
7.1 The Roman Forum is responsable for the resolution of the
present agreement and for any despute.
1 CONDIZIONI CONTRATTUALI
1.1 Le forniture di prodotti effettuate dalla nostra Società di seguito
denominata fornitore, sono regolate dalle presenti Condizioni
Generali di Vendita, salvo espressa deroga risultante per iscritto.
Tali condizioni generali regoleranno tutti i rapporti di fornitura tra
il fornitore e l’acquirente fino a successiva espressa modifica delle
stesse e saranno valide dalla sottoscrizione delle stesse.
2 ORDINI
2.1 Gli ordini del materiale devono essere formulati dall’acquirente
in forma scritta e devono essere fatti pervenire presso la sede del
fornitore o dell’ agente di vendita dello stesso anche mediante
inoltro telefax, via telematica (computer). Con gli ordini e le conferme
d’ordini le parti aderiscono per accettazione alle presenti condizioni
generali di vendita
3 CONSEGNE
3.1 Il fornitore ha facoltà di modificare il termine di consegna di fornitura
rispetto a quello indicato nell’ordine.
3.2 Il mancato rispetto del termine della consegna come specificato
al punto 3.1., non comporta nessun tipo di diritto a favore
dell’acquirente il quale non potrà sospendere il pagamento di altre
forniture od ordini precedenti.
3.3 Consegne parziali o ripartite sono permesse solo se preventivamente
concordate tra le parti
3.4 Il fornitore, trascorsi 10 giorni dal termine pattuito di consegna o
dall’avviso inviato all’acquirente di predisposizione della fornitura, è
autorizzato a spedire la merce, in caso di ritiro della stessa da parte
dell’acquirente, a mezzo vettore. In ogni caso i maggiori oneri di
deposito, per il periodo successivo alla scadenza ed all’avviso di ritiro
sono a carico dell’acquirente
3.5 Il fornitore si riserva il diritto di sospendere l’esecuzione della fornitura
in caso di mancato pagamento delle precedenti forniture. La
sospensione può avvenire a giudizio del fornitore anche in caso di
mutamento delle condizioni patrimoniali dell’acquirente, a norma
dell’art. 1461 C.C.
4 PREZZO
4.1 I prezzi indicati si intendono esclusi imposta I.V.A.
4.2 I prezzi si intendono sempre esclusi di trasporto ed imballo. Le spese
di trasporto ed imballo saranno di volta concordate dall’acquirente
con il fornitore e/o l’agente di vendita del fornitore
4.3 In caso si ritardato pagamento decorrono gli interessi moratori
nella misura del tasso di sconto vigente alla scadenza del termine di
pagamento maggiorato di tre punti.
4.4 I prodotti forniti restano di proprietà del fornitore fino al pagamento
integrale del prezzo secondo le modalità sopra indicate.
5 GARANZIE
5.1 Il fornitore garantisce la conformità e la realizzazione a regola
d’arte del materiale fornito secondo le proprie specifiche tecniche
di lavorazione. Il fornitore potrà apportare modifiche tecniche ai
prodotti comunicandole preventivamente all’acquirente.
5.2 Il fornitore garantisce la fornitura ai sensi degli art. 1490 e segg. C.C.
5.3 Tuttavia in deroga all’art.1495C.C., l’acquirente è tenuto a denunziare
i vizi rilevati del materiale entro otto giorni dalla consegna dello
stesso mediante comunicazione scritta da inviare presso la sede del
fornitore.
6. LEGGE APPLICABILE
6.1 Ogni contratto di fornitura oltre alle presenti condizioni generali di
contratto è sottoposto alla legge Italiana
7 Foro esclusivo
7.1 Per la risoluzione del presente contratto e per ogni controversia ad
esso relativa è competente in via esclusiva il foro di Roma
