STATUTES
In the year two thousand and six, on the twenty-first of July.
Before Us Maître Martine SCHAEFFER, notary residing in Remich, acting in
replacement of her colleague Maître André-Jean-Joseph SCHWACHTGEN, notary
residing in Luxembourg, who shall remain depositary of the present minutes.
There appeared:
1) ALLIANZ GLOBAL INVESTORS LUXEMBOURG S.A., R.C. B number 27
856, with registered office at L-2633 Senningerberg, 6A, route de Trèves,
here represented by Mr Markus Biehl, bank employee, residing at Pluwig,
Germany,
pursuant to a proxy given in Senningerberg, on July 18, 2006.
2) Mr Wilfried Siegmund, Managing Director of Allianz Global Investors
Luxembourg S.A., residing at L-2633 Senningerberg, 6A, route de Trèves,
here represented by Mrs Sonja Maringer, residing at Trier, Germany,
pursuant to a proxy given in Senningerberg, on July 18, 2006.
The proxies given, signed by the mandatories of the appearing persons and the
undersigned notary, shall remain annexed to this document to be filed with the
registration authorities.
Such appearing parties, in the capacity in which they act, have requested the notary to
state as follows the Articles of Incorporation of a company which they form between
themselves:
Title I. - Name, Registered Office, Duration, Object of the Company
Art. 1. Name. There exists among the subscribers and those who become holders of
subsequently issued shares a joint-stock company ("société anonyme") in the form of
an investment company with variable capital ("Société d'Investissement à Capital
Variable") under the name Allianz European Pension Investments (hereinafter the
"Company").
Art. 2. Registered Office. The registered office of the Company is in Senninger-berg,
Grand Duchy of Luxembourg. The Board of Directors may decide to establish
branches, subsidiaries or other offices either in the Grand Duchy of Luxembourg or
abroad (but in no event in the United States of America, its territories or possessions).
If the Board of Directors concludes that extraordinary political or military events that
could have a negative impact on the regular course of business of the Company at its
registered office or the communication with the affected offices or persons abroad have
occurred or are imminent, the registered office may be temporarily moved abroad until
such time as the situation completely normalises;
