Untuk Tahun-tahun yang Berakhir Pada Tanggal
31 Desember 2020 dan 2019
(Dalam Rupiah Penuh, Kecuali Dinyatakan Lain)
sebesar Rp520.000.000.000 menjadi 1000
lembar saham dengan nilai nominal seluruhnya
sebesar Rp1.000.000.000, serta menyetujui
pengurangan modal ditempatkan dan disetor
PT JA dari 155.600 lembar saham dengan
nilai nominal seluruhnya sebesar
Rp155.600.000.000 menjadi 300 lembar saham
dengan nilai seluruhnya sebesar
Rp300.000.000 dengan bagian pemegang
saham PT PJA sebesar Rp297.000.000 dan
PT TIJA sebesar Rp3.000.000. Perubahan
anggaran dasar tersebut telah mendapatkan
persetujuan dari Menteri Hukum dan Hak Asasi
Manusia Republik Indonesia melalui Surat
Keputusan No. AHU-0034059.AH.01.02. tahun
2019 tanggal 30 Juni 2019.
Berdasarkan Akta No.15 tanggal 11 November
2019 yang dibuat oleh Notaris Aulia
Taufani,S.H., mengenai perubahan anggaran
dasar, pemegang saham menyetujui untuk
meningkatkan modal dasar dari 1000 lembar
saham dengan nilai nominal seluruhnya
sebesar Rp1.000.000.000 menjadi 10.000
lembar saham dengan nilai nominal seluruhnya
sebesar Rp10.000.000.000 serta menyetujui
peningkatan modal ditempatkan dan disetor
dari 300 lembar saham dengan nilai seluruhnya
sebesar Rp300.000.000 menjadi 4.600 lembar
saham dengan nilai nominal seluruhnya
sebesar Rp4.600.000.000 yang diambil bagian
oleh Perusahaan sebesar Rp4.257.000.000
dan PT TIJA sebesar Rp43.000.000.
Perubahan anggaran dasar tersebut telah
mendapatkan persetujuan dari Menteri Hukum
dan Hak Asasi Manusia Republik Indonesia
melalui Surat Keputusan No. AHU-
0102020.AH.01.02 tahun 2019 tanggal
6 Desember 2019.

shares with total nominal value amounted to
Rp1,000,000,000, and approve the reduction of
PT JA's issued and paid up capital from
155,600 shares with a total nominal value
amounted to Rp155,600,000,000 to 300 shares
with a total value of Rp300,000,000 with
shareholders of PT PJA in the amount of
Rp229,000,000 and PT TIJA in the amount of
Rp3,000,000. The amendment to the articles of
association has been approved by the Minister
of Law and Human Rights of the Republic of
Indonesia through its Decision Letter No. AHU-
0034059.AH.01.02. year 2019 dated June 30,
2019.
Based on Deed No.15 dated November 11,
2019 of Notary Aulia Taufani,S.H., regarding
the changes on Articles of Association, the
shareholders agreed to increase authorized
capital from 1,000 shares with total nominal
value amounted to Rp1,000,000,000 to 10,000
shares with total nominal value amounted to
Rp10,000,000,000 and approve to increase
issued and paid up capital from 300 shares with
a total value of Rp300,000,000 to 4,600 shares
with a total value of Rp4,600,000,000 which
taken part by the Company amounting to
Rp4,257,000,000 and PT TIJA amounting to
Rp43,000,000. The amendment to the articles
of association has been approved by the
Minister of Law and Human Rights of the
Republic of Indonesia through its Decision
Letter No. AHU- 0AHU-0102020.AH.01.02 year
2019 dated December 6, 2019.
Pada tahun 2011, PT JA bersama dengan
PT Jaya Konstruksi Pratama Tol mendirikan
PT Jaya Ancol Pratama Tol (JAPT) dengan
persentase kepemilikan masing-masing
sebesar 60% dan 40%. Pada tahun 2019
PT JAPT berdasarkan Akta No. 29 tanggal
15 Mei 2019 dihadapan Notaris Aulia Taufani,
S.H., tentang perubahan anggaran dasar,
menyetujui pengurangan modal dasar
dari sebesar 429.250 lembar saham dengan
nilai nominal seluruhnya sebesar
Rp429.250.000.000 menjadi 50 lembar saham
dengan nilai nominal seluruhnya sebesar
Rp50.000.000, serta menyetujui pengurangan
modal ditempatkan dan disetor dari 235.625
lembar saham dengan nilai nominal seluruhnya
sebesar Rp235.625.000.000 menjadi 15 lembar
In 2011, PT JA incorporated with PT Jaya
Konstruksi Pratama Tol established PT Jaya
Ancol Pratama Tol (JAPT) with a percentage of
ownership of 60% and 40% respectively. In
2019, PT JAPT based on Deed No. 29 dated
May 15, 2019 by Notary Aulia Taufani, S.H.,
regarding amendments to the articles of
association, agreed to reduce the authorized
capital from 429,250 shares with a total nominal
value amounted to Rp429,250,000,000 to 50
shares with a total nominal value amounted to
Rp50,000,000, and agreed to reduce issued
and paid up capital from 235,625 shares with a
total nominal value amounted to
Rp235,625,000,000 to 15 shares with a total
value amounted to Rp15,000,000 which taken
part by PT JA amounting to Rp9,000,000 and
PT Jaya Konstruksi Pratama Tol (PT JKPT)
