To consider and, if thought fit, to pass thefollowing resolutions:-SPECIAL RESOLUTIONa) Amendments to the Articles of Association ofthe Company“THAT subject to the Listing Requirements ofKuala Lumpur Stock Exchange, the alterations,modifications, variations and/or additions to theCompany’s Articles of Association as set out inthe Circular to Shareholders in relation theretodated 31 May 2001 be and are here b yapproved.”Special ResolutionORDINARY RESOLUTIONSb) Authority to Directors to Issue Shares“THAT subject always to the Companies Act,1965, the Company’s Articles of Association andapproval of the relevant government/regulatoryauthorities, the Directors be and are here b yauthorised pursuant to Section 132D of theCompanies Act, 1965 to issue shares in theCompany at any time until the conclusion ofthe next annual general meeting and upon suchterms and conditions and for such purposes asthe Directors may, in their absolute discretiondeem fit, provided that the aggregate number ofshares to be issued does not exceed 10% of theissued share capital of the Company for thetime being.” Resolution 10c) Authority to Directors on Purchase of theCompany’s Own Shares“ T H AT subject to the Companies Act, 1965(the”Act”), rules, regulations and orders madepursuant to the Act, provisions of theC o m p a n y ’s Memorandum and Articles ofAssociation and the requirements of the KualaLumpur Stock Exchange (“KLSE”) and anyother relevant authority, the Directors of theCompany be and are hereby authorised to makepurchases of ordinary shares of RM1.00 each inthe Company’s issued and paid-up capitalt h rough the KLSE subject further to thefollowing:-i) the maximum number of shares which maybe purchased by the Company shall notexceed 3,500,000 ordinary shares of RM1.00each equivalent to approximately 1.51% ofthe total existing issued and paid-up capitalof the Company (“Shares”) for the timebeing;ii) the maximum fund to be allocated by theCompany for the purpose of purchasing theS h a res shall not exceed the total re t a i n e de a rnings and share premium of theC o m p a n y. As at 31 December 2000, theaudited retained earnings and sharep remium of the Company wereRM51,659,000 and RM60,304,000respectively. The unaudited retained earningsand share premium based on themanagement accounts of the Company as at30 April 2001 were RM51,804,000 andRM60,304,000 respectively;UNITED MALAYAN LAND BHD27
