STATEMENT BY DIRECTORS PURSUANT TO SECTION 169(15) OF THE COMPANIES
ACT, 1965
We, SHAHRIL RIDZA RIDZUAN and DATUK ZAHARI OMAR, two of the Directors of
MALAYSIAN RESOURCES CORPORATION BERHAD, state that, in the opinion of the Directors,
the financial statements set out on pages 90 to 145 are drawn up so as to give a true and fair
view of the state of affairs of the Group and of the Company as at 31 August 2002 and of the
results and cash flows of the Group and of the Company for the financial year ended on that date
in accordance with the applicable approved accounting standards in Malaysia and the provisions
of the Companies Act, 1965.
In accordance with a resolution of the Board of Directors dated 19 December 2002.

ACT, 1965
I, LEE TEU LUAN, the Officer primarily responsible for the financial management of MALAYSIAN
RESOURCES CORPORATION BERHAD, do solemnly and sincerely declare that the financial
statements set out on pages 90 to 145 are, in my opinion, correct and I make this solemn
declaration conscientiously believing the same to be true, and by virtue of the provisions of the
Statutory Declarations Act, 1960.
