Dans le cas oùles exigences juridiques sont remplies, les parties doivent déposer une notification préalable à la fusion. L’autorisation de l’Office fédéral des ententes àBonn décide dans le délai d’un mois, si la procédure principale de contrôle des fusions doit être mise en application. Si la procédure principale de contrôle des fusions n’est pas réclamée dans ledélai d’un mois, l’approbation est réputée avoir été donnée. Dans l’éventualité d’une procédure principale de contrôle de la fusion, l’Office fédéral des ententes interdit ou autorise la fusion en fonction de la structure du marché et de la société (dans la limite du respect à certaines obligations le cas échéant). Après un délai de quatre mois, l’agrément est réputé avoir été donné. Les fusions ne doivent pas être terminées avant un certain délai après que l’agrément aété donné. The Federal Cartel Office, however, upholds the opinion that –for the time being –acquisitions of real property, the total value of which stays below the threshold value of EUR 5,000,000 within the business year relevant under merger law, do not constitute such an acquisition ofassets. After adeadline offour months, the approval is deemed to be given. Si le FMoET requiert des documents supplémentaires sur l’acquisition, il aura alors deux mois supplémentaires pour donner ou non son accord àl’acquisition.
