Section 2.04. (a) Upon request from time to time by the Association, the<br />

R~gie shall furnish to the Association, promptly upon their preparation, the plans,<br />

specifications and work schedules for the Project and any material modifications<br />

subsequently made therein, in such detail as the Association shall request.<br />

(b) The Rdgie shall maintain records adequate to identify the goods financed<br />

out of the proceeds of the Credit, to disclose the use thereof in the Project, to record<br />

the progress of the Project (including the cost thereof) and to reflect in accordance<br />

with consistently maintained sound accounting practices its operations and financial<br />

condition; shall enable the Association's representatives to inspect the Project, the<br />

goods, the Railways and any relevant records and documents ; and shall furnish<br />

to the Association all such information as the Association shall reasonably request<br />

concerning the expenditure of the proceeds of the Credit, the Project, the goods,<br />

and its administration, operations and financial condition.<br />

Section 2.06. (a) The Association and the R~gie shall cooperate fully to<br />

assure that the purposes of the Credit will be accomplished. To that end, each of<br />

them shall furnish to the other all such information as it shall reasonably request.<br />

(b) The Association and the R~gie shall from time to time exchange views<br />

through their representatives with regard to the performance by the R~gie of its<br />

obligations hereunder or under the Subsidiary Loan Agreement and its administration,<br />

operations and financial condition.<br />

(c) The R~gie shall promptly inform the Association of any condition which<br />

interferes with, or threatens to interfere with, the accomplishment of the purposes<br />

of the Credit or the performance by the R~gie of its obligations under this Project<br />

Agreement or under the Subsidiary Loan Agreement or which shall increase or<br />

threaten to increase materially the estimated cost of the Project.<br />

Section 2.06. (a) The Rfgie shall take out and maintain with responsible<br />

insurers or make other provision satisfactory to the Association for insurance<br />

against such risks and in such amount as shall be consistent with sound practice.<br />

(b) Without limiting the generality of the foregoing, the R6gie undertakes<br />

to insure the imported goods to be financed out of the proceeds of the Credit against<br />

marine, transit and other hazards incident to acquisition, transportation and<br />

delivery thereof to the place of use or installation and for such insurance any<br />

indemnity shall be payable in a currency freely usable by the R~gie to replace or<br />

repair such goods.<br />

Section 2.07. Except as shall otherwise be agreed by the R~gie and the Association,<br />

the R~gie shall use all goods financed out of the proceeds of the Credit exclusively<br />

in the carrying out of the Project.<br />

Section 2.08. Except in the normal course of business, goods purchased or<br />

paid for out of the proceeds of the Credit shall not be sold or otherwise disposed<br />

of without the prior consent of the Association.<br />
