Article II<br />

PARTICULAR COVENANTS<br />

Section 2.01. The Rdgie shall carry out the Project with due diligence and<br />

efficiency and in conformity with sound railway, engineering and financial practices<br />

and shall provide, promptly as needed, the funds, facilities, services and other<br />

resources required for the purpose.<br />

Section 2.02. The Rdgie shall duly perform its obligations under the Subsidiary<br />

Loan Agreement and, except as the Association shall otherwise agree, shall not<br />

amend, assign, abrogate or waive any provision of such Subsidiary Loan Agreement.<br />

Section 2.03. In the carrying out of such parts of the Project as the Association<br />

and the Rdgie shall agree upon, the Rdgie shall employ competent and<br />

experienced consultants and technicians acceptable to the Association, to an extent<br />

and upon terms and conditions satisfactory to the Association.<br />

Section 2.04. (a) Upon request from time to time by the Association, the<br />

Rdgie shall furnish to the Association, promptly upon their preparation, the plans,<br />

specifications and work schedules for the Project and any material modifications<br />

subsequently made therein, in such detail as the Association shall request.<br />

(b) The Rdgie shall maintain records adequate to identify the goods financed<br />

out of the proceeds of the Credit, to disclose the use thereof in the Project, to record<br />

the progress of the Project (including the cost thereof) and to reflect in accordance<br />

with consistently maintained sound accounting practices its operations and financial<br />

condition; shall enable the Association's representatives to inspect the Project,<br />

the goods, the Railways and any relevant records and documents; and shall furnish<br />

to the Association all such information as the Association shall reasonably request<br />

concerning the expenditure of the proceeds of the Credit, the Project, the goods,<br />

and its administration, operations and financial condition.<br />

Section 2.05. (a) The Association and the Rdgie shall cooperate fully to<br />

assure that the purposes of the Credit will be accomplished. To that end, each of<br />

them shall furnish to the other all such information as it shall reasonably request.<br />

(b) The Association and the R~gie shall from time to time exchange views<br />

through their representatives with regard to the performance by the Rdgie of its<br />

obligations hereunder or under the Subsidiary Loan Agreement and its administration,<br />

operations and financial condition.<br />

(c) The R~gie shall promptly inform the Association of any condition which<br />

interferes with, or threatens to interfere with, the accomplishment of the purposes<br />

of the Credit or the performance by the Rdgie of its obligations under this Project<br />
