<strong>de</strong> lancer une OPA amicale sur <strong>Gétaz</strong> <strong>Romang</strong> Holding<br />
<strong>Gétaz</strong> <strong>Romang</strong> soutient l’opération, qui donnera naissance à un lea<strong>de</strong>r<br />
suisse <strong>de</strong> la branche<br />
Vevey et Rümlang, le 5 mars 2007 – <strong>Le</strong> <strong>groupe</strong> irlandais <strong>CRH</strong>, un lea<strong>de</strong>r mondial dans le<br />
secteur <strong>de</strong>s matériaux <strong>de</strong> construction, <strong>annonce</strong> <strong>son</strong> <strong>intention</strong> <strong>de</strong> présenter une offre<br />
publique d’achat (OPA) sur l’ensemble <strong>de</strong>s actions <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong>, pour le prix <strong>de</strong><br />
1’125 francs par action. <strong>Le</strong> Conseil d’administration <strong>de</strong> la société vaudoise soutient<br />
l’opération.<br />
<strong>Gétaz</strong> <strong>Romang</strong> Holding relève que l’opération envisagée permettra au <strong>groupe</strong> d’accé<strong>de</strong>r au<br />
statut d'acteur national <strong>de</strong> premier plan. <strong>Le</strong> re<strong>groupe</strong>ment <strong>de</strong>s activités <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong><br />
Holding avec Richner et BauBedarf, contrôlées par <strong>CRH</strong>, donnera naissance à un ensemble<br />
réalisant un chiffre d’affaires <strong>de</strong> plus <strong>de</strong> 1,5 milliard <strong>de</strong> francs, qui en fera un <strong>de</strong>s principaux<br />
acteurs <strong>de</strong> la branche dans notre pays. <strong>Le</strong> siège opérationnel <strong>de</strong> la nouvelle entité sera dans le<br />
canton <strong>de</strong> Vaud. La direction sera formée <strong>de</strong> dirigeants actuels <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong> et <strong>de</strong><br />
Richner-BauBedarf, sous l’autorité <strong>de</strong> l'actuel directeur général <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong> Holding,<br />
Jean-Jacques Miauton. <strong>Le</strong> conseil d’administration sera constitué <strong>de</strong> représentants <strong>de</strong>s <strong>de</strong>ux<br />
entités réunies. Jean-Jacques Miauton y siègera, <strong>de</strong> même que Harry Bosshardt, actuel CEO<br />
<strong>de</strong> Richner-BauBedarf. Ce <strong>de</strong>rnier, qui accompagnera sur le plan opérationnel le processus <strong>de</strong><br />
re<strong>groupe</strong>ment, se verra par ailleurs confier <strong>de</strong>s responsabilités <strong>de</strong> direction auprès <strong>de</strong> <strong>CRH</strong><br />
Europe Distribution.<br />
<strong>Le</strong> Conseil d’Administration <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong> Holding considère que l’offre pré-annoncée <strong>de</strong><br />
<strong>CRH</strong> apparaît juste et équitable pour ses actionnaires. <strong>Le</strong> prix proposé <strong>de</strong> 1’125 francs par<br />
action représente le niveau le plus élevé jamais atteint jusqu’ici par l’action <strong>Gétaz</strong> <strong>Romang</strong> ; il<br />
correspond à une plus-value <strong>de</strong> 22,5% par rapport au cours moyen <strong>de</strong>s 30 <strong>de</strong>rniers jours<br />
ouvrables. La plus-value atteint même 34,3% par rapport au cours moyen <strong>de</strong>s six <strong>de</strong>rniers<br />
mois. La famille Miauton, principale actionnaire, s’est pour sa part engagée à cé<strong>de</strong>r à <strong>CRH</strong> sa<br />
part <strong>de</strong> 23,55% du capital <strong>de</strong> <strong>Gétaz</strong> <strong>Romang</strong> Holding <strong>SA</strong>, aux conditions <strong>de</strong> l’offre pré-annoncée,<br />
pour autant que l’opération aboutisse.<br />
<strong>CRH</strong> a l’<strong>intention</strong> <strong>de</strong> lancer l’OPA dans les semaines à venir, soit vraisemblablement dès le<br />
15 mars 2007.
En cas <strong>de</strong> succès, l’opération permettra <strong>de</strong> réaliser une synergie entre <strong>de</strong>ux partenaires<br />
largement complémentaires par leurs activités et leur implantation géographique. <strong>Le</strong><br />
nouveau <strong>groupe</strong> et ses collaborateurs en sortiront renforcés. La clientèle bénéficiera d’un plus<br />
vaste assortiment <strong>de</strong> produits et <strong>de</strong> services, ainsi que <strong>de</strong>s avantages d’un réseau <strong>de</strong><br />
distribution élargi. La stratégie <strong>de</strong> proximité, pratiquée avec succès jusqu’ici, sera poursuivie. <strong>Le</strong><br />
re<strong>groupe</strong>ment qui résultera <strong>de</strong> l’opération s’inscrit dans l’évolution <strong>de</strong> la distribution <strong>de</strong> matériaux<br />
et d’équipements pour la construction, l’industrie et l’habitat, qui répond à la globalisation <strong>de</strong>s<br />
marchés et à une concurrence accrue au plan national et international.<br />
<strong>Le</strong> Groupe <strong>CRH</strong>, basé en Irlan<strong>de</strong>, est actif sur trois continents et 27 pays, dont la Suisse. Il<br />
