Where upstream capacity is available for assignment, the Retail Supplier will be assigned apro-rata slice of applicable capacity in the Company’s portfolio. The Company will <strong>de</strong>terminethe specific upstream capacity to be r<strong>el</strong>eased to the Retail Supplier and will r<strong>el</strong>ease thatcapacity, in minimum increments of 1 <strong>de</strong>katherm, at the system Weighted Average Cost ofCapacity in accordance with the terms and conditions of the interstate pip<strong>el</strong>ine’s FERC gastariff and the rules and regulations of the FERC. The Retail Supplier shall be directly billed bythe pip<strong>el</strong>ine(s) for such capacity and will be responsible for paying the pip<strong>el</strong>ine(s) for suchcharges. Once the capacity is r<strong>el</strong>eased, Central Hudson is not responsible for any actions bythe Retail Supplier. The capacity is resalable by the Retail Supplier subject to the provisionscontained in the upstream pip<strong>el</strong>ine rules and regulations, and is subject to recall by CentralHudson un<strong>de</strong>r the following conditions: (a) when required to preserve the integrity of thesystem, (b) the customer returns to Central Hudson as a core sales service customer, (c) thecustomer leaves the system or the meter is locked, or (d) the Retail Supplier serving thecustomer <strong>de</strong>faults on d<strong>el</strong>ivery obligations. A Retail Supplier will be consi<strong>de</strong>red to be in <strong>de</strong>faultwhen the pre<strong>de</strong>termined d<strong>el</strong>ivery requirements have ceased for a forty-eight (48) hour period.5. The capacity inten<strong>de</strong>d for r<strong>el</strong>ease un<strong>de</strong>r the Company’s Retail Access Program is set forth inthe table b<strong>el</strong>ow. The r<strong>el</strong>eases are ma<strong>de</strong> on a monthly basis beginning November 1 and continuefor 12 months until October 31 and reflect adjustments for incremental customer migration.Any Retail Supplier beginning service prior to November 1 will be r<strong>el</strong>eased capacity on amonthly basis until October 31.12
