ConocoPhillips pursues repositioning plan 

In a global town hall webcast to employees, Jim Mulva discussed the plan to create two leading energy companies. 

ConocoPhillips is pursuing a plan to reposition 

its upstream and downstream businesses into 

two separate publicly traded companies. 

The move, part of the company’s ongoing strategy to 

build shareholder value, is in response to a changing 

marketplace. 

“A complex, integrated business model is no longer 

a strategic advantage to resource and market access,” 

Chairman and CEO Jim Mulva said in a global town 

hall on July 15. “Investor preference has shifted to 

pure-play companies.” 

Once the repositioning is complete next year, 

Conoco Phillips will be the largest independent E&P 

company in North America. The downstream company, 

which will be named at a later date, will be 

North America’s second-largest refiner. 

This global town hall was held just a day after the 

decision was announced. Thousands of employees 

around the world listened in as Jim described the 

decision to create two leading energy companies. 

“We continually look at a number of ways to create 

the most value,” he said. “The best way to compete 

in today’s environment is to have two independent, 

competitive companies positioned to pursue their 

respective business strategies. The two companies will 

continue to benefit from the size and scale of their 

significant asset bases to compete and create differentiated 

shareholder value in a changing environment.” 

Strategic rationale 

The strategic rationale behind the company’s decision 

to reposition into two pure-play companies was a 

main focus of the presentation. “The environment has

changed,” he said. “We are now seeing increased competition 

and more challenging times.” 

Company leaders assessed the strategy against the 

current business climate. While shareholder return is 

strong, the integrated model left ConocoPhillips less 

agile than it needs to be in a changing landscape. 

Jim added that a complex, integrated business model 

is no longer a strategic advantage for resource and 

market access. As a result, investor preference has 

shifted to pure-play companies. ConocoPhillips has 

very strong upstream and downstream businesses, so 

repositioning into two separate companies represents 

the best way to compete, attract and retain talent, and 

grow.

“There will also be more transparency in the way 

we run the company internally and for our shareholders.” 

Transition work ahead 

The company’s path forward entails a series of 

steps. The allocation of downstream and upstream 

assets will be determined through several months 

of analysis and planning. Once this is complete, 

the company will seek a ruling from the Internal 

Revenue Service to confirm that the transaction is 

tax-free to shareholders for United States federal 

income tax purposes. Finally, the ConocoPhillips 

Board of Directors must give final approval for the 

transaction. “Shortly thereafter, we will have an 

independent upstream company and an independent 

downstream company,” Jim said. 

While the upstream company will retain the 

Conoco Phillips name and Houston headquarters, 

decisions on the downstream company’s name,

A steering committee, consisting of Jim Mulva, Gene 

Batchelder and John Lowe, will oversee the repositioning 

into two leading energy companies. 

The full transition team, led by John Lowe, is composed 

of leaders representing Transaction Structuring, IRS 

and Form 10 Filings, Shared Services, Systems, 

Financial Structuring, Compensation and Benefits, 

and Commercial. A team devoted solely to Workforce 

Planning and Organizational Development will be initiated 

once the IRS filing is complete.

headquarters location and board of directors, as 

well as the leadership teams of the two companies, 

will be announced in coming months. 

“We need to make sure we don’t start getting 

the cart before the horse,” Jim told the town hall 

audience, indicating the first step was to announce 

the reasons behind the repositioning and the 

strength of the decision. 

It is expected that the two CEOs of the new companies 

will be named later this year so that they 

can begin developing their leadership teams. Upon 

completion of the repositioning, targeted for the 

second quarter of 2012, Mulva intends to retire. 

Until that point, he will continue to serve as chairman 

and CEO and will lead the company through 

the transition. 

There are many details to be worked in order to 

move forward with the transition, including areas 

such as financial structuring, systems, benefit programs 

and organization development. Conoco- 

Phillips is taking a comprehensive and deliberate 

approach, and a transition team has been formed 

to work on the details. Ancillary transition teams 

have also been established in key departments 

throughout the company.

The corporate-level transition team meets weekly 

and and is committed to providing transparent 

and timely communication to employees. “We 

understand employees have many questions in this

work proceeds,” Jim assured employees.

Maria Bartiromo: Looking into 

the upstream operation, highermargin 

business, will you be 

focusing on expanding that 

business through acquisitions? 

Jim Mulva: No. The same strategy 

will continue. Maybe beyond three 

to five years, there is opportunity 

for some acquisitions, but not 

in the short term. In the short 

term, we’d like to spend as 

much as $1-$2 billion getting a 

bigger interest in acreage in the 

deepwater Gulf of Mexico. So 

far, we have not pursued that by 

making acquisitions. 

MB: We’ve talked in the past 

about the synergies from the 

businesses being together. Do 

you think that the split into two 

separate companies takes away 

some of the economies of scale? 

JM: I don’t think so, because 

over the last decade we’ve 

created a sizable company that 

can compete upstream and 

driving the decision is how we can unlock the 

potential of the two businesses and create more 

value, as well as more opportunity, to grow and

upstream and downstream, and 

it’s going to be primarily in the 

OECD countries. 

The majority of employees will continue working 

in the same positions in the same location. However, 

some functions, such as Commercial, Shared 

Services and Corporate Staffs, will be separated in 

order to support the new upstream and the downstream 

companies. Bartlesville is likely to host 

two separate, cost-effective, global shared services 

groups after the repositioning. These details will 

be determined over the coming months.

My Life After ConocoPhillips

1. What are you up to now? 

Both my wife, Sandy, and I had interesting, challenging 

and rewarding careers with Phillips and 

CPChem, mainly in the U.S. But we knew we 

always wanted to live overseas and experience another 

culture when we retired. So now, we split our 

time between Houston and our home in France, 

located in a little village in the Burgundy wine 

region. We travel quite a bit. This year we toured 

Austria with a group from the village. 

2. What’s the best-kept secret of being retired? 

If there’s any one, single secret, no one’s let us in 

on it yet. The usual advice has held true for us. To 

have a fun, successful retirement, you have to be 

both financially and emotionally ready for it, and 

you need some sort of interest that’s both worthwhile 

and makes you want to get out of bed every 

morning. 

3. What’s one of your favorite memories from the 

ConocoPhillips years and why? 

I spent a big part of my career doing transactional 

work in Legal. For me, the best part was getting 

to signing day 

and then watching 

a project take 

shape. Seeing a 

chemical plant 

start up or an 

exploration venture 

start production 

was always 

a great source of

by side with a lot of smart, motivated people who

4. What are some things you’re doing now that 

you didn’t have time to do before? 

While in the States, Sandy and I do some fundraising 

for CASA – Court Appointed Special Advocates. 

It’s an organization that works with abused 

and neglected children, and we are passionate 

supporters. Beyond that, I’ve learned to do woodworking, 

and Sandy has become an expert quilter, 

even starting a weekly “patchwork club” in our 

little village. My major project this summer is a refit 

of our wine cellar. And, of course, we now have 

a gaggle of grandkids to play with. 

5. What has surprised you most about life after 

ConocoPhillips? 

While we’ve maintained many friendships with 

ConocoPhillips colleagues, we’ve continued to 

meet lots of fun, interesting people along the way. 

We’ve made a big effort 

to involve ourselves in 

the life of our adopted 

village – and to learn 

to speak French – and 

it’s paid off by our being 

welcomed into the 

community much sooner 

than we anticipated. For 

us, life is all good.

Volunteer Grant Dollars for Hours Program 

Are you aware of ConocoPhillips’ Volunteer 

Grant Dollars for Hours Program? 

This valuable program recognizes the 

various volunteer activities that employees and 

retirees dedicate to charitable organizations. To 

further encourage and support these efforts, for 

every 20 hours an employee or retiree volunteers 

with an eligible 501(c)(3) nonprofit organization, 

Conoco Phillips will donate $500 to that organization. 

Additionally, teams of four or more employees 

or retirees volunteering at least 40 hours on 

a specific project may apply for a team grant of 

$1,000 that will go to the eligible organization. 

Employees and retirees will be eligible to receive 

two individual grants per year for eligible nonprofit 

organizations. Individual organizations can 

receive up to $6,000 per year from the company.

The power of water 

ConocoPhillips Wellness-Fitness Services 

offers a wide variety of aquatic exercise 

classes to encourage ConocoPhillips retirees 

to become more physically active in the Bartlesville, 

Houston and Ponca City locations. Ten different 

types of classes are offered, and they cater to all fitness 

levels. 

In Bartlesville, the Silver Splash class helps slow the 

effects of aging with a high-energy, low-impact shallow-water 

workout specifically designed for those 

age 55-plus. Strength Training class in Houston 

works on flexibility, strength and core conditioning. 

It is a low-impact workout that will help improve 

balance, strengthen muscles to reduce joint pain and 

increase your range of motion – great for anyone 

wanting an excellent toning class! The Arthritis class 

offered in Ponca City is for those with bone, muscle 

or joint troubles and with the warmth, buoyancy 

and resistance of the water, challenges the body 

while easing strain on problematic areas. Participants 

see a decrease in pain, improved daily function and 

improved perceived quality of life. 

Whether the classes are in shallow or deep water, 

resistance, cooling effect and decreased joint impact 

make it an ideal exercise medium for seniors. Health 

ailments, such as diabetes, arthritis, menopause, cardiovascular 

problems, back problems and osteoporosis, 

can benefit from aquatic exercise classes. These 

three classes are samples of the many classes offered 

in each location that are free to ConocoPhillips 

retirees and their spouses.
