<strong>ConocoPhillips</strong> pursues repositioning plan<br />

In a global town hall webcast to employees, Jim Mulva discussed the plan to create two leading energy companies.<br />

<strong>ConocoPhillips</strong> is pursuing a plan to reposition<br />

its upstream and downstream businesses into<br />

two separate publicly traded companies.<br />

The move, part of the company’s ongoing strategy to<br />

build shareholder value, is in response to a changing<br />

marketplace.<br />

“A complex, integrated business model is no longer<br />

a strategic advantage to resource and market access,”<br />

Chairman and CEO Jim Mulva said in a global town<br />

hall on July 15. “Investor preference has shifted to<br />

pure-play companies.”<br />

Once the repositioning is complete next year,<br />

Conoco Phillips will be the largest independent E&P<br />

company in North America. The downstream company,<br />

which will be named at a later date, will be<br />

North America’s second-largest refiner.<br />

This global town hall was held just a day after the<br />

decision was announced. Thousands of employees<br />

around the world listened in as Jim described the<br />

decision to create two leading energy companies.<br />

“We continually look at a number of ways to create<br />

the most value,” he said. “The best way to compete<br />

in today’s environment is to have two independent,<br />

competitive companies positioned to pursue their<br />

respective business strategies. The two companies will<br />

continue to benefit from the size and scale of their<br />

significant asset bases to compete and create differentiated<br />

shareholder value in a changing environment.”<br />

Strategic rationale<br />

The strategic rationale behind the company’s decision<br />

to reposition into two pure-play companies was a<br />

main focus of the presentation. “The environment has<br />

changed,” he said. “We are now seeing increased competition<br />

and more challenging times.”<br />

Company leaders assessed the strategy against the<br />

current business climate. While shareholder return is<br />

strong, the integrated model left <strong>ConocoPhillips</strong> less<br />

agile than it needs to be in a changing landscape.<br />

Jim added that a complex, integrated business model<br />

is no longer a strategic advantage for resource and<br />

market access. As a result, investor preference has<br />

shifted to pure-play companies. <strong>ConocoPhillips</strong> has<br />

very strong upstream and downstream businesses, so<br />

repositioning into two separate companies represents<br />

the best way to compete, attract and retain talent, and<br />

grow.<br />

Ultimately, the spotlight will be on both companies.<br />

“There will also be more transparency in the way<br />

we run the company internally and for our shareholders.”<br />

Transition work ahead<br />

The company’s path forward entails a series of<br />

steps. The allocation of downstream and upstream<br />

assets will be determined through several months<br />

of analysis and planning. Once this is complete,<br />

the company will seek a ruling from the Internal<br />

Revenue Service to confirm that the transaction is<br />

tax-free to shareholders for United States federal<br />

income tax purposes. Finally, the <strong>ConocoPhillips</strong><br />

Board of Directors must give final approval for the<br />

transaction. “Shortly thereafter, we will have an<br />

independent upstream company and an independent<br />

downstream company,” Jim said.<br />

While the upstream company will retain the<br />

Conoco Phillips name and Houston headquarters,<br />

decisions on the downstream company’s name,<br />

A steering committee, consisting of Jim Mulva, Gene<br />

Batchelder and John Lowe, will oversee the repositioning<br />

into two leading energy companies.<br />

The full transition team, led by John Lowe, is composed<br />

of leaders representing Transaction Structuring, IRS<br />

and Form 10 Filings, Shared Services, Systems,<br />

Financial Structuring, Compensation and Benefits,<br />

and Commercial. A team devoted solely to Workforce<br />

Planning and Organizational Development will be initiated<br />

once the IRS filing is complete.<br />

headquarters location and board of directors, as<br />

well as the leadership teams of the two companies,<br />

will be announced in coming months.<br />

“We need to make sure we don’t start getting<br />

the cart before the horse,” Jim told the town hall<br />

audience, indicating the first step was to announce<br />

the reasons behind the repositioning and the<br />

strength of the decision.<br />

It is expected that the two CEOs of the new companies<br />

will be named later this year so that they<br />

can begin developing their leadership teams. Upon<br />

completion of the repositioning, targeted for the<br />

second quarter of 2012, Mulva intends to retire.<br />

Until that point, he will continue to serve as chairman<br />

and CEO and will lead the company through<br />

the transition.<br />

There are many details to be worked in order to<br />

move forward with the transition, including areas<br />

such as financial structuring, systems, benefit programs<br />

and organization development. Conoco-<br />

Phillips is taking a comprehensive and deliberate<br />

approach, and a transition team has been formed<br />

to work on the details. Ancillary transition teams<br />

have also been established in key departments<br />

throughout the company.<br />

The corporate-level transition team meets weekly<br />

and and is committed to providing transparent<br />

and timely communication to employees. “We<br />

understand employees have many questions in this<br />

area. More information will be shared through our<br />

existing internal communications vehicles as this<br />

work proceeds,” Jim assured employees.<br />

He also indicated that the repositioning into two<br />

companies is not about cost synergies. “What is

Maria Bartiromo: Looking into<br />

the upstream operation, highermargin<br />

business, will you be<br />

focusing on expanding that<br />

business through acquisitions?<br />

Jim Mulva: No. The same strategy<br />

will continue. Maybe beyond three<br />

to five years, there is opportunity<br />

for some acquisitions, but not<br />

in the short term. In the short<br />

term, we’d like to spend as<br />

much as $1-$2 billion getting a<br />

bigger interest in acreage in the<br />

deepwater Gulf of Mexico. So<br />

far, we have not pursued that by<br />

making acquisitions.<br />

MB: We’ve talked in the past<br />

about the synergies from the<br />

businesses being together. Do<br />

you think that the split into two<br />

separate companies takes away<br />

some of the economies of scale?<br />

JM: I don’t think so, because<br />

over the last decade we’ve<br />

created a sizable company that<br />

can compete upstream and<br />

driving the decision is how we can unlock the<br />

potential of the two businesses and create more<br />

value, as well as more opportunity, to grow and<br />

develop,” he said.<br />

company going in the next 10<br />

years? What are your hopes<br />

after you retire once the split is<br />

complete?<br />

JM: Going forward, in the E&P<br />

to have to take a look at the<br />

refining portfolio, and we’ll be<br />

able to invest in other spaces<br />

different from oil and gas or<br />

infrastructure or pipelines. That<br />

is really organic growth, both<br />

upstream and downstream, and<br />

it’s going to be primarily in the<br />

OECD countries.<br />

The majority of employees will continue working<br />

in the same positions in the same location. However,<br />

some functions, such as Commercial, Shared<br />

Services and Corporate Staffs, will be separated in<br />

order to support the new upstream and the downstream<br />

companies. Bartlesville is likely to host<br />

two separate, cost-effective, global shared services<br />

groups after the repositioning. These details will<br />

be determined over the coming months.<br />

“We feel very strongly about the move that we’re<br />

making,” Jim said. “It’s going to create a lot of<br />

value over time for our shareholders because we<br />

have a higher probability of success in both<br />

businesses.”<br />

he said. “This is part of our journey.”<br />

This is a complex area, and we<br />

will be working within the existing<br />

regulatory framework to determine<br />

how to best accomplish this goal.<br />

What happens to my retirement<br />

benefits?<br />

Employees will continue to accrue<br />

service under the retirement plan<br />

until the separation occurs. A<br />

transition team is designing<br />

the benefit programs for both<br />

companies through 2012.<br />

1. What are you up to now?<br />

Both my wife, Sandy, and I had interesting, challenging<br />

and rewarding careers with Phillips and<br />

CPChem, mainly in the U.S. But we knew we<br />

always wanted to live overseas and experience another<br />

culture when we retired. So now, we split our<br />

time between Houston and our home in France,<br />

located in a little village in the Burgundy wine<br />

region. We travel quite a bit. This year we toured<br />

Austria with a group from the village.<br />

2. What’s the best-kept secret of being retired?<br />

If there’s any one, single secret, no one’s let us in<br />

on it yet. The usual advice has held true for us. To<br />

have a fun, successful retirement, you have to be<br />

both financially and emotionally ready for it, and<br />

you need some sort of interest that’s both worthwhile<br />

and makes you want to get out of bed every<br />

morning.<br />

3. What’s one of your favorite memories from the<br />

<strong>ConocoPhillips</strong> years and why?<br />

I spent a big part of my career doing transactional<br />

work in Legal. For me, the best part was getting<br />

to signing day<br />

4. What are some things you’re doing now that<br />

you didn’t have time to do before?<br />

While in the States, Sandy and I do some fundraising<br />

for CASA – Court Appointed Special Advocates.<br />

It’s an organization that works with abused<br />

and neglected children, and we are passionate<br />

supporters. Beyond that, I’ve learned to do woodworking,<br />

and Sandy has become an expert quilter,<br />

even starting a weekly “patchwork club” in our<br />

little village. My major project this summer is a refit<br />

of our wine cellar. And, of course, we now have<br />

a gaggle of grandkids to play with.<br />

5. What has surprised you most about life after<br />

<strong>ConocoPhillips</strong>?<br />

While we’ve maintained many friendships with<br />

<strong>ConocoPhillips</strong> colleagues, we’ve continued to<br />

meet lots of fun, interesting people along the way.<br />

We’ve made a big effort<br />

to involve ourselves in<br />

the life of our adopted<br />

village – and to learn<br />

to speak French – and<br />

it’s paid off by our being<br />

welcomed into the<br />

community much sooner<br />

than we anticipated. For<br />

us, life is all good.<br />

Volunteer Grant Dollars for Hours Program<br />

Are you aware of <strong>ConocoPhillips</strong>’ Volunteer<br />

Grant Dollars for Hours Program?<br />

This valuable program recognizes the<br />

various volunteer activities that employees and<br />

retirees dedicate to charitable organizations. To<br />

further encourage and support these efforts, for<br />

every 20 hours an employee or retiree volunteers<br />

with an eligible 501(c)(3) nonprofit organization,<br />

Conoco Phillips will donate $500 to that organization.<br />

Additionally, teams of four or more employees<br />

or retirees volunteering at least 40 hours on<br />

a specific project may apply for a team grant of<br />

$1,000 that will go to the eligible organization.<br />

Employees and retirees will be eligible to receive<br />

two individual grants per year for eligible nonprofit<br />

organizations. Individual organizations can<br />

receive up to $6,000 per year from the company.<br />

Retirees can apply online for a volunteer grant at<br />

The power of water<br />

<strong>ConocoPhillips</strong> Wellness-Fitness Services<br />

offers a wide variety of aquatic exercise<br />

classes to encourage <strong>ConocoPhillips</strong> retirees<br />

to become more physically active in the Bartlesville,<br />

Houston and Ponca City locations. Ten different<br />

types of classes are offered, and they cater to all fitness<br />

levels.<br />

In Bartlesville, the Silver Splash class helps slow the<br />

effects of aging with a high-energy, low-impact shallow-water<br />

workout specifically designed for those<br />

age 55-plus. Strength Training class in Houston<br />

works on flexibility, strength and core conditioning.<br />

It is a low-impact workout that will help improve<br />

balance, strengthen muscles to reduce joint pain and<br />

increase your range of motion – great for anyone<br />

wanting an excellent toning class! The Arthritis class<br />

offered in Ponca City is for those with bone, muscle<br />

or joint troubles and with the warmth, buoyancy<br />

and resistance of the water, challenges the body<br />

while easing strain on problematic areas. Participants<br />

see a decrease in pain, improved daily function and<br />

improved perceived quality of life.<br />

Whether the classes are in shallow or deep water,<br />

resistance, cooling effect and decreased joint impact<br />

make it an ideal exercise medium for seniors. Health<br />

ailments, such as diabetes, arthritis, menopause, cardiovascular<br />

problems, back problems and osteoporosis,<br />

can benefit from aquatic exercise classes. These<br />

three classes are samples of the many classes offered<br />

in each location that are free to <strong>ConocoPhillips</strong><br />

retirees and their spouses.<br />
