allowances varies from one organization to ano<strong>the</strong>r<br />

depending on <strong>the</strong> liquidity or pr<strong>of</strong>itability <strong>of</strong> an<br />

organization. In most cases, rates payable to <strong>the</strong> directors<br />

are on <strong>the</strong> high side compared to <strong>the</strong> current national<br />

economy. In my estimation, some benefits allocated to<br />

Board members are excessive.<br />

11.1.3 Lack <strong>of</strong> Accountability for <strong>the</strong> Boards <strong>of</strong> Directors<br />

During <strong>the</strong> PA&oBs accountability conference which took<br />

place on 23 rd -24 th January, 2009 to look on <strong>the</strong><br />

performance <strong>of</strong> five infrastructural corporations being<br />

TPA, TANESCO, TPDC, DAWASCO <strong>and</strong> ATCL, it became<br />

apparent that <strong>the</strong> performance for <strong>the</strong> Board <strong>of</strong> Directors<br />

has been questionable <strong>and</strong> <strong>the</strong>re was no clear means for<br />

measuring <strong>the</strong>ir efforts. These directors have been<br />

serving <strong>the</strong> boards until <strong>the</strong> tenure expires <strong>and</strong> <strong>the</strong>y are<br />

re appointed for o<strong>the</strong>r tenure while on <strong>the</strong> o<strong>the</strong>r h<strong>and</strong> <strong>the</strong><br />

performance <strong>of</strong> <strong>the</strong> entity is deteriorating time to time.<br />

It is my view <strong>and</strong> <strong>the</strong> resolutions <strong>of</strong> <strong>the</strong> PA&oBs<br />

accountability conference in this respect that:-<br />

• There is a need to empower <strong>the</strong> Board <strong>of</strong> Directors to<br />

appoint <strong>the</strong> Executive Directors <strong>of</strong> <strong>the</strong> corporations<br />

instead <strong>of</strong> <strong>the</strong> President doing so. The president<br />

should be left with <strong>the</strong> responsibility <strong>of</strong> appointing <strong>the</strong><br />

Chairpersons <strong>of</strong> <strong>the</strong> Board.<br />

• The Government should enter into <strong>the</strong> performance<br />

contract with governing Boards <strong>of</strong> <strong>the</strong> corporations<br />

<strong>and</strong> set <strong>the</strong> pre determined deliverables during <strong>the</strong><br />

tenure which will be made public after which will be<br />

evaluated <strong>and</strong> determine <strong>the</strong> re appointment <strong>of</strong> <strong>the</strong><br />

Board. In this regard <strong>the</strong> Board should also sign <strong>the</strong><br />

performance contract with <strong>the</strong> chief Executive Officer<br />

who also will sign <strong>the</strong> contracts downwards.<br />
