A list of the most frequently used definitions and terms applied in this Prospectus is presented below.
These definitions and terms (used in their singular or plural form) have the following meaning, unless
otherwise stated herein.

ordinary shares and to the bearers of savings shares of the
Company, pursuant to Article 2441 of the Italian Civil Code,
resolved by the extraordinary shareholders’ meeting held on
November 16, 2009, forming the subject matter of the Offer
under Option.
Shares The 2,516,889,453 newly issued ordinary shares of the
Company, each with a par value of €0.50, forming the
subject matter of the Offer under Option.
