16.2. Disclosure of employment contracts stipulated between directors and statutory
auditors and the Issuer or with subsidiaries that provide for employee severance
indemnities
There are no employment contracts between members of the Board of Directors or the Board of
Statutory Auditors and the Issuer or its subsidiaries that provide for employee severance
indemnities, with the exception of the employment contract with the Managing Director of
UniCredit. This contract provides for severance indemnity, in the event of dismissal or removal
without just cause, for the equivalent of 36 months’ compensation on a total annual basis -
consistent with the provisions of the Collective Labour Agreement - as well as maintaining the
subscription rights to his assigned UniCredit shares.
