7 NEGLIGENCE:<br />

In connection with the wo<strong>rk</strong> or contravenes the provisions of General Terms, if<br />

the Bidder neglects to execute the wo<strong>rk</strong> with due diligence or expedition or<br />

refuses or neglects to comply with any reasonable order given to him in writing<br />

by the <strong>Bank</strong>, in such eventuality, the <strong>Bank</strong> may after giving notice in writing to<br />

the Bidder calling upon him to make good the failure, neglect or contravention<br />

complained of, within such times as may be deemed reasonable and in default<br />

of the said notice, the <strong>Bank</strong> shall have the right to cancel the Contract holding<br />

the Bidder liable for the damages that the <strong>Bank</strong> may sustain in this behalf.<br />

Thereafter, the <strong>Bank</strong> is to be compensated for good the failure at the risk and<br />

cost of the Bidder.<br />

8 TERMINATION:<br />

a) The <strong>Bank</strong> reserves its right to cancel the entire/ unexecuted part of the<br />

Contract, at any time by giving 30 days written notice, without assigning<br />

reasons and without prejudice to any other remedy for breach of Contract.<br />

b) The <strong>Bank</strong> reserves its right to cancel the entire/ executed part of the Contract,<br />

at any time by giving 30 days written notice, in the event of any one or more<br />

of the following conditions:<br />

� If the Selected Bidder fails to deliver any or all of the Goods/ Services<br />

within the period(s) specified in the Contract or within any extension<br />

thereof granted by the <strong>Bank</strong>.<br />

� If the Selected Bidder fails to perform any other obligation(s) under the<br />

Contract.<br />

� If the Selected Bidder is not providing after sales and maintenance<br />

services and the calls are not attended for three or more occasions, the<br />

<strong>Bank</strong> is at liberty to terminate the Contract.<br />

� Delay in Implementation of the Project beyond the specified periods.<br />

� Non satisfactory performance of the Project during implementation.<br />

� Failure to integrate/ implement the project as per the requirements of the<br />

<strong>Bank</strong>.<br />

� Serious discrepancies noted in the implementation of the project.<br />

� Breach in the terms and conditions of the Order.<br />

� Non satisfactory performance of the Project in terms of affecting the Core<br />

Systems of the <strong>Bank</strong> or the Core Business of the <strong>Bank</strong> and the<br />

functioning of the Branches/ Offices of the <strong>Bank</strong>.<br />

In the event the <strong>Bank</strong> terminates the Contract in whole or in part, <strong>Bank</strong> may<br />

procure, upon such terms and in such manner, as it deems appropriate, Goods<br />

or Services similar to those undelivered and the Selected Bidder shall be liable<br />

to the <strong>Bank</strong> for any excess costs for such similar Goods or Services. However,<br />

the Selected Bidder shall continue performance of the Contract to the extent<br />

not terminated.<br />

If <strong>Bank</strong> does not want to use Hardware, Software supplied by the Bidder, the<br />

same will be returned and any amount paid will be recovered. <strong>Bank</strong> may<br />

liquidate BG or take legal recourse for recovering the amount. In case, legal<br />
