Linvatec Financial Services offers a variety of flexible financing programs from<br />

leases to procedure fees to delayed payment plans. Ask your Sales Representative<br />

for more information on how you can acquire the latest technology through<br />

a financing program that fits your unique budgetary requirements.<br />

Rental Kits<br />

In every O.R., there are times when you have to schedule a case but do not<br />

have the equipment needed. Either the capital funding for the equipment has<br />

yet to be approved or you have been unable to justify the cost of the<br />

equipment due to the procedure’s low volume.<br />

For these situations, Linvatec offers a rental program for procedure-specific<br />

Instruments and powered equipment. One toll free phone call, to Linvatec<br />

Rentals at 888-587-9742, and everything that you need for the case is on its way.<br />

To enroll in a rental program contact your Sales Representative. Your<br />

representative will help you customize the kits to fit your procedural<br />

requirements. After the case, simply return the Instruments sterilized, if<br />

appropriate, along with any disposables you did not use. You will be billed<br />

only for the rental fee and for the disposables not returned.<br />

Original Warranty<br />

Linvatec Corporation (“the Company”) warrants to the first purchaser or<br />

lessee (“Customer”) that the Instruments, attachments and parts<br />

manufactured by or for the Company (hereinafter collectively “Instruments”)<br />

have been tested, inspected, and shipped in proper working order.<br />

The Company warrants all new Instruments to be free from defects in materials<br />

Product Support<br />

Following the Original Warranty, Linvatec offers additional warranty and<br />

service programs that support our products throughout their lifetime. Service<br />

programs address the necessity to control cost and greatly reduce repair<br />

turnaround time by eliminating the need for repair quotes. Products not<br />

covered under a service program are subject to variable repair charges that<br />

typically result in significantly higher repair costs. To find out which service<br />

option best meets your needs, contact your local Sales Representative.<br />

Service Agreements<br />

Service Agreements provide additional warranty coverage on capital<br />

equipment. This additional warranty period covers all repair costs, provides<br />

for free loaner usage (upon availability) during repair time and covers freight<br />

charges out from Linvatec both on the loaner product and the repaired<br />

Instrument. You are responsible for the freight charges in for both the<br />

Instrument needing repair and the return shipment of the loaner. Options are<br />

available that allow for purchasing one (1) year or two (2) year additional<br />

warranty coverage.<br />

Service Warranty<br />

At the end of the Original or Service Agreement period, Instruments may still<br />

be returned to Linvatec for repair at the Customer’s expense. Linvatec<br />

warrants that any service or repair work performed by Linvatec shall be free<br />

from defects in workmanship and materials for a period of 90 days after the<br />

date the Customer receives the Instrument(s). This limited warranty applies<br />

only to the actual service or repair work performed by Linvatec authorized<br />

service centers. Linvatec warrants that all parts and assemblies used in the<br />

repair or service of Instruments meet new part functional specifications,<br />

although some parts or assemblies may have been remanufactured.<br />

Linvatec components are manufactured to exacting tolerances and design<br />

specifications. As a standard practice, all repairs are subject to strict product<br />

performance and testing specifications prior to returning the Instrument to<br />

the Customer. Linvatec ensures that each Instrument is inspected according<br />

to the guidelines used for new manufactured Instruments. If an Instrument is<br />

determined unrepairable, Linvatec will offer to sell to the Customer a<br />

refurbished or brand new Instrument or comparable equivalent to the<br />

Customer at a preferential price. All parts and assemblies replaced by Linvatec<br />

shall become the property of Linvatec<br />

Repair Quotes<br />

Repair quotes needed on products not covered by a warranty should be<br />

requested when calling Customer Service to initiate an RG (refer to<br />

Return/Repair section). If a quote is not requested, the repair will be<br />

processed and your account billed accordingly provided the repair is not<br />

covered under warranty.<br />

Minimum Service Charge<br />

There is a minimum repair charge of $100 (except for products covered under<br />

warranty). This charge applies to the evaluation and testing completed<br />

on the Instrument.<br />

Warranty Terms<br />

Product Support and<br />

Service Programs<br />

If the Customer discovers within the warranty period (original or Service<br />

Agreement) that an Instrument has a defect in materials and/or<br />

workmanship, the customer must promptly notify the Company. Also, if the<br />

Customer discovers within the service warranty period that any service or<br />

repair work performed by Linvatec has a defect in workmanship and/or<br />

materials, the customer must promptly notify the Company. If it becomes<br />

necessary to return the Instrument to the Company, the Customer must (a)<br />

acquire a “Returned Goods” authorization from the Company Customer<br />

Service Department, (b) pack the unit carefully, and (c) return it to the<br />

Company via air freight, prepaid.<br />

Within a reasonable time after receipt of the Instrument, the Company will<br />

investigate and correct any defect covered by warranty by providing, at its<br />

option, one of the following: service or repair of the Instrument, a<br />

replacement of the Instrument, or a refund of the purchase price of the<br />

Instrument. All parts and assemblies replaced by Linvatec shall become the<br />

property of Linvatec. These remedies are the Customer’s exclusive remedies<br />

under the warranty.<br />

The foregoing limited warranties do not apply to:<br />

• Instruments that have been tampered with, altered, abused, neglected,<br />

or misused.<br />

• Instruments damaged through use with other than Company authorized<br />

accessories, attachments, burs or blades.<br />

• Instruments not manufactured by or for the Company.<br />

• Instruments used for purposes other than those for which they were<br />

designed and manufactured, including use in any way inconsistent with<br />

the instructions and warnings contained in the Company instruction<br />

manuals and package inserts.<br />

• Instruments that were last serviced, refurbished, reprocessed or<br />

reconditioned by a nonauthorized service entity.<br />

THE FOREGOING LIMITED WARRANTIES ARE IN LIEU OF ALL<br />

OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT<br />

NOT LIMITED TO, THE IMPLIED WARRANTIES OF<br />

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.<br />

In no case shall the Company be liable for any special, incidental or<br />

consequential damages based upon breach of warranty or any other legal<br />

theory. Some jurisdictions do not allow limits on warranties, or on remedies,<br />

and, in such jurisdictions, the limits in this and the preceding paragraphs may<br />

not apply.<br />

The Company reserves the right (a) to make design changes to Instruments at<br />

any time without notice to Customer and without incurring any obligation to<br />

incorporate those changes into Instruments previously purchased or leased, and<br />

(b) to make changes from time to time in the contents of any publication,<br />

instruction manual or package insert without any obligation to notify Customers<br />

of such revisions or changes, and (c) to change price without notice.<br />

Additional Service Programs<br />

R.A.P.I.D.<br />

Linvatec’s R.A.P.I.D. (Replacement Arthroscope/Endoscope with Priority for<br />

Immediate Delivery) program is designed to minimize downtime and<br />

inconvenience when a Linvatec reusable scope is damaged. Linvatec will<br />

replace reusable scopes covered under this program on an exchange basis, via<br />

overnight delivery, subject to availability.<br />

RAPID Program Guidelines:<br />

1. Linvatec will replace the damaged scope via overnight shipment (subject to<br />

availability) with a model of equal quality. Linvatec Customer Service must<br />

receive the request prior to 4:30 p.m. EST for next business day delivery. A<br />

customer purchase order is required.<br />

2. An invoice up to list price will be issued. It is your responsibility to return<br />

the damaged scope to Linvatec within fifteen (15) working days. The<br />

returned scope will be evaluated and, if repairable, a credit will be issued<br />

for the salvage value (as determined by Linvatec) of the damaged scope.<br />

3. If the damaged scope cannot be refurbished, credit will not be issued and<br />

you will be notified.<br />

4. Linvatec reserves the right, from time to time, to modify the list of scopes<br />

being covered under this program.<br />

Advance Payment R.A.P.I.D.<br />

Linvatec’s Advance Payment RAPID (Replacement Arthroscope/Endoscope<br />

with Priority for Immediate Delivery) program is designed like the RAPID<br />

program, but is intended to capitate scope repair costs. Under the program,<br />

customers will pre-pay a fee based on the number of their Linvatec scopes.<br />

Linvatec will replace damaged scopes up to four (4) times [the number of<br />

scopes covered under the agreement per year].<br />

Advanced Payment RAPID Guidelines<br />

1. Customer must sign an agreement for one (1), two (2), or three (3) years.<br />

2. Upon signing the agreement, an invoice will be issued for the amount of<br />

the agreement.<br />

3. Linvatec will replace the damaged scope via overnight shipment (subject to<br />

availability) with a model of equal quality. Linvatec Customer Service must<br />

receive the request prior to 4:30 p.m. EST for next business day delivery. A<br />

customer purchase order is required.<br />

4. A zero-dollar invoice will be issued. It is your responsibility to return the<br />

damaged scope to Linvatec within ten (10) working days.<br />

5. If the damaged scope is not received within ten (10) working days, you will<br />

be invoiced $1,500.00, which is not refundable.<br />

6. This program does not currently cover 1.9mm small joint scopes. Linvatec<br />

reserves the right, from time to time, to modify the list of scopes being<br />

covered under this program.<br />

Envision Flat Rate R.A.P.I.D. Repair<br />

Linvatec’s Envision Flat Rate Repair program is an alternative to the standard<br />

R.A.P.I.D. program. Our Flat Rate program is designed for hospitals that still<br />

require a 24-hour placement but want a price cap on repair costs.<br />

For a flat rate, Linvatec will provide a replacement scope within 24 hours. This<br />

program keeps scope repair simple and convenient.<br />

Program Guidelines:<br />

1. Customer will sign an agreement stating they will use the Linvatec Flat<br />

Rate program and agree to have scopes only serviced by a Linvatec<br />

authorized repair facility.<br />

2. Linvatec will replace the damaged scope with a model number of equal<br />

quality using next business day delivery service. To ensure next business<br />

day delivery, Linvatec Customer Service must receive the request by 4:30<br />

p.m. EST. A Customer purchase order is required.<br />

3. An invoice at up to list price will be issued. It is your responsibility to return<br />

the damaged scope to Linvatec within fifteen (15) working days for<br />

evaluation. The returned scope will be evaluated and a credit will be issued<br />

(the difference between the invoiced price and the flat rate repair price).<br />

4. If the scope has been previously repaired by a facility other than an<br />

authorized Linvatec repair center, the warranty will be void and a credit will<br />

not be issued.<br />

Clear Repair<br />

Pay-For-Service Repair Program for Damaged Arthroscopes /Endoscopes<br />

Linvatec’s Clear Repair program is another alternative to our R.A.P.I.D.<br />

program. With Clear Repair, you will receive the same scope after it is<br />

repaired to its original specifications. All repairs are warranted in accordance<br />

with our service warranty period (refer to section Service Warranty Period).<br />

Processing a Clear Repair:<br />

1. Call your Linvatec Sales Representative or Customer Service to obtain a<br />

Return Goods number for a repair through the Clear Repair program.<br />

When you are issued your RG number, you will be advised of the location<br />

where to send your Instrument.<br />

2. Mail the damaged scope in a shipping carton provided by your<br />

Sales Representative.<br />

3. The Linvatec Repair Coordinator will present you with a quote within 24<br />

hours of receiving the damaged scope:<br />

• The repair quote is based on the repair required. Prices are estimates only.<br />

• Approval of the repair quote is required.<br />

Service Programs<br />

4. If the scope is severely damaged, you may choose between a replacement<br />

through our R.A.P.I.D. program or having the scope repaired.<br />

5. If the scope cannot be repaired, a new or refurbished scope will be offered.<br />

6. The scope is returned to you within 5-10 working days of Customer approval.<br />

Loaner Program<br />

Linvatec’s loaner program is designed to minimize downtime and<br />

inconvenience when an essential product needs off-site servicing.<br />

Loaners are available for most capital products. Loaners are available at no<br />

charge during the warranty period (includes both original and extended<br />

warranty) A nominal loaner charge is associated with products not covered by<br />

a warranty.<br />

Program guidelines:<br />

1. Linvatec will strive to send the same model number as your unit but<br />

reserves the right to send a different model.<br />

2. Loaners, if available, will be sent using next business day delivery service.<br />

To ensure next business day delivery, Linvatec Customer Service must<br />

receive all loaner requests prior to 5:30 p.m. EST.<br />

3. For warranted products, Linvatec will pay freight charges out (includes<br />

both the loaner unit and the repaired unit). You are responsible for freight<br />

charges in (includes both the unit needing repair and the return shipment<br />

of the loaner unit).<br />

4. A loaner unit will be considered delinquent if any of the following<br />

conditions are met:<br />

• If the loaner is not returned within fourteen (14) calender days after<br />

shipment of your repaired Instrument<br />

• If the loaner is not returned within seven calendar (7) days after your<br />

rejection of a quoted repair price<br />

• If your Instrument needing repair is not received at Linvatec within<br />

fourteen (14) calendar days of loaner shipment<br />

5. Linvatec reserves the right, at its sole discretion, to charge non-refundable late<br />

fees and/or to charge up to full list price for any loaner product which is not<br />

returned on time or which is damaged due to customer misuse or negligence.<br />

6. Linvatec reserves the right to ask cash-in-advance and credit card<br />

customers to pay the standard repair charges and loaner fees (if applicable)<br />

prior to shipping a loaner.<br />

Procedure for Returns/Repairs<br />

1. All Instruments must be cleaned and sterilized, if appropriate, prior to<br />

return of any Instrument to Linvatec. Instruments contaminated with<br />

biohazardous materials will be returned to you at your expense.<br />

2. An authorized Return Goods (R.G.) Number must be obtained prior to<br />

returning any Instrument for repair/return.<br />

3. To return a product for repair, contact Linvatec Customer Service. The<br />

following information is needed to process a repair/return:<br />

• Catalog Number<br />

• Serial/Lot Number (if applicable)<br />

• Original Invoice Number<br />

• Detailed description of the problem or reason for return<br />

4. The R.G. number must be displayed on the outside of the box, included<br />

with all paperwork, and must be referred to when making an inquiry about<br />

the status of a repair/return.<br />

5. Linvatec maintains various repair centers around the world. When you are<br />

issued your R.G. number, you will be advised of the location where to send<br />

your product.<br />

Return Terms<br />

If it becomes necessary to return a product after purchase, the product must<br />

be returned within 45 days of ship date. Returns must be shipped prepaid<br />

freight. Returns that are not shipped prepaid freight will not be accepted. All<br />

product returns, except those attributable to a Linvatec error, are subject to a<br />

restocking fee of 15% of the purchase price or $25, whichever is greater.<br />

Products Not Eligible for Credit:<br />

• Sterile products/disposables returned with the outer packaging seals broken<br />

• Non-sterile products that have been sterilized and/or placed in the<br />

surgical field<br />

• Products damaged by customer misuse or negligence<br />

• Altered or customized products<br />

• Products purchased through a sales promotion<br />

• Products damaged in return transit due to inadequate packaging<br />

• Less than full packages – all products must be in original packaging<br />

• Obsolete products<br />

Return/Repair Information<br />

Products purchased under “True Purchasing Flexibility” or Linvatec Financial<br />

Services programs may have different return guidelines depending on the<br />

program selected.<br />

Packaging<br />

Whenever it is required to return your product, be sure to package it in a<br />

protective carton. We recommend that you save the original shipping<br />

container for this purpose. In-transit damage is not covered by the warranty;<br />

therefore, it is best to always insure shipments.<br />

Return Shipping<br />

All repaired products will be returned to you via second day air delivery unless<br />

you request an alternate shipping method. The cost of return shipping is your<br />

responsibility unless the product is under a warranty.<br />
