TRANSPETROL, a. s. Financial statements Šumavská 38 for the year ended 31 December 2008 821 08 Bratislava (1) In December 2003, the Company established together with OMV a subsidiary BSP Bratislava-Schwechat pipeline GmbH, Parkring 10, 1010 Vienna, Austria („BSP“) and made cash contributions to the share capital of the subsidiary. The Company’s 74% share of the subsidiary’s capital represents EUR 1,998 thousand. Shareholders in subsidiary BSP Bratislava-Schwechat pipeline GmbH agreed on general meeting held in May 2007 to increase of share capital by EUR 3,553 thousand. Share capital was increased by OMV by monetary contribution and by majority shareholder TRANSPETROL, a.s. by capitalization of receivables to BSP in the amount EUR 2,629 thousand (SKK 88,284 thousand). A difference in valuation from the capitalisation of receivable amounted to SKK 2,608 thousand (Note F1 Equity, Differences in valuation from capital interests). As of the date 31 December 2008 the increase in share capital has been registered with the Commercial Court in Commercial Register in Austria. The equity stated in the Commercial Register of the Republic of Austria represents EUR 6,253 thousand as of the date 31 December 2008. The total amount of the investment at 31 December 2008 was reduced only as an effect of exchange rate fluctuation. Detailed information is stated in the Note M and N. (2) The company SWS reduced its registered capital in 2007 and paid distribution to its members, reduced by losses from previous years. The Company holds share in associated company SWS, s.r.o. with an acquisition cost of SKK 34,087 thousand as of 31 December 2008 (as of 31 December 2007: SKK 34,087 thousand) for which a provision of SKK 10,085 thousand is recorded as of 31 December 2008 (as of 31 December 2007: SKK 10,085 thousand). In 2008 the Company adjusted amount of provision because of the change in the share of equity of SWS. (3) The Company holds UniCredit Bank Slovakia, a.s., shares with an acquisition cost of SKK 43,155 thousand that are stated at fair value as of 31 December 2008 in the amount SKK 8,390 thousand (as of 31 December 2007: SKK 8,390 thousand). (4) The Company holds Slovenská kreditná banka, a.s. (SKB) shares with an acquisition value of SKK 46,190 thousand that are stated at fair value as of 31 December 2008 in the amount SKK 0 thousand (as of 31 December 2007: SKK 0 thousand). The fair value change is recognised in balance sheet within the Equity. The Company did not record any change in fair value as of 31 December 2008. (6) The total provision on long-term financial assets as of 31 December 2008 includes provision for investment in SWS totalling SKK 10,085 thousand. 10
