7. Corporate governance<br />
Corporate governance is a major topic in the<br />
implementation of corporate sustainability strategies as<br />
it is the central instrument for managing the ethical,<br />
environmental, and social risks that a company faces. The<br />
objectives of the engagement around this topic cover:<br />
• The composition and functioning of the board of<br />
directors: Companies should ensure that there is a<br />
balance of skills on the board, that there is sufficient<br />
independence, that there is sufficient diversity and<br />
that the board is regularly renewed.<br />
• Management remuneration policies: The dialogue<br />
aims at improvements in the transparency of these<br />
remuneration policies as well as the introduction of<br />
environmental and social performance criteria.<br />
• Tax responsibility: Companies should develop a<br />
responsible tax strategy by committing to pay taxes<br />
in the countries where they operate and make<br />
profits.<br />
• Digital responsibility: Companies must, among other<br />
things, respect the highest standards of data<br />
processing and protection, implement ethical<br />
principles for the use of artificial intelligence and<br />
ensure a fair and responsible social transition.<br />
• Shareholder rights: protection of shareholder rights,<br />
such as the right to participate in the general meeting<br />
and the right to table a shareholder resolution.<br />
