<strong>TC</strong> <strong>West</strong> <strong>to</strong> <strong>be</strong> <strong>sold</strong> <strong>to</strong> <strong>ish</strong><br />

Cologne – Septem<strong>be</strong>r 18, 2006 – Unity Media GmbH, the parent company of iesy, <strong>ish</strong>,<br />

<strong>Tele</strong> <strong>Columbus</strong> and arena, <strong>to</strong>day announced the sale of <strong>Tele</strong> <strong>Columbus</strong> <strong>Ka<strong>be</strong>l</strong> <strong>Holding</strong><br />

GmbH <strong>to</strong> <strong>ewt</strong> for an undisclosed price. The <strong>sold</strong> companies have over 1.5 million<br />

subscri<strong>be</strong>rs after the closing of previously announced transactions and the planned sale of<br />

<strong>Tele</strong> <strong>Columbus</strong> <strong>West</strong> GmbH & Co. KG (“<strong>TC</strong> <strong>West</strong>”) <strong>to</strong> <strong>ish</strong>. <strong>TC</strong> <strong>West</strong> operates in North<br />

Rhine-<strong>West</strong>phalia with over 500,000 subscri<strong>be</strong>rs, and <strong>ish</strong> is expected <strong>to</strong> acquire <strong>TC</strong> <strong>West</strong><br />

prior <strong>to</strong> completion of the <strong>ewt</strong> transaction.<br />

It is anticipated that closing will occur during the fourth quarter of this year. Until the<br />

closing date, the <strong>sold</strong> companies shall continue <strong>to</strong> operate independently as part of the<br />

<strong>Tele</strong> <strong>Columbus</strong> group.<br />

In August, Unity Media announced the sale of over 60,000 <strong>Tele</strong> <strong>Columbus</strong> subscri<strong>be</strong>rs<br />

located in Hesse <strong>to</strong> iesy as well as the sale of over 400,000 subscri<strong>be</strong>rs <strong>be</strong>longing <strong>to</strong> its<br />

<strong>Tele</strong> <strong>Columbus</strong> Baden-Württem<strong>be</strong>rg entities <strong>to</strong> <strong>Ka<strong>be</strong>l</strong> BW. Closing of the <strong>Ka<strong>be</strong>l</strong> BW<br />

transaction is expected following the regula<strong>to</strong>ry process.<br />

Unity Media GmbH plans <strong>to</strong> contribute its 100% subsidiary, <strong>Tele</strong> <strong>Columbus</strong> <strong>Ka<strong>be</strong>l</strong> <strong>Holding</strong><br />

GmbH <strong>to</strong> its operating subsidiary, <strong>ish</strong> NRW GmbH. <strong>ish</strong> NRW GmbH intends <strong>to</strong> acquire<br />

<strong>Tele</strong> <strong>Columbus</strong> <strong>West</strong> GmbH & Co. KG from the <strong>Tele</strong> <strong>Columbus</strong> group companies. Orion<br />

Cable GmbH, the parent company of the <strong>ewt</strong> cable group, will then acquire from <strong>ish</strong> NRW<br />

GmbH all shares in <strong>Tele</strong> <strong>Columbus</strong> <strong>Ka<strong>be</strong>l</strong> <strong>Holding</strong> GmbH.<br />

The purchase price will <strong>be</strong> paid in cash by Orion Cable GmbH. <strong>Tele</strong> <strong>Columbus</strong> <strong>Ka<strong>be</strong>l</strong><br />

<strong>Holding</strong> GmbH is the parent company of <strong>Tele</strong> <strong>Columbus</strong> GmbH & Co KG, the issuer of the<br />

€245.0 million floating rate senior notes due in 2010 and the €230.0 million 9 3/8% senior<br />

notes due in 2012. Unity Media will determine the use of excess proceeds from the<br />

various <strong>Tele</strong> <strong>Columbus</strong> transactions after closing.<br />

million basic cable subscri<strong>be</strong>rs, 71,800 digital TV RGU’s, 30,100 high speed Internet RGU’s and 1,700<br />
