Many business owners have an expectation that the money
they make from the future sale of their business will contribute
to/fund their retirement, yet most have no idea what their
business is worth.
Many owners are then shocked when they get to the point where
they wish to retire to learn that they haven’t created enough
value within their business to fund their retirement and they are
then forced to stay in the business longer or even worse, enter
retirement with a shortfall of capital to fund their sunset years.
To avoid such a situation, all business owners must get to know
what their business is worth well in advance of selling it – whether
for retirement or any other reason.
Knowing what your business is worth prior to selling it will give
you an opportunity to increase its value, ahead of any sale, so that
you can fetch the maximum price possible.
WHAT INFLUENCES MY BUSINESS’S VALUE?
Your business’s value depends on a variety of
factors – the size of your business, your team, your
expected growth, what contracts are in place and
how reliant the business is on the owner.
Ultimately though, it comes down to how profitable the business
is and the business’s ability to continue generating this profit
without the involvement of the owner.
HOW DO YOU CALCULATE
THE VALUE OF YOUR BUSINESS?
When it comes to calculating your business’s
value, there are a few formulas that are used
regularly but the determination of the value is
far from an exact science. Ultimately, the value
of the business is determined by the market and what a willing,
and financially-able buyer, will pay for the business.
The common formulae that are used to arrive at a value (around
which negotiations can take place) include the net asset value,
multiple of historical earnings, discounted future earnings,
free cash flow and liquidation value. All these formulae require
accurate, up-to-date financial records for the business.
In terms of financial records, purchasers place far more reliance
on the externally, independently prepared annual financial
statements of the company than the internally prepared
management accounts.
Business owners must ensure their accounts are up-to-date
and accurately reflect the trading performance of the business.
Because if it’s not in the numbers, it won’t be paid for!

There are several legal implications which you need
to be aware of when renovating a property.
Many homeowners are making the wise decision to “add on,
rather than move on”. Whilst this is an invariably cheaper option
than moving an entire household (and incurring the associated
transfer costs and duties), there are a few considerations to keep
in mind.
CAN YOU EVEN DO IT?
You’ve spent hours on Pinterest and you are just itching to
start renovating your flat. As the owner of a sectional title
property, you would assume that you have the right to do any
renovations, but this is seldom the case.
If you own a sectional title property you are bound by the
body corporate rules which often require the body corporate’s
permission before work can start.
Often it is also a requirement that renovations be completed in
a specified style and to a certain standard. If you fail to comply
with these rules, the body corporate may take legal action
against you.
PUT IT IN THE CONTRACT
A large proportion of legal battles involve builders and their
customers. To avoid a lengthy court case and legal costs, make
sure that you get references for registered builders and be very
clear about what you want and your timeline. Have a contract
drawn up, stipulating what happens in situations like missed
deadlines. Make sure that any additional work (not in the
original contract) is put in writing and signed by both the
homeowner and builder. Issues often arise as a result of a
homeowner asking for a few extras and then seeing the final bill.
PLANNING PERMISSION
It is a well-known legal requirement that any new building or
renovation has to have plans approved by the local municipality.
If you proceed with your renovations without the required
planning permission this can have very real implications
both during your ownership and when you eventually come to
sell your home.
A building without the required, approved plans generally
constitutes a latent defect. Normally the standard voetstoots
clause would protect a seller from liability if a latent defect is
discovered after the property has been sold.
However, if you as the owner did the renovations and didn’t
disclose the fact that there are no approved plans, you would
not benefit from the protection of the voetstoots clause.
This would mean a buyer could have various legal remedies
against you.
Another point to consider is that in most cases a buyer will need
to obtain a mortgage bond to finance the purchase. It is now
quite common for the bank to request up-to-date and approved
plans before they will agree to lend the money. If these are not
available, your sale will inevitably fall through.
These legal issues can often detract from the satisfaction and
enjoyment that you would receive from your newly renovated
home, and can easily be avoided if proper legal advice is sought
at the outset.
