Many business owners have an expectation that the money<br />
they make from the future sale of their business will contribute<br />
to/fund their retirement, yet most have no idea what their<br />

To avoid such a situation, all business owners must get to know<br />
what their business is worth well in advance of selling it – whether<br />
for retirement or any other reason.<br />
Knowing what your business is worth prior to selling it will give<br />
you an opportunity to increase its value, ahead of any sale, so that<br />
you can fetch the maximum price possible.<br />
WHAT INFLUENCES MY BUSINESS’S VALUE?<br />
Your business’s value depends on a variety of<br />
factors – the size of your business, your team, your<br />
expected growth, what contracts are in place and<br />
how reliant the business is on the owner.<br />
Ultimately though, it comes down to how profitable the business<br />
is and the business’s ability to continue generating this profit<br />
without the involvement of the owner.<br />
HOW DO YOU CALCULATE<br />
THE VALUE OF YOUR BUSINESS?<br />
When it comes to calculating your business’s<br />
value, there are a few formulas that are used<br />
regularly but the determination of the value is<br />
far from an exact science. Ultimately, the value<br />
of the business is determined by the market and what a willing,<br />
and financially-able buyer, will pay for the business.<br />
The common formulae that are used to arrive at a value (around<br />
which negotiations can take place) include the net asset value,<br />
multiple of historical earnings, discounted future earnings,<br />
free cash flow and liquidation value. All these formulae require<br />
accurate, up-to-date financial records for the business.<br />
In terms of financial records, purchasers place far more reliance<br />
on the externally, independently prepared annual financial<br />
statements of the company than the internally prepared<br />
management accounts.<br />
Business owners must ensure their accounts are up-to-date<br />
and accurately reflect the trading performance of the business.<br />
Because if it’s not in the numbers, it won’t be paid for!<br />

There are several legal implications which you need<br />
to be aware of when renovating a property.<br />
Many homeowners are making the wise decision to “add on,<br />
rather than move on”. Whilst this is an invariably cheaper option<br />
than moving an entire household (and incurring the associated<br />
transfer costs and duties), there are a few considerations to keep<br />
in mind.<br />
CAN YOU EVEN DO IT?<br />
You’ve spent hours on Pinterest and you are just itching to<br />
start renovating your flat. As the owner of a sectional title<br />
property, you would assume that you have the right to do any<br />
renovations, but this is seldom the case.<br />
If you own a sectional title property you are bound by the<br />
body corporate rules which often require the body corporate’s<br />
permission before work can start.<br />
Often it is also a requirement that renovations be completed in<br />
a specified style and to a certain standard. If you fail to comply<br />
with these rules, the body corporate may take legal action<br />
against you.<br />
PUT IT IN THE CONTRACT<br />
A large proportion of legal battles involve builders and their<br />
customers. To avoid a lengthy court case and legal costs, make<br />
sure that you get references for registered builders and be very<br />
clear about what you want and your timeline. Have a contract<br />
drawn up, stipulating what happens in situations like missed<br />
deadlines. Make sure that any additional work (not in the<br />
original contract) is put in writing and signed by both the<br />
homeowner and builder. Issues often arise as a result of a<br />
homeowner asking for a few extras and then seeing the final bill.<br />
PLANNING PERMISSION<br />
It is a well-known legal requirement that any new building or<br />
renovation has to have plans approved by the local municipality.<br />
If you proceed with your renovations without the required<br />
planning permission this can have very real implications<br />
both during your ownership and when you eventually come to<br />
sell your home.<br />
A building without the required, approved plans generally<br />
constitutes a latent defect. Normally the standard voetstoots<br />
clause would protect a seller from liability if a latent defect is<br />
discovered after the property has been sold.<br />
However, if you as the owner did the renovations and didn’t<br />
disclose the fact that there are no approved plans, you would<br />
not benefit from the protection of the voetstoots clause.<br />
This would mean a buyer could have various legal remedies<br />
against you.<br />
Another point to consider is that in most cases a buyer will need<br />
to obtain a mortgage bond to finance the purchase. It is now<br />
quite common for the bank to request up-to-date and approved<br />
plans before they will agree to lend the money. If these are not<br />
available, your sale will inevitably fall through.<br />
These legal issues can often detract from the satisfaction and<br />
enjoyment that you would receive from your newly renovated<br />
home, and can easily be avoided if proper legal advice is sought<br />
at the outset.<br />
