COOL-FIT for

COOL-FIT helps you to work in a more environmentally
friendly and energy-efficient manner.
Compared to post-insulated metal systems, COOL-FIT is
considerably more environmentally friendly and helps to
work more energy-efficiently. For example: a cold store
uses 1500 meters of piping to transport cold water for the
cooling system. COOL-FIT releases about 100 tons carbon
dioxide less than a metal system during production and
operation. This saving is equivalent to a journey of
446,000 kilometers by car.
Outdoor installation
COOL-FIT 4.0 can also be installed outdoors without any
problems. All surfaces are sealed, weatherproof, and
UV-resistant. The sealing lip of the fittings surrounds the
pipe and thus reliably protects the insulation from water and
ice, ensuring a long service life.
Constant quality control
Thanks to the very few installation steps and the use of
electrofusion as the jointing technology, COOL-FIT 4.0
enables a degree of control that was previously impossible.
Installation errors are largely excluded from the outset,

Pre-insulated pipes for fast installation
In cold stores, long, straight pipe sections are common due
to their often considerable size. The pre-insulation of
COOL-FIT 4.0 supports fast installation, with all pipes
stripped at both ends at the factory.
Uncomplicated flange connections
Connection to existing metal systems is made straightforward
with the use of flange connections. The COOL-FIT 4.0 range
includes the appropriate flange adaptor, which is precisely
encased by the insulation shells.
Pre-insulated butterfly valves
In addition to ball valves, butterfly valves are among the most
frequently used valves in cold stores. They are pre-insulated in
the COOL-FIT 4.0 system, just like all other system components.
They are available from d110 to d225 as standard.
Safe even when installed outdoors
In order to use production areas efficiently, it is often
necessary to relocate part of the installation outdoors, such
as on the roof. No problem for COOL-FIT 4.0: the system is
watertight, weatherproof, and resistant to UV radiation.

Breweries
Corrosion-free
production
Corrosion resistance is particularly important
in breweries, because to the constant use of
water and liquid primary products. COOL-FIT 4.0,
as a pre-insulated plastic system, is ideal for
this use, especially for control and conditioning
the fermentation. The installation in historical
production buildings and irregularly shaped
storage cellars can be challenging. Our local

Electrical valves with pre-insulation
In addition to butterfly valves, the COOL-FIT 4.0 range
includes ball valves, operated manually or electrically. They
are pre-insulated, as is the entire system, and are therefore
as quick and easy to install as all the other components.
Flexible hoses for the tanks
Fermentation tanks often have no clearly defined angles on
their slightly irregular arched undersides, making it difficult
to install normal fittings. Here, pre-insulated flexible hoses
ensure a secure connection.
Installation fittings for sensors
Sensors for measuring pressure, temperature, and other
variables can be easily integrated with installation fittings.
The sensors are screwed in, drilling is not necessary. This
method reduces the risk of leakage.

Installation
Joined in minutes by
electrofusion
The COOL-FIT 4.0 pipes, fittings, and valves can be connected neatly, easily, and within just a few
minutes by electrofusion. On this page you can find the most important processing steps and the
technical differences among the dimension ranges d32 - d225 and d250 - d450.
Diameter d32 - d225
Features & Processing steps nominal
• The pipes are already stripped and peeled on delivery
• A sealing lip seals the insulations from each other
• All fittings are available as an electrofusion version
Clean the fusion zones of the fitting and pipe using a clean cloth.
Place the mounting aid on the fitting. Stretch the sealing lip pressing the
handles together.
Slide the ends of the pipe into the fitting as far as the marking. Then remove
the mounting aid.
Connect the welding cables to the welding contacts of the fitting and weld according
to the instruction manual.

simple, and fast installation by electrofusion. Even plumbers
without any training in welding find it easy to install COOL-FIT
4.0 and check the quality of the installation.

• Pipes and fittings must be peeled before installation
• Insulations are sealed from each other with a sealing tape
and shrink sleeves
• Spigot fitting (type B) connected with electrofusion coupler
(type A)
Peel the ends of the pipe and fitting type B and clean the fusion zones of the
fitting and pipe using a clean cloth.
Slide-on the shrink sleeves and push the pipe ends up to the stop into the
electrofusion coupler.
Connect the welding cables to the welding contacts of the fitting and weld
according to the instruction manual.
Seal the jointing face between the fitting and pipe with sealing tape and shrink
the shrink sleeves.

COOL-FIT 4.0
Heat Tracing
Frozen pipes can cause high costs. When water-filled COOL-FIT pipes are exposed to temperatures
below zero °C without circulation and for extended periods of time, the water freezes and proper operation
of the cooling system can no longer be maintained.
The heat-tracing system for COOL-FIT 4.0 offers an effective solution for the freeze protection of
COOL-FIT lines. The self-regulating heating tape in combination with the insulation of the COOL-FIT 4.0
pipe system prevents the cooling pipe from freezing..
Function
The COOL-FIT heat-tracing system uses a self-regulating heat-tracing cable installed inside the pipe. This efficiently protects
the medium from freezing directly and without heat loss through the pipe wall insulation.
The entry and exit of the cable into the COOL-FIT system is performed via cable glands, which are connected to the COOL-FIT
system via metallic thread transitions. The thermostat with surface sensor enables efficient control directly via the media temperature.
The temperature sensor is installed via COOL-FIT installation fittings using a suitable immersion sleeve.
With the COOL-FIT 4.0 heat tracing, reliable frost protection down to -30°C ambient temperature is provided across all COOL-
FIT4.0 dimensions from d32 - d450.
Please contact GF if you need antifreeze protection at ambient temperatures below -30°C.

COOL-FIT 4.0 fixed point
Model:
• The product consists of two components namely electrofusion tapes and pipe brackets.
• Electrofusion welded tape as permanent connection to transmit the forces that occur in the
pipe to the fixed point.
• The delivered pipe brackets are needed to deliver welding pressure during installtion and give
stability during operation.
• For welding, use an MSA2.x, MSA4.x, MSA 250, 300, 350, 400 or commercially available 220 V
fusion machines.
• If you use an MSA fusion machine from GF Piping Systems, use the 799 350 339 adapter or the
790 156 032 y-cable set.
• Please take note of the maximum allowed forces for this version in the table below.
• Fixed point brackets and cross braces have to be calculated and obtained by the installer.

Surface sensing programmable thermostat with alarm relay
• The surface sensing thermostat is designed to provide user friendly measurement and control
for heating cables. The thermostat has a 25 A control relay (that can be arranged to be volt
free) and a 2 A volt free SPDT alarm relay. Parameter and eventual alarm conditions are shown
on the digital display and settings can be programmed easily, even without power supply. The
thermostat is supplied with a Pt100 sensor. This sensor has a 3 m long silicone extension cable
giving freedom to locate the electronics remote from the sensor. Two M25 entries allow for the
power cable and heating cable to be connected directly into the unit.

MSA 2.1 Automatic Electrofusion Unit with protocols retrieval
The MSA 2.1 automatic electro fusion unit combines light weight and high efficiency, thanks to its
inverter technology and furthermore provides fusion documentation in PDF. The unit is extremely
fast and simple, with three basic operations required to operator: connect, scan, start the fusion.
It is robust, safe and ergonomic.
All is meant to simplify the job: the barcode scanner, for long distance reading, the cooling system
to joint in series, the icon system, to keep the interaction between user and machine intuitive.
The entire welding process is controlled and regulated with energy output compensation depending
on ambient temperature and the indication of cooling time.
The unit has 1000 protocols permanently stored in the internal memory. The user can copy the
fusion reports in an USB stick to print them out in PDF format.
Scope of delivery includes: transport box, angle adapters (4.0 mm and 4.7 mm), operating instructions,
START/STOP badge and USB memory stick with PC applications.

Algemene Verkoop- en Leveringsvoorwaarden van Georg Fischer N.V.
1. Definities
Aanbod / Aanbieding: ieder aanbod van Georg Fischer tot het aangaan van een Overeenkomst;
Diensten: alle (aanvullende) diensten en/of (technische) werkzaamheden, van welke aard dan ook, die door Georg Fischer worden
verricht, in de ruimste zin;
Georg Fischer: de naamloze vennootschap Georg Fischer N.V. te Epe (KvK-dossiernummer: 08058748), zijnde de gebruiker van de
Voorwaarden;
Goederen: de door Georg Fischer op basis van de Overeenkomst aan of ten behoeve van Wederpartij te leveren Goederen, zijnde
zaken en/of vermogensrechten;
Overeenkomst: iedere Overeenkomst tussen Partijen ter zake (ver)koop en levering van Goederen door Georg Fischer aan Wederpartij
en/of het door Georg Fischer verlenen van Diensten aan Wederpartij;
Partij(en): georg Fischer en Wederpartij c.q. ieder voor zich;
Schriftelijk: per brief, fax, elektronisch bericht of deurwaardersexploot;
Voorwaarden: deze Algemene Verkoopvoorwaarden van Georg Fischer;
Wederpartij: de natuurlijke perso(o)n(en) en/of rechtsperso(o)n(en) aan wie Georg Fischer een Aanbieding doet tot de levering van
Goederen en/of het verrichten van Diensten en/of wie met Georg Fischer een Overeenkomst aangaat.
2. Toepasselijkheid
2.1. Deze Voorwaarden zijn van toepassing op alle Aanbiedingen en Overeenkomsten, alsmede op alle daaruit voortvloeiende en
daarop voortbouwende verbintenissen.
2.2. Indien de Voorwaarden van toepassing zijn geweest op enige Overeenkomst, zijn deze automatisch – zonder dat dit nog
afzonderlijk tussen de betreffende Partijen overeengekomen behoeft te worden – van toepassing op iedere nadien gesloten
overeenkomst tussen Partijen, tenzij ter zake de betreffende overeenkomst uitdrukkelijk Schriftelijk tussen Partijen anders is
overeengekomen.
2.3. De toepasselijkheid op enige Overeenkomst van algemene of specifieke door Wederpartij gehanteerde voorwaarden wordt door
Georg Fischer uitdrukkelijk van de hand gewezen, tenzij en nadat de bedoelde voorwaarden uitdrukkelijk Schriftelijk door Georg
Fischer van toepassing zijn verklaard op een Overeenkomst. Aanvaarding op deze wijze van de toepasselijkheid van voorwaarden van
Wederpartij op een Overeenkomst brengt in geen geval met zich mee dat die voorwaarden stilzwijgend ook op enige nadien gesloten
Overeenkomst van toepassing zijn.
2.4. In geval van nietigheid of vernietiging door Wederpartij van een of meer bepalingen van de Voorwaarden blijven de overige
bepalingen van de Voorwaarden onverminderd van toepassing op de Overeenkomst. Partijen zullen in overleg treden om een nietige
of vernietigde bepaling van de Voorwaarden te vervangen door een bepaling die wel geldig c.q. niet-vernietigbaar is en die zoveel
mogelijk aansluit bij het doel en de strekking van de nietige c.q. vernietigde bepaling.
2.5. Voor zover een Overeenkomst afwijkt van één of meer bepalingen van de Voorwaarden, prevaleert het bepaalde in de
Overeenkomst. De overige bepalingen van de Voorwaarden blijven in dat geval onverminderd op de Overeenkomst van toepassing.
3. Aanbiedingen
3.1. Een Aanbod is, tenzij uitdrukkelijk anders vermeld, vrijblijvend en geldig gedurende de termijn vermeld in het Aanbod. Vermeldt het
Aanbod geen termijn voor acceptatie, dan vervalt het Aanbod in ieder geval veertien (14) dagen na de datum vermeld in het Aanbod.
3.2. Een door Wederpartij binnen de geldigheidstermijn geaccepteerd Aanbod kan door Georg Fischer gedurende vijf (5) werkdagen na
de datum van ontvangst van de acceptatie door Georg Fischer worden herroepen, zonder dat dit leidt tot enige verplichting van Georg
Fischer tot vergoeding van eventueel als gevolg daarvan door Wederpartij geleden schade.
3.3. Een door Wederpartij gegeven opdracht kan door Georg Fischer worden bevestigd door middel van een opdrachtbevestiging.
Indien Wederpartij niet binnen veertien (14) dagen na ontvangst van de opdrachtbevestiging hiertegen bezwaren heeft geuit, is de
opdracht zoals omschreven in de opdrachtbevestiging aanvaard.
3.4. Als Wederpartij aan Georg Fischer met het oog op het uitbrengen van een Aanbod gegevens, tekeningen en dergelijke verstrekt,
mag Georg Fischer uitgaan van de juistheid hiervan en zal zij haar Aanbod hierop baseren. Wederpartij vrijwaart Georg Fischer voor
elke aanspraak van derden met betrekking tot het gebruik van door of namens Wederpartij verstrekte tekeningen en dergelijke.
4. Totstandkoming van overeenkomsten
4.1. Met inachtneming van het overige in de Voorwaarden bepaalde, komt een Overeenkomst slechts tot stand:
(a) door acceptatie door Wederpartij van een Aanbod;
(b) door Schriftelijke opdrachtbevestiging van een door Wederpartij (mondeling of Schriftelijk) verstrekte opdracht anders dan op basis
van een Aanbod;
(c) doordat Georg Fischer feitelijk uitvoering geeft aan een opdracht van Wederpartij.
4.2. De Overeenkomst komt in de plaats van en vervangt alle eerdere voorstellen, correspondentie, afspraken of andere communicatie
tussen Partijen die heeft plaatsgevonden voorafgaand aan het aangaan van de Overeenkomst, hoezeer deze ook mogen afwijken van
of in strijd zijn met de Overeenkomst.
4.3. Wijzigingen van en/of aanvullingen op de Overeenkomst gelden uitsluitend na Schriftelijke aanvaarding hiervan door Georg
Fischer. Georg Fischer is niet gehouden om wijzigingen en/of aanvullingen van een Overeenkomst te aanvaarden en is gerechtigd
te eisen dat een afzonderlijke Overeenkomst wordt aangegaan. Georg Fischer is bevoegd eventuele kosten met betrekking tot de
wijzigingen van en/of aanvullingen op de Overeenkomst aan Wederpartij door te belasten.
4.4. Toezeggingen door en afspraken met ondergeschikten of vertegenwoordigers van Georg Fischer binden Georg Fischer slechts
tegenover Wederpartij indien en voor zover deze toezeggingen en/of afspraken door Georg Fischer Schriftelijk zijn bekrachtigd of
bevestigd aan Wederpartij.
5. Prijzen en tarieven
5.1. In een Aanbod of Overeenkomst vermelde prijzen luiden in Euro’s en zijn – tenzij uitdrukkelijk anders is aangegeven, danwel
de levering DDP in Nederland plaatsvindt (zoals opgenomen in de meeste recente versie van ICC Incoterms) – exclusief kosten
voor verpakking, vervoer en andere kosten van verzending, invoerdocumenten, (transport)verzekering(en), reistijd, reiskosten en
verblijfskosten en tevens exclusief omzetbelasting en/of andere van overheidswege opgelegde heffingen, van welke aard dan ook.
5.2. Wordt door Wederpartij een opdracht verstrekt aan Georg Fischer zonder dat een prijs uitdrukkelijk is overeengekomen, dan
wordt deze, ongeacht voorheen gedane Aanbiedingen of voorheen gehanteerde prijzen, tegen de ten tijde van de uitvoering van de
Overeenkomst geldende prijs uitgevoerd.
5.3. Als na de datum waarop de Overeenkomst is gesloten vier (4) maanden verstrijken en de nakoming ervan door Georg Fischer
nog niet is voltooid, mag een stijging in een of meer van de prijsbepalende factoren (zulks ter beoordeling van Georg Fischer) worden
doorberekend aan Wederpartij. Betaling van de prijsverhoging vindt plaats tegelijk met de betaling van de hoofdsom of de laatste
termijn.
5.4. Indien echter de verhoogde prijs die Georg Fischer wenst te hanteren als bedoeld in artikel 5.3 ten opzichte van de oorspronkelijke
prijs meer dan vijftien procent (15%) is gestegen, is Wederpartij gerechtigd om de Overeenkomst voor zover het toekomstige
verplichtingen van Georg Fischer betreft, op te zeggen binnen zeven (7) dagen na aanzegging van de prijswijziging, met dien verstande
dat Georg Fischer in dat geval onder geen beding jegens Wederpartij gehouden zal zijn om de als gevolg daarvan eventueel door
Wederpartij geleden schade te vergoeden.
6. Betaling
6.1. Terzake de door Georg Fischer te leveren c.q. geleverde Goederen en/of door Georg Fischer uit te voeren c.q. uitgevoerde
Diensten wordt door Georg Fischer een factuur gestuurd naar Wederpartij.
6.2. Betaling dient te geschieden binnen dertig (30) dagen na factuurdatum, tenzij Schriftelijk anders is overeengekomen. Betaling dient
te geschieden op door Georg Fischer aangegeven bankrekeningen. Bepalend voor het moment van betaling is het moment waarop
Georg Fischer bericht van haar bank betreffende de bijschrijving van het betreffende bedrag heeft ontvangen.
6.3. Indien betaling van een factuur niet volledig binnen de gestelde termijn heeft plaatsgevonden, is Wederpartij terstond, zonder dat
een nadere ingebrekestelling is vereist, van rechtswege in verzuim en is vanaf de datum na de vervaldatum van de betreffende factuur
een rente verschuldigd van 2% per maand (tenzij de wettelijke handelsrente hoger is, in welk geval die rente van toepassing is), waarbij
een deel van een maand geldt als hele maand. Voorts komen dan alle buitengerechtelijke incassokosten ten laste van Wederpartij,
welke kosten hierbij door Partijen bij voorbaat wordt vastgesteld op tenminste 15% van de openstaande vordering met een minimum
van € 150,-, onverminderd de bevoegdheid van Georg Fischer om de werkelijke buitengerechtelijke kosten te vorderen indien deze
meer bedragen.
6.4. Indien Wederpartij in verzuim is met de betaling van enige factuur als bedoeld in artikel 6.3, zijn ook alle overige openstaande
facturen terstond opeisbaar, zonder dat daarvoor een nadere ingebrekestelling vereist is.
6.5. Door Wederpartij gedane betalingen strekken respectievelijk ter afdoening van verschuldigde kosten, rente en vervolgens van
opeisbare facturen die het langst openstaan, ook indien Wederpartij bij de betaling vermeldt dat de betaling betrekking heeft op een
andere factuur.
6.6. Onverminderd bepalingen van dwingend recht, heeft de Wederpartij niet het recht zijn betalingsverplichtingen jegens Georg
Fischer op te schorten en/of te verrekenen met betalingsverplichtingen van Georg Fischer jegens Wederpartij.
6.7. Georg Fischer is gerechtigd alle vorderingen op Wederpartij te verrekenen met iedere schuld die Georg Fischer aan Wederpartij,
dan wel aan met Wederpartij gelieerde (rechts-)personen, mocht hebben.
6.8. Georg Fischer is, op basis van haar inschatting van de kredietwaardigheid van Wederpartij, te allen tijde gerechtigd voor het
nakomen van opeisbare en niet-opeisbare betalingsverplichtingen zekerheidsstelling of gehele of gedeeltelijke vooruitbetaling te
verlangen. Indien en zolang Wederpartij met de verlangde zekerheidstelling of gehele of gedeeltelijke vooruitbetaling in gebreke blijft is
Georg Fischer bevoegd haar leveringsplicht op te schorten.
6.9. Alle vorderingen van Georg Fischer op de Wederpartij zijn onmiddellijk opeisbaar in de navolgende gevallen:
(a) indien na het sluiten van de Overeenkomst aan Georg Fischer omstandigheden ter kennis komen die haar goede grond geven te
vrezen dat de Wederpartij niet aan zijn verplichtingen zal voldoen, zulks geheel ter beoordeling van Georg Fischer;
(b) indien Georg Fischer de Wederpartij bij het sluiten van de Overeenkomst gevraagd heeft zekerheid te stellen voor de nakoming als
bedoeld in artikel 6.8 en deze zekerheid uitblijft dan wel onvoldoende is;
(c) In geval van het aanvragen van faillissement of surseance van betaling van Wederpartij, liquidatie of faillissement van Wederpartij
of – voor zover Wederpartij een natuurlijke persoon betreft – het op Wederpartij van toepassing worden van de Wet Schuldsanering
Natuurlijke Personen (WSNP).
7. (Op)levertijd
7.1. De door Georg Fischer in het kader van een Overeenkomst opgegeven (op)levertijd betreft altijd een indicatie en geldt derhalve
nimmer als fatale termijn, tenzij tussen Partijen Schriftelijk uitdrukkelijk anders is bepaald. Overschrijding van de overeengekomen (op)
levertijd geeft in geen geval recht op schadevergoeding.
7.2. De door Georg Fischer opgegeven (op)levertijd gaat in wanneer over alle (technische) details overeenstemming is bereikt, alle
noodzakelijke gegevens en dergelijke in het bezit zijn van Georg Fischer en aan alle noodzakelijke voorwaarden voor uitvoering van de
Overeenkomst is voldaan.
7.3. Bij vaststelling van de (op)levertijd gaat Georg Fischer er vanuit dat zij de opdracht kan uitvoeren onder de omstandigheden zoals
die waren ten tijde van het sluiten van de Overeenkomst.
7.4. Als er sprake is van andere omstandigheden dan die welke Georg Fischer bekend waren ten tijde van het sluiten van de
Overeenkomst, kan Georg Fischer de (op)levertijd verlengen met de tijd die nodig is om de Overeenkomst onder de gewijzigde
omstandigheden uit te voeren. Als de werkzaamheden als gevolg daarvan niet in de planning van Georg Fischer kunnen worden
ingepast, zullen deze worden uitgevoerd/afgerond zodra de planning van Georg Fischer dit toelaat.
7.5. Als er sprake is van opschorting van verplichtingen door Georg Fischer wegens een tekortkoming van Wederpartij wordt de (op)
levertijd verlengd met de duur van de opschorting. Als de werkzaamheden als gevolg daarvan niet in de planning van Georg Fischer
kunnen worden ingepast, zullen deze worden uitgevoerd/afgerond zodra de planning van Georg Fischer dit toelaat.
7.6. Georg Fischer is na overschrijding van een overeengekomen leveringstermijn, dan wel de leveringstermijn na verlenging op grond
van de artikelen 7.4 en 7.5 van deze Voorwaarden, terzake Goederen alleen dan in verzuim indien zij van Wederpartij een Schriftelijke
ingebrekestelling heeft ontvangen, waarin haar een termijn van één (1) maand wordt gegeven om te leveren en nakoming daarvan
ook binnen deze termijn uitblijft. Wederpartij heeft ingeval van ontbinding geen recht op schadevergoeding, tenzij de overschrijding
van de laatstgenoemde termijn het gevolg is van opzet c.q. grove schuld van de directie van Georg Fischer en/of haar leidinggevende
ondergeschikten.
8. Wijze van levering
8.1. Alle leveringen door Georg Fischer in Nederland geschieden DDP (zoals opgenomen in de meeste recente versie van ICC
Incoterms), tenzij in de Overeenkomst expliciet anders is overeengekomen. Leveringen buiten Nederland geschieden in beginsel
Ex Works (zoals opgenomen in de meeste recente versie van ICC Incoterms), tenzij in de Overeenkomst expliciet anders is
overeengekomen. Na levering rust het risico van de Producten bij Wederpartij
8.2. Het door Georg Fischer aan Wederpartij ter aflevering aanbieden van bestelde Goederen wordt gelijk gesteld met levering van
deze Goederen. Indien Wederpartij weigert de ter aflevering aangeboden Goederen in ontvangst te nemen, zal Georg Fischer de
betreffende Goederen gedurende vijftien (15) werkdagen na de datum van aanbieding opslaan op een door haar te bepalen locatie
voor risico van Wederpartij. Na het verstrijken van deze termijn is Georg Fischer niet langer verplicht om de door Wederpartij bestelde
Goederen ter beschikking van Wederpartij te houden en is zij gerechtigd om de Goederen aan een derde te verkopen of anderszins
daarover te beschikken. Wederpartij blijft niettemin gehouden de Overeenkomst na te komen door de betreffende Goederen op eerste
verzoek van Georg Fischer af te nemen tegen de overeengekomen prijs, terwijl Wederpartij tevens verplicht is de schade van Georg
Fischer te vergoeden die voortvloeit uit de eerdere weigering van Wederpartij om de betreffende Goederen in ontvangst te nemen,
waaronder begrepen opslag- en transportkosten.
9. Eigendomsvoorbehoud en pandrecht
9.1. Alle geleverde Goederen blijven uitsluitend eigendom van Georg Fischer tot aan het moment waarop Wederpartij aan alle
verplichtingen – voortvloeiende uit of samenhangend met een Overeenkomst(en), waaronder begrepen vorderingen terzake van boete,
rente en kosten – voldaan heeft. Tot dat tijdstip is Wederpartij gehouden de door Georg Fischer geleverde Goederen gescheiden van
andere zaken en duidelijk geïdentificeerd als Georg Fischer-eigendom te bewaren en deugdelijk te verzekeren en verzekerd te houden.
9.2. In het geval van een levering van Goederen aan een Wederpartij op een ander grondgebied dan Nederland, dan geldt ten aanzien
van de betreffende Goederen – indien en zodra zij zich op het grondgebied van het betreffende land bevinden – in aanvulling op het in
artikel 9.1 vermeld eigendomsvoorbehoud naar Nederlands recht tevens een eigendomsvoorbehoud zoals vermeld in artikel 9.1 naar
het recht van het betreffende land, met dien verstande dat ten aanzien van de Overeenkomst voor het overige bij uitsluiting Nederlands
recht van toepassing is als vermeld in artikel 17.
9.3. Zolang er op geleverde Goederen een eigendomsvoorbehoud rust, mag Wederpartij deze buiten haar normale bedrijfsuitoefening
niet bezwaren of vervreemden.
9.4. Nadat Georg Fischer haar eigendomsvoorbehoud heeft ingeroepen mag zij de geleverde Goederen terughalen. Wederpartij staat
Georg Fischer toe de plaats te betreden waar de Goederen zich bevinden.
9.5. Als Georg Fischer geen beroep kan doen op haar eigendomsvoorbehoud omdat de geleverde Goederen zijn vermengd, vervormd
of nagetrokken, is Wederpartij verplicht de nieuw gevormde zaken aan Georg Fischer te verpanden of te verhypothekeren.
9.6. Het in dit artikel bedoelde eigendomsvoorbehoud is niet van toepassing indien de vordering van Georg Fischer op de Wederpartij
(als bedoeld in artikel 9.1 van deze Voorwaarden) door Georg Fischer is verzekerd bij een kredietverzekeraar en deze verzekering ten
aanzien van de gehele vordering op Wederpartij dekking biedt. Indien de kredietverzekeraar slechts dekking biedt voor een gedeelte
van de vordering op de Wederpartij is voor het restant onverkort sprake van een eigendomsvoorbehoud.
10. Acceptatie en garantie
10.1. De geleverde Goederen en verrichte Diensten zullen in ieder geval na uitvoering van de verplichtingen uit de Overeenkomst
door Georg Fischer binnen een redelijke termijn (zijnde niet langer dan drie (3) dagen na (op)levering) door Wederpartij aan een
acceptatietest worden onderworpen. Indien Wederpartij niet binnen de voornoemde redelijke termijn na (op)levering Schriftelijk
gebreken heeft gemeld aan Georg Fischer, dan wordt geacht dat de geleverde Goederen en verrichte Diensten door Wederpartij zijn
aanvaard en voldoen aan de in de Overeenkomst neergelegde eisen en prestaties. Geringe afwijkingen met de gebruikelijke toleranties
zijn voor Wederpartij geen grond voor reclamering.
10.2. Andere niet bij de (op)levering zichtbare gebreken aan geleverde Goederen en/of verrichte Diensten moeten binnen drie (3)
dagen na ontdekking danwel nadat zij redelijkerwijs te ontdekken waren, Schriftelijk en gemotiveerd aan Georg Fischer worden gemeld,
bij gebreke waarvan wordt geacht dat de geleverde Goederen en verrichte Diensten door Wederpartij zijn aanvaard en voldoen aan de
in de Overeenkomst neergelegde eisen en prestaties. Geringe afwijkingen met de gebruikelijke toleranties zijn voor Wederpartij geen
grond voor reclamering.
10.3. Na het ontdekken van enig gebrek als bedoeld in artikel 10.1 en 10.2 is Wederpartij verplicht om het gebruik, de bewerking,
verwerking of installatie van de betreffende Producten onmiddellijk te staken en zal zij alle door Georg Fischer voor onderzoek van het
gebrek gewenste medewerking verlenen onder meer door Georg Fischer in de gelegenheid te stellen ter plaatse een onderzoek in te
(doen) stellen naar de omstandigheden van bewerking, verwerking, installatie en/of gebruik.
10.4. Als Partijen geen overeenstemming bereiken over de vraag of er sprake is van een gebrek, dan wordt een onafhankelijke
deskundige ingeschakeld. De deskundige wordt in overleg met Wederpartij aangewezen door Georg Fischer. De kosten hiervoor
komen voor rekening van de (grotendeels) in het ongelijk gestelde partij, tenzij anders is overeengekomen.
10.5. Klachten van welke aard dan ook ten aanzien van de uitvoering door Georg Fischer van een Overeenkomst, schorten de
betalingsverplichting van Wederpartij niet op en kunnen slechts Schriftelijk ter kennis van Georg Fischer worden gebracht.
10.6. Op Georg Fischer rust geen enkele verplichting met betrekking tot een ingediende vordering indien Wederpartij niet aan al zijn
verplichtingen jegens Georg Fischer (zowel financieel als anderszins) tijdig en volledig heeft voldaan.
10.7. Een vordering betreffende een door Georg Fischer geleverd Goed en/of verrichte Dienst kan geen invloed hebben op eerder
geleverde of nog te leveren Goederen en/of Diensten, ook niet indien deze te leveren Goederen en/of Diensten zijn of zullen worden
verricht ter uitvoering van dezelfde Overeenkomst.
11. Garantie
11.1. Op door Georg Fischer geleverde Goederen wordt aan Wederpartij uitsluitend garantie verleend voorzover dat schriftelijk tussen
Partijen is overeengekomen.
11.2. Georg Fischer verleent twaalf (12) maanden (bij verkoop en levering op de plaats waar de Producten direct worden verwerkt c.q.
ingebouwd) of achttien (18) maanden (bij verkoop aan wederverkopers) na levering van de Producten garantie voor materiaal- en/of
fabricagefouten. De garantie van Georg Fischer houdt in dat zij voor haar rekening de fouten herstelt of – ter beoordeling van Georg
Fischer – het geleverde geheel of gedeeltelijk terugnemen en door een nieuwe levering vervangen. Indien Georg Fischer ter voldoening
aan haar garantieverplichting (onderdelen van) geleverde Producten vervangen, worden de vervangen (onderdelen van) producten
haar eigendom. Alle kosten, die uitgaan boven de hiervoor vermelde omschreven verplichting, zijn voor rekening van Wederpartij,
zoals onder meer transportkosten, reiskosten en kosten van demontage en montage. Ingeval Georg Fischer ter uitvoering van haar
garantieverplichtingen reparatieactiviteiten aan geleverde Producten verrichten, blijven de desbetreffende producten volledig voor risico
van Wederpartij.
11.3. Georg Fischer is niet gehouden tot het verlenen van de in artikel 11.2 bedoelde garantie indien:
(a) de gebreken aan de Producten het gevolg zijn van onoordeelkundig gebruik of van andere oorzaken dan ondeugdelijkheid van
materiaal of fabricage van de Producten;
(b) na goedkeuring van Wederpartij Georg Fischer gebruikte Producten (zijnde niet nieuw gefabriceerde Producten) levert aan
Wederpartij en/of in de te leveren Producten materiaal is verwerkt dat niet nieuw is c.q. eerder is gebruikt. Deze goedkeuring kan onder
meer blijken uit de Overeenkomst;
(c) de oorzaak van het gebrek niet kan worden gevonden;
(d) indien niet alle voor het gebruik van de Producten gegeven instructies en andere specifiek geldende garantievoorschriften stipt en
volledig zijn nagekomen;
(e) het fouten betreft die geheel of gedeeltelijk het gevolg zijn van overheidsvoorschriften met betrekking tot de kwaliteit of de aard der
gebruikte materialen of met betrekking tot de fabricage;
(f) Wederpartij op eigen initiatief gedurende de garantietermijn wijzigingen en/of reparaties aan de geleverde Producten verricht of
(heeft) laat (laten) verrichten;
(g) Wederpartij niet aan al zijn verplichtingen jegens Georg Fischer (zowel financieel als anderszins) tijdig en volledig heeft voldaan;
(h) de producten zich niet (meer) in Nederland bevinden.
12. Vervaltermijnen
12.1. Rechtsvorderingen en andere bevoegdheden van Wederpartij, uit welke hoofde ook, jegens Georg Fischer in verband met
geleverde Goederen en/of verleende Diensten vervallen na twaalf (12) maanden na de datum waarop Wederpartij bekend werd of
redelijkerwijs bekend kon zijn met het bestaan van deze rechten en bevoegdheden, doch uit dien hoofde voor het verstrijken van deze
termijn géén Schriftelijke claim is neergelegd bij Georg Fischer.
12.2. In het geval binnen de in artikel 12.1 vermelde termijn door Wederpartij een Schriftelijke claim is neergelegd bij Georg Fischer in
verband met door haar geleverde Goederen en/of verleende Diensten vervalt iedere rechtsvordering dienaangaande van Wederpartij
eveneens indien Georg Fischer niet binnen een termijn van vier (4) maanden na het ontvangen van de betreffende Schriftelijke claim in
rechte is betrokken bij de op grond van artikel 18 van de Voorwaarden bevoegde rechter.
12.3. De in artikel 12.1 en 12.2 genoemde termijnen zijn vervaltermijnen en kunnen niet door de Wederpartij worden gestuit.
13. Ontbinding en annulering
13.1. Ingeval Wederpartij een of enige van zijn verplichtingen uit hoofde van de Overeenkomst niet of deels niet nakomt, is Wederpartij
van rechtswege in verzuim en heeft Georg Fischer het recht de Overeenkomst, zonder nadere ingebrekestelling en zonder rechterlijke
tussenkomst, eenzijdig geheel of gedeeltelijk te ontbinden door middel van een Schriftelijke kennisgeving aan Wederpartij en/of haar
verplichtingen uit hoofde van de Overeenkomst op te schorten, zonder dat Georg Fischer tot enige schadevergoeding is gehouden en
onverminderd eventuele aan Georg Fischer toekomende rechten, waaronder begrepen het recht op volledige schadevergoeding. Alle
vorderingen die Georg Fischer in deze gevallen op Wederpartij mocht hebben of verkrijgen, zullen terstond en ten volle opeisbaar zijn.
13.2. Ingeval van faillissement, surséance van betaling, stillegging, liquidatie of overname of enige daarmee te vergelijken toestand
van de onderneming van Wederpartij of als Wederpartij zijn onderneming staakt of als op een aanmerkelijk deel van het vermogen van
Wederpartij beslag wordt gelegd of als Wederpartij niet langer moet worden geacht de verplichtingen uit de Overeenkomst na te kunnen
komen, is Wederpartij van rechtswege in verzuim en heeft Georg Fischer het recht de Overeenkomst zonder nadere ingebrekestelling
en zonder rechterlijke tussenkomst eenzijdig door middel van een Schriftelijke kennisgeving geheel of gedeeltelijk te ontbinden, zonder
dat Georg Fischer tot enige schadevergoeding is gehouden en onverminderd haar verdere rechten, waaronder begrepen het recht van
Georg Fischer op volledige schadevergoeding.
13.3. Wederpartij is slechts gerechtigd om een bestelling bij Georg Fischer te annuleren als Georg Fischer met die annulering instemt.
Indien Georg Fischer instemt met de annulering dan is Wederpartij gehouden om de reeds gemaakte kosten (zoals door Georg Fischer
ingekochte materialen en eventueel reeds uitgevoerde werkzaamheden) aan Georg Fischer te vergoeden, vermeerderd met een
vergoeding voor winstderving ten bedrage van 15% van de totale overeengekomen prijs.
14. Aansprakelijkheid en verzekering
14.1. Georg Fischer is aansprakelijk voor directe schade die Wederpartij lijdt en die het gevolg is van een aan Georg Fischer toe te
rekenen tekortkoming in de nakoming van de Overeenkomst. Voor vergoeding komt echter alleen in aanmerking die schade waartegen
Georg Fischer verzekerd is, dan wel redelijkerwijs verzekerd had behoren te zijn – gegeven de aard van de onderneming van Georg
Fischer en de markt waarin zij opereert – en slechts tot het bedrag dat de verzekeraar in voorkomend geval uitkeert.
14.2. Niet voor vergoeding in aanmerking komt:
(a) vermogensschade, zoals - doch niet beperkt tot - bedrijfsschade, gevolgschade, vertragingsschade en gederfde winst;
(b) opzichtschade, waaronder onder andere wordt verstaan schade die door of tijdens de uitvoering van het werk wordt toegebracht
aan zaken waaraan wordt gewerkt of aan zaken die zich bevinden in de nabijheid van de plaats waar wordt gewerkt (Wederpartij dient
zich desgewenst tegen deze schade behoorlijk te verzekeren);
(c) schade ontstaan door handelen of nalaten van Wederpartij of derden in strijd met door Georg Fischer verstrekte instructies c.q. in
strijd met de Overeenkomst en de Voorwaarden;
(d) schade als direct gevolg van door of namens Wederpartij aan Georg Fischer verstrekte onjuiste, onvolledige en/of ondeugdelijke
informatie.
14.3. Indien:
(a) het voor Georg Fischer ten tijde van het aangaan van de overeenkomst niet of niet tegen redelijke condities mogelijk is een
verzekering als bedoeld in lid 1 af te sluiten of daarna tegen redelijke condities te verlengen;
(b) de verzekeraar niet tot uitkering van de betreffende schade overgaat;
(c) de betreffende schade niet door de verzekering is gedekt,
is de vergoeding van de schade beperkt tot het bedrag dat door Georg Fischer voor de onderhavige overeenkomst (exclusief BTW)
met Wederpartij is overeengekomen, welke bedrag te allen tijde is gemaximeerd op € 25.000 exclusief btw. Indien de Overeenkomst
een duurovereenkomst is, wordt de aansprakelijkheid beperkt tot een bedrag gelijk aan 3 maal het totaalbedrag dat in het kader van de
opdracht in de laatste 6 maanden vóór het ontstaan van de schade van Wederpartij exclusief BTW is bedongen, welke bedrag te allen
tijde is gemaximeerd op € 25.000 exclusief btw.
14.4. Wederpartij vrijwaart Georg Fischer van alle aanspraken van derden wegens schade opgetreden door of in verband met door
Georg Fischer verrichte Diensten en/of geleverde Goederen, voor zover Georg Fischer jegens Wederpartij voor dergelijke schade ook
niet aansprakelijk zou zijn.
15. Overmacht
15.1. Onder overmacht wordt verstaan een tekortkoming in de nakoming van een Overeenkomst die niet aan Georg Fischer kan
worden toegerekend.
15.2. Onder overmacht als bedoeld in artikel 14.1 wordt in ieder geval – derhalve niet uitsluitend – begrepen een tekortkoming als
gevolg van (a) problemen bij en/of ernstige verstoringen van het productieproces bij toeleveranciers, waaronder nutsbedrijven,
(b) het niet leveren van noodzakelijke materialen door derden, (c) opzet of grove schuld van hulppersonen, (d) werkstaking,
(e) bovenmatig ziekteverzuim van het personeel van Georg Fischer, (f) brand, (g) bijzondere weersomstandigheden (zoals
overstromingen), (h) overheidsmaatregelen (zowel nationaal als op internationaal niveau), waaronder in- en uitvoerverboden en
in- en uitvoerbelemmeringen, (i) oorlog, mobilisatie, onlusten, oproer, staat van beleg, (j) sabotage, (k) vervoersstremmingen, (l)
machinebreuk en/of (m) transportvertraging.
15.3. In geval van overmacht heeft Georg Fischer de keuze hetzij de uitvoering van de Overeenkomst op te schorten totdat de
overmachtsituatie heeft opgehouden te bestaan, hetzij de Overeenkomst, al dan niet na aanvankelijk voor opschorting te hebben
gekozen, geheel gedeeltelijk te ontbinden. Wederpartij heeft in beide gevallen geen recht op enige schadevergoeding. Indien de
periode waarin door de overmacht nakoming van de verplichtingen door Georg Fischer onmogelijk is langer duurt dan dertig (30)
dagen, is ook Wederpartij bevoegd de Overeenkomst gedeeltelijk (voor de toekomst) te ontbinden, met dien verstande dat Georg
Fischer conform artikel 14.4 gerechtigd is voor de reeds verrichte werkzaamheden een factuur te sturen. Bij gedeeltelijke ontbinding
bestaat geen verplichting tot vergoeding van de (eventuele) schade.
15.4. Indien Georg Fischer bij het intreden van de overmacht al gedeeltelijk aan haar verplichtingen heeft voldaan of slechts gedeeltelijk
aan haar verplichtingen kan voldoen, is zij gerechtigd dat gedeelte afzonderlijk te factureren en is Wederpartij gehouden deze factuur te
voldoen als betrof het een afzonderlijke Overeenkomst.
16. Geheimhouding
16.1. Beide Partijen zijn verplicht tot geheimhouding van alle vertrouwelijke informatie die zij in het kader van hun Overeenkomst van
elkaar of uit andere bron hebben verkregen. Informatie geldt als vertrouwelijk als dit door een Partij is medegedeeld of als dit voortvloeit
uit de aard van de informatie.
16.2. Indien, op grond van een wettelijke bepaling of een rechterlijke uitspraak, Georg Fischer gehouden is vertrouwelijke informatie
aan door de wet of de bevoegde rechter aangewezen derden mede te verstrekken, en Georg Fischer zich ter zake niet kan beroepen
op een wettelijk dan wel door de bevoegde rechter erkend of toegestaan recht van verschoning, dan is Georg Fischer niet gehouden tot
schadevergoeding of schadeloosstelling en is Wederpartij niet gerechtigd tot ontbinding van de Overeenkomst.
17. Intellectuele eigendomsrechten
Alle (intellectuele en industriële) eigendomsrechten, waaronder maar niet beperkt tot auteursrechten en databankrechten, op alle
Goederen en/of de resultaten van Diensten waaronder maar niet beperkt tot kopij, modellen, tekeningen, ontwerpen, documentatie,
fotografische opnamen, films, informatiedragers, apparatuur en programmatuur (in object- en broncode), gegevens en databestanden,
mallen en matrijzen, welke onderwerp zijn van en/of voortvloeien uit en/of gebruikt zijn bij de nakoming van de verplichtingen uit de
Overeenkomst tussen Georg Fischer en Wederpartij berusten bij Georg Fischer. Indien voormelde rechten niet bij Georg Fischer
berusten is Wederpartij gehouden op eerste verzoek elke medewerking aan overdracht van het desbetreffende recht aan Georg
Fischer te verlenen.
18. Toepasselijk recht en bevoegde rechter
18.1. Op alle door Georg Fischer gesloten Overeenkomsten is uitsluitend Nederlands recht van toepassing.
18.2. Alle geschillen tussen Partijen worden uitsluitend beslecht door de Rechtbank Overijssel, locatie Zwolle.
