Preamble
Whereas the FirstParty holds and has the capabilities and
capacities to provide the necessary services to the Umrah
Pilgrimsand the visitorsof the Prophet's Mosque, subject to
the conditions and specifications defined by the official
entities in Saudi Arabia and is licensed to perform these
services, and whereas the Second Party isofficially licensed
and fulfills all the conditions required by the official
authorities in the Umrah pilgrim country of origin to organize
the travel. tourism, Umrah trips and visits to Saudi Arabia,
and the Second Party has the wish and capability to market
and sell the services of the first party in hiscountry/territory
............. Accurately and in full discipline for achieving the
number targeted by the FirstParty in his country / territory
...............during the whole Umrah season from the pilgrims
wishing to perform Umrah and visit to the Prophet's Mosque
(Visits)after reviewing the individual and group programs
for Umrah services and the visit to the Prophet's Mosque, in
addition to the terms, conditions and regulations of visa
issuance, booking, marketing and sales issued by the First
Party. Whereas the two parties wish that this relation shall be
consistent with the requirements and needs of organizing
the Umrah pilgrims and visitssubject to the decree of the
Saudi Arabian Ministers' Cabinet number (93) dated
10/6/1420 H and its executive rules issued by the ministerial
decree number 197/K/M dated 21/12/1420 H, and to give
effect to the regulations of article twenty one from the
executive rules, it has been agreed between the two
parties as follows:

The above preamble and the general contract annex shall
form an integral and complementing part of this contract.

Article Two: Definitions
In this Agreement including its recitals, the following words
shall have the following meanings, unless otherwise
required by the text. while Words importing the singular
number shall include the plural and the singular, as
otherwise required by the text and vice versa.
1- Kingdom: Kingdom of Saudi Arabia.
2- Umrah Pilgrims: People coming from outside Saudi
Arabia to perform the Umrah and to visit the Prophet'
Mosque.
3- Pilgrim'sCountry: the country from which the pilgrim
has travelled.
4- Licensed: Any entity, whether Saudi Company or
Association, of whatever legal form, licensed to
perform the pilgrims' service in Saudi Arabia (First Party
herein).

Article three: Conditions of obtaining visa from the
representative office
Whereas the pilgrim's or visitor'sobtaining of visa from the
representative office is performed through the second
party subject to the conditions of article seventeen from the
executive rule of Umrah, the Second Party shall be required
to present the request to the representative office after
ensuring the fulfillment of the following conditions:
1- Provision of the health conditions required by the
Ministryof Health in the Kingdom.
2- Provisionof valid passport to travel to the kingdom.
3- Round trip confirmed tickets from the country of the
pilgrim to the Kingdom, whether individual or group
trips.
4- Ensuringthe validity of all the annexed documents as
required from the consulates (Kinship- accompanied
women - sex- age - profession- nationality - ....).
5- Obtaining valid reference numbers.

Article Four: Regulations related to services provision
1- Both parties shall abide by the instructions and
regulations of the Umrah services, especially those
related to services provision.
2- Both parties shall abide by their assigned works as
defined by the rules, laws and regulations without
overlapping in roles.
3- The second party shall not be allowed to provide
any services in the Kingdom.
4- The second party shall abide by all the programs
presented by the first party and may not change
them except with the firstparty's approval.
5- The overseas Umrah pilgrims shall be
accommodated in the hotels and housing units
categorized and licensed by the concerned
authorities.
6- Thesecond party shall abide by sending the Umrah
pilgrims arrival and departure dates with informing
the reception company in order to provide the
means of transportation as planned through the
system.

transportation require the FirstParty to bear cash amounts
or penalties to be submitted in case of the absence or
delay of the pilgrim, thus the FirstParty has the right to apply
the cancellation or lowering booking penalties on the
Second Party as follows:
1- During the low season (before Ramadan):
A. To apply cancellation or booking lowering
penalty by (80 %) from the total value of
agreed services in case of the cancellation or
lowering the pilgrims' numbers less than (21)
days prior to the agreed date of arrival.
B. To apply cancellation or booking lowering
penalty by (100 %) from the total value of
agreed services contract in case of the
cancellation or lowering of the pilgrims'
numbers before (21) days or less prior to the
agreed date of arrival.

2- During the other seasons (Ramadan):
The second party shall be required to pay
cancellation penalty equal to 100% from the total
agreed services contract value in case of the
cancellation or lowering of pilgrims' numbers 30
days prior to the agreed date of arrival or less,and
the second party shall transfer the liabilities of this
obligation to the pilgrim in the contract entered
with him.

Article Seven: Regulations related to issuing visas from the
Ministrv
1- Applying the grouping of visas issued from the
ministry on partial groups from the beginning of
Umrah season, with putting the following into
consideration:-
A- Temporarily suspending the automated visa
issuingsystemby the ministryfrom any overseas
agent if the automated monitoring system will
report that (l %) of the number of pilgrims
presented by this agent has been delayed,
until their departure (the minimum number of
total pilgrims may not be lessthan 100).
B- Temporarily suspending the automated visa
issuing system by the ministry from any Saudi
company or institution in any country around
the world if the automated monitoring system
will report that (1%) from the number of pilgrims
presented by this company or association has
been delayed until their departure (the
minimum number of total pilgrims may not be
lessthan 100).
C- Suspending the automated visa issuingsystem
by the ministry if it was reported that the
second party hasn't issued any visas 30 days
(thirty days -one month) after the start of his
activation on the system.
D- Temporarily suspending the automated visa
issuingsystem by the ministry if it was reported
that the number of arrivals through these visas
is lessthan 50 % of the number of visas issued
(issued since thirty days)for each overseas
agent, until they actually arrive (the minimum
number of total pilgrims may not be lessthan
100).
E- The second party shall abide by presenting
clear operational plan for the number of
pilgrims contracting with him during the
season.

F- If the residency of the pilgrimsshall exceed the
Umrah program term and delayed from return,
thus the number of the delayed pilgrims will
exceed the percentage set by the ministry for
the overseas agent. country or Saudi Umrah
Company, then the automated visa issuing
system shall be temporarily suspended until
they leave or their programs are extended for
"thirty days maximum" with the approval of the
FirstParty.

G- To abide by the production capacity of issuing
visas from the Kingdom representative offices
from the various countries around the world
and not claim any exceeding of such
capacity.
H- To abide by the execution of the Ministry
instructions related to the marketing of the
Umrah pilgrims programs, booking for the
actual pilgrims and their return according to
the programs and shall abide by the issued
rules and circulars.
Article Eight: General Regulations
1- No Umrah pilgrim shall be accommodated in any
hotel not licensed by law.
2- The second party shall be fully liable for the return
of the Umrah pilgrim and shall have the right to
take all the suitable guarantees subject to his
discretion.
3- The Second Party shall be fully liable for the good
selection of the Umrah pilgrim and informing him
with all Saudi regulations and instructions.
4- TheSaudi company shall have the right of conduct
and distribution of the approved visas from the
operational plan given to it. and subject to its
discretion, without any objection from the Second
Party, and the Saudi Company may decrease or
increase the number of visas for the overseas
agent subject to the Saudi Company's discretion
without any objection from the agent.
S- To assurethe second party that he isnot permitted
to provide any services in Saudi Arabia, and that
the services packages in Saudi Arabia are
maintained through the FirstParty and his officials.
If the second party shall violate such rule, then he
shall be liable for legal accountability.
6- The Second Party iscommitted to the following:
A. The arrival of the Umrah pilgrim in the time
planned within the services package subject
to which he was given the visa.
B. Provisionof the round trip tickets for the umrah
pilgrims.
C. The pilgrims' abidance by their return dates
entered in the system within the services
package.

D. Conclusion of legal contract between him and
the pilgrims in his country through the
electronic system with providing the pilgrim a
printed copy thereof.
E. Writing the arrival and return trip itinerary for
each pilgrim.
F. Printing the pilgrim program sticker on his
passport.
G. Printing the ID or the bracelet (Barcode) for
each pilgrim including the pilgrim program.
H. Providing the pilgrim with awareness brochure
in the following issues(residency types in Saudi
Arabia, Hajj, Umrah and Prophet Mosque visit
systems and regulations) to be prepared

Article Nine: Parties Obligations

consider all the rules,regulations and laws issuedby
the Ministryor any other Saudi Governmental body

Article Ten: Saudi Company Obligations
1. The FirstParty is committed to the execution of all
the agreed services packages without any
violation that may harm the pilgrim.
2. The FirstParty shall observe the pilgrims inside the
Kingdom.

Article Eleven: Overseas Agent Obligations
1. The Second party shall be liable for the following
expenses immediately after receiving the invoice
of the FirstParty:
A. All the expenses resulting from the delay or
absence of the pilgrim including the
accommodation, catering and travel ticket, in
case of its expiration.
B. Penalties imposed by the Ministryof Hajj.
C. Penalties imposed by the Passport Control
Department or any other official authority in
Saudi Arabia.
D. Theexpenses of transferring the pilgrim to other
companies due to lack of notifying the First
Party with the arrival of the pilgrim to Saudi
Arabia in all the air, sea and land ports.

2. The Second Party is obliged to purchase the
services packages provided by the FirstParty.
3. The Second Party should feed the Umrah
automatic system with his communication data
(mobile number - email) to enable the Umrah
Corporate Affairs Department in the Ministry to
communicate
with him directly and to ensure that
he has received all the regulations and instructions
directly.
4. The Second Party commits to appoint a supervisor
for every group of pilgrims with providing the First
Party with the name of the supervisor and
mobile number. The supervisor shall keep all the
passports of the pilgrims and shall deliver them to
the Saudi Company and he shall not be allowed to
leave before the departure of the last pilgrim in the
group.
5. The Second party shall be fully liable for the
responsibilities and damages resulting from
reaching the absence and delay percentage
his
defined by the Ministryregulations for thisyear, thus
resulting in issuingthe Ministry'sdecree to suspend
the systemfrom the other agents.
6. The Second Party represents that if the absence
percentage isreached due to him, he shall bear all
the consequences resulting on the Firstparty if the
Ministryshall order the suspensionof the FirstParty's
system.
7. The Second Party shall exert all efforts to prevent
the absence
of Pilgrims. If any pilgrim shall be
absent, the Second Party shall be liable for
financial penalty towards the Saudi Company.
8. If the Second Partyshalltransfer the program value
from abroad Saudi Arabia, then only the amounts
received in the First Party account shall be
considered, and the FirstParty shall not bear any
expenses, intemational or local transfer
commissions imposed by the banks or
governments.
9. The Second Party shall pay the electronic services
fees for the pilgrims withdrawn
from the Umrah
program according to the following, for whatever
reason and without exception:-
A. One hundred fifty Saudi Riyals(150SR)for each
approval issuedfrom Safar till Jumada AI-Thani.
B. Four Hundred Saudi Riyals(400 SR)during the
months of Rajab, Sha'baan and Ramadan.
10. The accounts of the non-executed programs due
to the expiration of visa, non-implementation, the
withdrawal of the pilgrim or for whatever other
reasons, shall be filtered at the end of the season,
thus the overseas agent may not claim ant
difference in the program price during the season.

11. The second party represents to apply the program
agreed upon with the FirstParty without any change.
If the Pilgrim shall not benefit
from any part of the
program, he shall not have the right to claim refund or
any part thereof, and the pilgrim may not change
part of the program

except with the written approval
of the first party, and in case of his violation, the Saudi
Company
may take the necessary procedures.
12. The Second Party shall fully abide by entering the
actual
arrival dates of the pilgrims in the automatic
system when forming the group, and not to enter any
delusive dates. In case of any emergency
the Second

Party shall inform the First Party with the
at least one week prior to the arrival of the
pilgrims to Saudi Arabia, and he shall bear all the
moral, financial and administrative consequences of
the change.
13. The Second Party shall select the actual term of the
pilgrims programs from the automatic system for
issuing the visas in abidance with the actual term of
the program.
14. The Second Party shall be fully responsible for the data
of the pilgrims entered in the automated system
through his username, accordingly, he shall bear the
consequences
of giving his username and password
to any person other than the responsible employee.
15. The Second Party shall sign a contract with every
pilgrim that includes the details of the program
and
the conditions agreed upon with the First Party, in
order to make the pilgrim fully informed
with all the
details of the program before arriving to the Kingdom,
with delivering a copy of the contract to the pilgrim
and to send a copy to the Saudi Company
before the
arrival of the pilgrims. The Second Party is committed
not to give the pilgrims any promises not consisting
with the actual agreed program, in case of violating
this article, the Saudi Company
may have the right to
apply the reasonable penalties and fines on the
Second Party.

18. The Second Party shall commit his pilgrims
regarding the suitability of the size and weight of
the baggage with the agreed means of
transportation, whereby the baggage of the
pilgrims will not exceed the dedicated place in the
means of transportation. The baggage may not be
loaded in the places dedicated for the passengers
inside the means of transportation.

A. To provide the First Party within 24 hours from
reporting with a copy of the pilgrims tickets,
copy of passport and Umrah Visa for each
pilgrim.
B. To assist the FirstParty in reporting the locations
of the absent pilgrims in order to enable the
Ministry to coordinate with the concerned
authorities for deporting them.
23. If the Second Party becomes aware that the
electronically absent pilgrims are not absent and
have left Saudi Arabia, he shall immediately
provide the First Party with a very clear colored
copy of the profile page from the passport and visa
of the pilgrim stamped
with the exit stamp from the
Kingdom and the entrance stamp to the country
of the pilgrim with the details of the departure
flight
and the flight manifest within 24 hours from the
occurrence in order to enable the Saudi Company
to refer to the concerned authorities and to
remove his name from the absence list.

Article Thirteen: Overseas Agent Contracts
1- The overseas agent may not contract with any
licensed entity except after obtaining final
clearance from the last contract with such entity.
2- The Second Party acknowledges that there is no
effective contract between him and any natural
person or institution, whether Saudi company or
association, of whatever legal form licensed to
perform the Umrah pilgrims services works in Saudi
Arabia.
3- The Second Party may not, throughout the whole
term of this contract, enter into contracts with any
natural persons or institutions of whatever legal
form licensed to perform the Umrah pilgrims
services works in Saudi Arabia, or to request the
Ministry to register or authenticate such contract,
with compensating the FirstParty for any damages
due to violating this article, however the Saudi
Company can authenticate more than one agent
from the same country of the Second Party.
4- The Second Party may not, enter into contracts
with any Saudi agent through the subsidiaries or
through pseudonyms.

Article Sixteen: Contract Authentications:
Thiscontract shall not be validated unlessregistered in the
Ministry and approved therefrom subject to conditions of
sixth paragraph in article twenty two from the Umrah
Executive Regulations Code.
Article Seventeen: Arbitration
If any dispute shall arise, God Forbid, between both parties
out of or in connection with the interpretation of any article
in this Agreement or due to the financial disputes, it shall be
amicably settled. If the amicable agreement can't be
reached, then it shall be referred for resolution to the Hajj
and Umrah National Committee and the resolution issued
in this regard shall be binding on both parties.

Article Eighteen: Penalties
The Second party shall be liable for the following expenses
immediately after receiving the invoice of the FirstParty:
1. All the expenses resulting from the delay or
absence of the pilgrim to travel including the
accommodation, catering and travel ticket. in
case of its expiration.
2. Penalties imposed by the Ministry, the Passport
Control Department or any other penalties issued
from any official authority in Saudi Arabia.
3. Penalties imposed by the FirstParty.
4. The expenses of transferring the pilgrim to other
companies due to lack of notifying the FirstParty
with the arrival of the pilgrim to Saudi Arabia in all
the air, sea and land ports.
5. Compensation for any damages resulting from
the misconduct of the Umrah Pilgrim.

Article Twenty: Observing the Pilgrims' Departure
The Second Party acknowledges that the departure of the
pilgrims and the visitorsof the Prophet's Mosque from Saudi
Arabia after the expiration of their program shall be
performed legally, thus he is hereby obliged to observe his
pilgrimsand visitorsand to ensure their legal departure after
the end of their programs, lest they will be considered as
absent subject to the Umrah automatic system. If otherwise
isproved, then he shall be obliged to inform the FirstParty.
Article Twenty One: Abidance by the Mlnistrv's Decisions
In case of the issuance of any decree by the Ministry
eliminating or amending any of the articles stated herein, it
shall be authenticated and followed during the term of this
contract.
Article Twenty Two: Contract Language
This contract is entered into Arabic Language and has
been translated into English,while the Arabic copy shall be
considered in the judgment and interpretation of this
contract.
Article Twenty Three: Counterparts
Thiscontract was executed in four copies signed by both
parties and authenticated by the official authorities,
representative office and governmental authorities and
each party has received a copy work accordingly when
