The Way We Do Business: Conflicts <strong>of</strong> Interest<br />
A conflict <strong>of</strong> interest generally arises when we promote or participate in an activity which results in<br />
or is perceived as resulting in:<br />
• Interfering with our objectivity in conducting our responsibilities and duties on behalf <strong>of</strong> the<br />
Company<br />
• Benefiting ourselves or those that we associate with outside <strong>of</strong> the Company<br />
You must always conduct your activities with the Company’s best interest in mind.<br />
Conflicts <strong>of</strong> interest can arise under many circumstances, such as:<br />
• Being influenced in your judgment when acting on behalf <strong>of</strong> the Company<br />
• Competing against the Company in any business activity<br />
• Diverting business away from the Company<br />
• Misusing the Company’s resources or influence<br />
Outside Business Interests & Employment<br />
<strong>McCain</strong> <strong>Foods</strong> recognizes and respects the right <strong>of</strong> employees to take part in financial, business and<br />
other activities outside <strong>of</strong> their jobs on their own personal time. However, external activities must<br />
not place you in conflict or in an appearance <strong>of</strong> a conflict with your obligations or responsibilities to<br />
the Company or divert your attention away from fulfilling your duties to the Company.<br />
You must avoid any personal investment, interest, association or relationship that<br />
interferes or might interfere with your decisions on behalf <strong>of</strong> the Company.<br />
For example, you must not:<br />
• Be employed by or have a substantial business interest in a competitor<br />
• Be employed by, provide consulting services for or have a substantial business interest in a<br />
supplier or customer unless approval is first granted in writing by the President & CEO <strong>of</strong><br />
<strong>McCain</strong> <strong>Foods</strong> <strong>Limited</strong>; this approval must be renewed annually<br />
• Accept a position on another company’s Board <strong>of</strong> Directors unless approval is granted in writing<br />
by the President & CEO <strong>of</strong> <strong>McCain</strong> <strong>Foods</strong> <strong>Limited</strong> (this policy excludes charitable and not-forpr<strong>of</strong>it<br />
organizations); this approval must be renewed annually<br />
