Arbitration case against TPSA
Background
• On September 3, 2010, GN was awarded approximately DKK 2.2
billion (including accrued interest) for phase 1 of the DPTG/TPSA
arbitration proceedings
• Despite the fact that the award is final and legally binding, TPSA did
not pay within the established deadline of September 17. Penalty
interest of 6% p.a. will accrue until payment is received
Latest development
• DPTG have initiated enforcement proceedings in Poland and in the
Netherlands
• In the Netherlands, DPTG has obtained prejudgment attachment
on TPSA's shares in its subsidiary TPSA Finance B.V.
• The court hearing regarding DPTG’s enforcement proceedings in
Poland is scheduled for March 9, 2011
• DPTG expects to file a claim for phase 2 in January 2011
Claim against German Federal Cartel Office
Background
• On October 2, 2006, GN signed an agreement to sell GN ReSound to
Sonova for a total consideration of DKK 15.5 billion in cash on a debt
and cash free basis
• In April 2007, the German Federal Cartel Office decided to prohibit the
transaction claiming that the transaction would allegedly result in
collective market dominance in the German market
• On April 20, 2010 the German Federal Supreme Court acknowledged
GN's appeal and overruled the prior decisions from the
Oberlandesgericht in Düsseldorf and the Federal Cartel Office to
prohibit the sale of GN ReSound to Sonova
Latest development
• On December 22, 2010, GN has filed a EUR 1.1 billion claim at the
District Court (Landgericht) in Bonn, Germany
• The size of the claim is an estimate of the loss imposed on GN in
connection with the German Federal Cartel Office’s illegal prohibition of
the sale of GN ReSound
The UC Market Opportunity
Based on GN Netcom’s current 30% share of the CC&O market, UC
translates into a significant CC&O revenue opportunity.
• Full benefit of UC requires a headset
solution – headsets become part of
the core infrastructure.
• UC will drive significantly higher
headset attachment rates.
• UC vendors and systems integrators
drive the market.
• GN Netcom’s revenue from UCenabled
products increased by more
than 50% in Q3 2010 compared to
prior year.
Of which 50
million are
The UC Market Opportunity - II
• Microsoft is currently launching the
successor for Microsoft Office
Communication Server 2007 (OCS) –
Microsoft Lync.
• Worldwide launch event on November 17,
2010. Jabra launched seven products
optimized for Microsoft Lync at the global
launch
• Some companies have postponed their
deployment of UC due to lack of
enterprise features in existing systems
which Microsoft Lync now brings.
• According to Microsoft, total cost of
ownership reduced by 39% vs other
communications solutions.
• GN Netcom’s own UC implementation
showed a payback in only 3 months time
– excluding collaboration savings.
Drivers and Challenges for GN Netcom
Key Value Drivers Challenges
• Prospect of significant mid/longterm
market growth from UC.
• Limited additional investments
are required to participate in the
attractive UC opportunity.
• Attractive margins in the CC&O
industry.
• High operational leverage and
low working capital.
• Very strong product portfolio
from both Mobile and CC&O
Headsets.
• Build a long-term sustainable
business model for Mobile
Headsets.
• UC drives significant structural
changes to the market place. If
executed well, this creates
attractive opportunities.
• ASP pressure resulting from
large UC deals.
• Gain market share in North
America.
Supply Chain Transformation
Progressing as planned
• End-to-end transformation is progressing as planned
A major milestone was reached with the opening of a new regional
operations center in Oxford, UK.
• All critical global systems and infrastructure was in place already
by the end of 2010 and subsequently production and customers
will gradually be converted to the new set-up.
• The expected cost reductions are equivalent to a further
improvement of GN ReSound's EBITA margin by 6-7%-points at
unchanged revenue level.
The transformation builds on three pillars
