<strong>thing</strong> <strong>when</strong> <strong>no</strong> <strong>one</strong> <strong>is</strong> <strong>watching’</strong>?<br />

W<br />

<strong>it</strong>h <strong>the</strong> growing web <strong>of</strong> <strong>the</strong> regula<strong>to</strong>ry environment,<br />

at<strong>to</strong>rneys face a lot <strong>of</strong> problems interpreting regulations,<br />

let al<strong>one</strong> <strong>the</strong> compli<strong>an</strong>ce <strong>of</strong>ficers. The buzzwords<br />

in <strong>to</strong>day's eco<strong>no</strong>my are “compli<strong>an</strong>ce programs,” because th<strong>is</strong> pretends<br />

<strong>to</strong> act as a euphem<strong>is</strong>m for “survival” in <strong>the</strong> fight against<br />

regula<strong>to</strong>ry compli<strong>an</strong>ce. There <strong>is</strong> <strong>an</strong> over-reli<strong>an</strong>ce placed on <strong>the</strong><br />

words “compli<strong>an</strong>ce programs” ra<strong>the</strong>r th<strong>an</strong> <strong>the</strong> subst<strong>an</strong>ce <strong>of</strong> <strong>the</strong>m.<br />

The pressure on <strong>the</strong> Compli<strong>an</strong>ce department<br />

W<strong>it</strong>h ever-growing regula<strong>to</strong>ry, legal, <strong>an</strong>d o<strong>the</strong>r internal rules,<br />

policies, <strong>an</strong>d procedures, <strong>it</strong> <strong>is</strong> difficult <strong>to</strong> m<strong>an</strong>age or adhere <strong>to</strong> compli<strong>an</strong>ce<br />

associated w<strong>it</strong>h <strong>the</strong>se laws <strong>an</strong>d rules. Fur<strong>the</strong>rmore, w<strong>it</strong>h <strong>the</strong><br />

effects <strong>of</strong> <strong>the</strong> recession still prevailing over various eco<strong>no</strong>mies, <strong>the</strong>re<br />

are m<strong>an</strong>y people who are simply looking for <strong>an</strong> entry in<strong>to</strong> a pr<strong>of</strong>ession<br />

<strong>to</strong> commence <strong>the</strong>ir daily earnings. Only a lim<strong>it</strong>ed h<strong>an</strong>dful<br />

<strong>of</strong> pr<strong>of</strong>essions have grown in requirement, <strong>an</strong>d if <strong>one</strong> removes <strong>the</strong><br />

opportun<strong>it</strong>ies associated w<strong>it</strong>h information tech<strong>no</strong>logy, <strong>the</strong>n people<br />

are left w<strong>it</strong>h hardly <strong>an</strong>y options.<br />

Compli<strong>an</strong>ce <strong>is</strong> a field in dem<strong>an</strong>d, <strong>an</strong>d <strong>it</strong> <strong>is</strong> in <strong>it</strong>s nascent stage<br />

<strong>to</strong> be a hardcore, tech<strong>no</strong>logy-focused field. The impact <strong>of</strong> people<br />

<strong>no</strong>t having adequate background, engaging<br />

communication skills, training capabil<strong>it</strong>ies,<br />

a keen eye for details, awareness <strong>of</strong> <strong>the</strong><br />

comp<strong>an</strong>y policies <strong>an</strong>d local laws, <strong>an</strong>d/or <strong>the</strong><br />

abil<strong>it</strong>y <strong>to</strong> appropriately interpret regulations<br />

could be catastrophic for <strong>the</strong> org<strong>an</strong>ization<br />

that hires ill-equipped or inexperienced senior<br />

compli<strong>an</strong>ce <strong>of</strong>ficers.<br />

Th<strong>is</strong> c<strong>an</strong> fur<strong>the</strong>r lead <strong>to</strong> a false sense<br />

<strong>of</strong> secur<strong>it</strong>y amongst <strong>the</strong> m<strong>an</strong>agement <strong>an</strong>d<br />

<strong>the</strong> board <strong>when</strong>:<br />

•§<br />

A program <strong>is</strong> developed but <strong>is</strong> <strong>no</strong>t<br />

tailored according <strong>to</strong> <strong>the</strong> local <strong>culture</strong> <strong>of</strong><br />

<strong>the</strong> comp<strong>an</strong>y <strong>an</strong>d <strong>the</strong> l<strong>an</strong>d, or a generic<br />

program <strong>is</strong> <strong>take</strong>n <strong>of</strong>f <strong>the</strong> shelf;<br />

•§<br />

Policies <strong>an</strong>d r<strong>is</strong>k assessments are<br />

carried out, but employees are <strong>no</strong>t<br />

adequately trained or made aware <strong>of</strong><br />

<strong>the</strong>ir responsibil<strong>it</strong>ies;<br />

•§<br />

An induction/orientation program<br />

<strong>is</strong> held for new joiners w<strong>it</strong>hout <strong>an</strong>y<br />

subst<strong>an</strong>ce <strong>to</strong> convey <strong>the</strong> org<strong>an</strong>ization's<br />

values <strong>an</strong>d conduct;<br />

•§<br />

An investigation <strong>is</strong> carried out, but<br />

w<strong>it</strong>hout <strong>an</strong>y concrete evidence;<br />

•§<br />

People are d<strong>is</strong>ciplined based on <strong>the</strong>ir<br />

hierarchal value in <strong>the</strong>ir chain;<br />

•§<br />

M<strong>an</strong>agement reports are made on <strong>the</strong><br />

number <strong>of</strong> investigations closed, only<br />

<strong>to</strong> later find out that half <strong>of</strong> <strong>the</strong>m were<br />

closed because <strong>the</strong>y were reported by<br />

<strong>an</strong>onymous wh<strong>is</strong>tleblowers;<br />

•§<br />

The “weight” <strong>of</strong> <strong>the</strong> department <strong>is</strong><br />

thrown around, only <strong>to</strong> d<strong>is</strong>cover that<br />

<strong>one</strong> senior compli<strong>an</strong>ce <strong>of</strong>ficer bullied <strong>the</strong><br />

wh<strong>is</strong>tleblowers <strong>to</strong> reveal names; or<br />

•§<br />

Mon<strong>it</strong>oring/spot checks are carried<br />

out, but w<strong>it</strong>hout <strong>an</strong>y actual effect <strong>of</strong><br />

compli<strong>an</strong>ce; <strong>an</strong>d<br />

•§<br />

<strong>the</strong> l<strong>is</strong>t goes on <strong>an</strong>d on.<br />

In 2014, SEC Enforcement Direc<strong>to</strong>r<br />

Andrew Ceresney, menti<strong>one</strong>d <strong>the</strong> import<strong>an</strong>ce<br />

<strong>of</strong> compli<strong>an</strong>ce <strong>of</strong>ficers <strong>an</strong>d, in <strong>the</strong> same<br />

speech, made mention that <strong>the</strong> SEC has<br />

brought <strong>an</strong>d will continue <strong>to</strong> bring actions<br />

against persons who affirmatively participated<br />

in a m<strong>is</strong>conduct, attempted <strong>to</strong> m<strong>is</strong>lead<br />

regula<strong>to</strong>rs, or <strong>when</strong> <strong>the</strong>y had clear responsibil<strong>it</strong>y<br />

<strong>to</strong> implement compli<strong>an</strong>ce programs<br />

or policies <strong>an</strong>d wholly failed <strong>to</strong> carry out<br />

that responsibil<strong>it</strong>y.1<br />

Th<strong>is</strong> goes <strong>to</strong> show <strong>the</strong> import<strong>an</strong>ce <strong>of</strong> compli<strong>an</strong>ce<br />

<strong>of</strong>ficers. One m<strong>is</strong><strong>take</strong> w<strong>it</strong>h <strong>the</strong> hiring<br />

<strong>of</strong> a wrong person for <strong>the</strong> compli<strong>an</strong>ce <strong>of</strong>ficer<br />

pos<strong>it</strong>ion will <strong>take</strong> <strong>the</strong> org<strong>an</strong>ization down like a<br />

house <strong>of</strong> cards.<br />

False sense <strong>of</strong> pride, poor acumen,<br />

or just <strong>to</strong>o smart<br />

In December 2015, a Goldm<strong>an</strong> Sachs's<br />

employee working in <strong>the</strong> surveill<strong>an</strong>ce group<br />

in <strong>the</strong> Compli<strong>an</strong>ce department was charged<br />

by <strong>the</strong> SEC for insider trading. He traded on<br />

<strong>no</strong>n-public information he obtained by <strong>the</strong><br />

virtue <strong>of</strong> working at h<strong>is</strong> employer <strong>when</strong> <strong>it</strong> was<br />

leading three major merger <strong>an</strong>d acqu<strong>is</strong><strong>it</strong>ion<br />

deals. He used <strong>the</strong> surveill<strong>an</strong>ce system <strong>to</strong><br />

gain access <strong>to</strong> <strong>the</strong> information. However, <strong>the</strong><br />

charges were settled later on.2<br />

Secondly, some time back, I read a very<br />

nice article on <strong>the</strong> SCCE Compli<strong>an</strong>ce <strong>an</strong>d<br />

Ethics Blog <strong>when</strong> a compli<strong>an</strong>ce <strong>of</strong>ficer was<br />

arrested by <strong>the</strong> FBI. Roy Snell made a wonderful<br />

argument that spending a day in <strong>the</strong><br />

field <strong>of</strong> Compli<strong>an</strong>ce c<strong>an</strong><strong>no</strong>t make you <strong>an</strong><br />

actual compli<strong>an</strong>ce <strong>of</strong>ficer, or that a person<br />

from operations who has a compli<strong>an</strong>ce t<strong>it</strong>le<br />

c<strong>an</strong><strong>no</strong>t be construed <strong>to</strong> be <strong>an</strong> actual compli<strong>an</strong>ce<br />

<strong>of</strong>ficer.3 People w<strong>it</strong>hout adequate training<br />

<strong>an</strong>d certifications, at a minimum, should <strong>no</strong>t<br />

be allowed <strong>to</strong> have <strong>the</strong> key responsibil<strong>it</strong>ies <strong>of</strong> a<br />

compli<strong>an</strong>ce <strong>of</strong>ficer. Perhaps <strong>it</strong> <strong>is</strong> better <strong>to</strong> hire<br />

such c<strong>an</strong>didates as associates or trainees.<br />

Lastly, a k<strong>no</strong>wn acquaint<strong>an</strong>ce <strong>of</strong> mine<br />

approached me seeking some guid<strong>an</strong>ce,<br />

because <strong>the</strong> Compli<strong>an</strong>ce department <strong>of</strong> h<strong>is</strong><br />

comp<strong>an</strong>y had in<strong>it</strong>iated <strong>an</strong> investigation against<br />

him for some business development work he<br />

had carried out. My first response was, if you<br />

haven't d<strong>one</strong> <strong>an</strong>y<strong>thing</strong> wrong, you shouldn't<br />

be worried about <strong>it</strong>. I asked him <strong>to</strong> refer <strong>to</strong><br />

h<strong>is</strong> comp<strong>an</strong>y policy <strong>an</strong>d procedures <strong>to</strong> prepare<br />

him for <strong>the</strong> course <strong>of</strong> <strong>the</strong> investigation. After<br />

he <strong>an</strong>d h<strong>is</strong> boss were interviewed, so was <strong>the</strong><br />

client he was solic<strong>it</strong>ing <strong>to</strong> acquire a leg<strong>it</strong>imate<br />

business w<strong>it</strong>h appropriate documentation, such<br />

as K<strong>no</strong>w Your Cus<strong>to</strong>mers, etc. My acquaint<strong>an</strong>ce<br />

was <strong>is</strong>sued a first-level warning letter.<br />

He was pretty upset. I asked him if <strong>an</strong>y <strong>of</strong> <strong>the</strong><br />

charges were proven, <strong>an</strong>d he said <strong>no</strong>ne were<br />

<strong>an</strong>d that h<strong>is</strong> boss was supportive as well. Then<br />

I urged him <strong>to</strong> speak w<strong>it</strong>h <strong>the</strong> Compli<strong>an</strong>ce<br />

department on <strong>the</strong> bas<strong>is</strong> <strong>of</strong> <strong>the</strong> warning letter.<br />

Th<strong>is</strong> <strong>is</strong> where <strong>the</strong> best part comes in. When he<br />

called <strong>the</strong> compli<strong>an</strong>ce <strong>of</strong>ficer twice, <strong>the</strong> <strong>of</strong>ficer<br />

said “How dare you call me twice.” After a<br />

good tussle, <strong>when</strong> he called <strong>the</strong> subordinates,<br />

<strong>the</strong> compli<strong>an</strong>ce <strong>of</strong>ficer <strong>to</strong>ld him that appealing<br />

against <strong>the</strong> letter would only cause problems<br />

at <strong>the</strong> receiving end, since <strong>the</strong> Compli<strong>an</strong>ce<br />

department would go <strong>to</strong> <strong>an</strong>y lengths <strong>to</strong> maintain<br />

<strong>the</strong>ir reputation. My acquaint<strong>an</strong>ce decided<br />

<strong>to</strong> let <strong>it</strong> go, because job hunting <strong>is</strong> <strong>to</strong>ugh in<br />

recession times, <strong>an</strong>d <strong>the</strong> valid<strong>it</strong>y <strong>of</strong> <strong>the</strong> warning<br />

letter <strong>is</strong> <strong>one</strong> year.<br />

Th<strong>is</strong> shows how import<strong>an</strong>t <strong>it</strong> <strong>is</strong> <strong>to</strong> have a<br />

working/implemented compli<strong>an</strong>ce program.<br />

Th<strong>is</strong> fur<strong>the</strong>r goes <strong>to</strong> show that a compli<strong>an</strong>ce<br />

program <strong>is</strong> <strong>no</strong>t only applicable <strong>to</strong> selected<br />

departments <strong>of</strong> <strong>an</strong> org<strong>an</strong>ization, but also<br />

applies <strong>to</strong> <strong>the</strong> Compli<strong>an</strong>ce department <strong>it</strong>self.<br />

Overall, a compli<strong>an</strong>ce program <strong>is</strong> about setting<br />

<strong>the</strong> <strong>right</strong> <strong>culture</strong> <strong>an</strong>d <strong>to</strong>ne <strong>an</strong>d reducing<br />

ethikos March/April 2018 25


un<strong>ethical</strong> conduct. Compli<strong>an</strong>ce applies <strong>to</strong> each<br />

<strong>an</strong>d every individual <strong>of</strong> <strong>an</strong> org<strong>an</strong>ization.<br />

Compli<strong>an</strong>ce <strong>an</strong>d Ethics departments<br />

should naturally be held <strong>to</strong> a higher st<strong>an</strong>dard<br />

<strong>of</strong> <strong>ethical</strong> values, because <strong>the</strong>y are entrusted<br />

w<strong>it</strong>h a responsibil<strong>it</strong>y <strong>to</strong> check that on behalf<br />

<strong>of</strong> <strong>the</strong> org<strong>an</strong>ization. A fully developed <strong>an</strong>d<br />

implemented compli<strong>an</strong>ce program <strong>is</strong> <strong>the</strong> only<br />

way <strong>of</strong> doing <strong>the</strong> <strong>right</strong> <strong>thing</strong> or upholding <strong>the</strong><br />

comp<strong>an</strong>y’s values, especially <strong>when</strong> <strong>no</strong> <strong>one</strong> <strong>is</strong><br />

watching. It reminds me <strong>of</strong> <strong>the</strong> movie Training<br />

Day where Denzel Washing<strong>to</strong>n’s character,<br />

a cop g<strong>one</strong> rogue, would go <strong>to</strong> <strong>an</strong>y lim<strong>it</strong>s <strong>to</strong><br />

prove h<strong>is</strong> case. He finally served a bad fate<br />

against <strong>the</strong> h<strong>an</strong>d <strong>of</strong> a fellow <strong>of</strong>ficer who was<br />

suppressed <strong>an</strong>d was allowed <strong>to</strong> do partial good<br />

<strong>thing</strong>s <strong>an</strong>d partial justice <strong>to</strong> h<strong>is</strong> pr<strong>of</strong>ession. I<br />

c<strong>an</strong> only imagine what would happen if some<strong>one</strong><br />

would approach <strong>the</strong> department w<strong>it</strong>h only<br />

a good-fa<strong>it</strong>h allegation.<br />

OVERALL A COMPLIANCE PROGRAM<br />

IS ABOUT SETTING THE RIGHT<br />

CULTURE, TONE AND REDUCING<br />

UNETHICAL CONDUCT...<br />

A<strong>no</strong><strong>the</strong>r incident which I encountered<br />

was <strong>when</strong> a person who worked in a Public<br />

Relations department accidentally released a<br />

press statement w<strong>it</strong>h h<strong>is</strong> name on <strong>it</strong> instead<br />

<strong>of</strong> <strong>the</strong> CEO’s name, which should appear<br />

on <strong>the</strong> press release by default. The CEO<br />

got irate over <strong>the</strong> <strong>is</strong>sue <strong>an</strong>d I underst<strong>an</strong>d<br />

th<strong>is</strong> <strong>is</strong> a grave m<strong>is</strong><strong>take</strong>; however, <strong>when</strong> <strong>the</strong><br />

Compli<strong>an</strong>ce department came in, <strong>the</strong>y could<br />

<strong>no</strong>t equate <strong>it</strong> <strong>to</strong> <strong>an</strong>y policy or violation under<br />

<strong>the</strong>ir current laws, regulations, <strong>an</strong>d rules.<br />

Finally, in order <strong>to</strong> get back <strong>to</strong> him, <strong>the</strong>y<br />

had <strong>no</strong> choice but <strong>to</strong> equate <strong>it</strong> <strong>to</strong> <strong>an</strong> equivalent<br />

<strong>is</strong>sue <strong>of</strong> <strong>an</strong>ti-m<strong>one</strong>y laundering.<br />

Now, what in <strong>the</strong> world were <strong>the</strong>y<br />

thinking <strong>when</strong> <strong>the</strong>y have a Public Relations<br />

department <strong>an</strong>d <strong>the</strong>y don’t have adequate<br />

policies <strong>to</strong> cover such <strong>an</strong> <strong>is</strong>sue? Th<strong>is</strong> goes<br />

<strong>to</strong> show how import<strong>an</strong>t <strong>it</strong> <strong>is</strong> <strong>to</strong> have comprehensive,<br />

well-wr<strong>it</strong>ten (simple l<strong>an</strong>guage)<br />

policies <strong>an</strong>d guidelines <strong>when</strong> <strong>it</strong> comes <strong>to</strong> a<br />

serious <strong>is</strong>sue involving a comp<strong>an</strong>y’s operation.<br />

The above <strong>is</strong>sue <strong>is</strong> some<strong>thing</strong> that<br />

I see going downhill for <strong>the</strong> comp<strong>an</strong>y,<br />

because <strong>the</strong>y equated <strong>the</strong> <strong>of</strong>fense <strong>to</strong> <strong>an</strong> <strong>is</strong>sue<br />

which <strong>the</strong> incident <strong>is</strong> <strong>no</strong>t, <strong>an</strong>d <strong>the</strong>n <strong>the</strong><br />

consequences applied will <strong>no</strong>t be equivalent<br />

<strong>to</strong> <strong>the</strong> actual incident. Defin<strong>it</strong>ely, so<strong>one</strong>r<br />

th<strong>an</strong> later, <strong>the</strong> employee will bring in a<br />

court case against <strong>the</strong> comp<strong>an</strong>y, <strong>an</strong>d so on<br />

<strong>an</strong>d so forth.<br />

Conclusion<br />

We as compli<strong>an</strong>ce <strong>of</strong>ficers <strong>take</strong> pride in<br />

<strong>build</strong>ing a <strong>culture</strong> <strong>of</strong> compli<strong>an</strong>ce where<br />

<strong>the</strong> simplest defin<strong>it</strong>ion <strong>of</strong> compli<strong>an</strong>ce <strong>is</strong><br />

following <strong>the</strong> laws, regulations, policies<br />

<strong>an</strong>d procedures, <strong>an</strong>d o<strong>the</strong>r <strong>no</strong>n-regula<strong>to</strong>ry<br />

rules. Compli<strong>an</strong>ce should be <strong>the</strong> pinnacle <strong>to</strong><br />

uphold comp<strong>an</strong>y’s values <strong>an</strong>d m<strong>is</strong>sion.<br />

Compli<strong>an</strong>ce <strong>of</strong>ficers need <strong>to</strong> be well<br />

trained <strong>an</strong>d should require fur<strong>the</strong>r h<strong>an</strong>d<br />

holding till <strong>the</strong>y come up <strong>to</strong> speed on<br />

<strong>the</strong> comp<strong>an</strong>y’s processes <strong>an</strong>d <strong>the</strong> actual<br />

working <strong>culture</strong>. The above examples also<br />

show that <strong>it</strong> <strong>is</strong> <strong>no</strong>t so good <strong>to</strong> have a <strong>one</strong>or<br />

two-person Compli<strong>an</strong>ce department,<br />

because <strong>it</strong> me<strong>an</strong>s <strong>no</strong> checks <strong>an</strong>d bal<strong>an</strong>ces for<br />

<strong>the</strong> mon<strong>it</strong>oring author<strong>it</strong>y, <strong>an</strong>d <strong>it</strong> <strong>is</strong> subject <strong>to</strong><br />

threats <strong>an</strong>d m<strong>an</strong>ipulation.<br />

Part-time compli<strong>an</strong>ce <strong>of</strong>ficers, or a single<br />

person, or a conflated party m<strong>an</strong>aging <strong>the</strong><br />

department — people will see only as far as<br />

<strong>the</strong>y w<strong>an</strong>t <strong>to</strong> see. The best examples may be:<br />

•§<br />

Charlie Shrem, a compli<strong>an</strong>ce <strong>of</strong>ficer<br />

for B<strong>it</strong>Inst<strong>an</strong>t, who was arrested <strong>an</strong>d<br />

charged w<strong>it</strong>h failing <strong>to</strong> file suspicious<br />

activ<strong>it</strong>y reports (SAR) in accord<strong>an</strong>ce<br />

w<strong>it</strong>h <strong>an</strong> <strong>an</strong>ti-m<strong>one</strong>y laundering law<br />

for <strong>the</strong> tr<strong>an</strong>sactions that he allegedly<br />

helped counterpart <strong>an</strong>d facil<strong>it</strong>ate through<br />

B<strong>it</strong>Inst<strong>an</strong>t;4<br />

•§<br />

Oliver Schmidt, Volkswagen’s regula<strong>to</strong>ry<br />

compli<strong>an</strong>ce <strong>of</strong>ficer, who was arrested on<br />

<strong>the</strong> charge <strong>of</strong> conspiracy <strong>to</strong> defraud <strong>the</strong><br />

Un<strong>it</strong>ed States;5<br />

•§<br />

William Michael Quigley, <strong>the</strong> former<br />

chief compli<strong>an</strong>ce <strong>of</strong>ficer <strong>of</strong> a reg<strong>is</strong>tered<br />

broker-dealer in Woodbury, New York,<br />

was charged w<strong>it</strong>h conspiracy <strong>to</strong> comm<strong>it</strong><br />

wire fraud <strong>an</strong>d m<strong>one</strong>y laundering<br />

Peter Mad<strong>of</strong>f, bro<strong>the</strong>r <strong>of</strong> Bernie<br />

Mad<strong>of</strong>f, who was also <strong>the</strong> chief<br />

compli<strong>an</strong>ce <strong>of</strong>ficer, <strong>an</strong>d was sentenced <strong>to</strong><br />

impr<strong>is</strong>onment, because he chose <strong>to</strong> st<strong>an</strong>d<br />

<strong>an</strong>d see from a d<strong>is</strong>t<strong>an</strong>ce.7<br />

Peter Mad<strong>of</strong>f, as a compli<strong>an</strong>ce <strong>of</strong>ficer,<br />

should have been a gatekeeper <strong>an</strong>d was supposed<br />

<strong>to</strong> guard against <strong>an</strong>y un<strong>ethical</strong> conduct<br />

or fraud. Instead, he acted as <strong>an</strong> accomplice<br />

by doing only minimum necessary (under <strong>the</strong><br />

Engl<strong>is</strong>h common law, <strong>an</strong> accomplice <strong>is</strong> defined<br />

as a person who actively participates in <strong>the</strong><br />

comm<strong>is</strong>sion <strong>of</strong> a crime, even if <strong>the</strong>y <strong>take</strong> <strong>no</strong><br />

part in <strong>the</strong> actual criminal <strong>of</strong>fense). Records<br />

reflected that he did compli<strong>an</strong>ce reviews <strong>when</strong><br />

<strong>no</strong> such reviews <strong>to</strong>ok place. It was a tactic <strong>to</strong><br />

throw <strong>of</strong>f <strong>the</strong> regula<strong>to</strong>rs <strong>an</strong>d investment adv<strong>is</strong>ory<br />

clients <strong>an</strong>d keep <strong>the</strong> aud<strong>it</strong>ors <strong>of</strong>f-guard in<br />

order <strong>to</strong> keep <strong>the</strong> currents stable between <strong>the</strong><br />

two bro<strong>the</strong>rs.<br />

I c<strong>an</strong> only begin <strong>to</strong> imagine, what<br />

would happen if compli<strong>an</strong>ce <strong>of</strong>ficers started<br />

<strong>to</strong> experience schadenfreude (i.e., a feeling<br />

<strong>of</strong> enjoyment that comes from<br />

seeing or hearing about <strong>the</strong> troubles <strong>of</strong><br />

o<strong>the</strong>r people8). •<br />
