CONSTITUTION & BYLAWS<br />
ART<strong>IC</strong>LE VIII (Elections)<br />
Section 1. Elections.<br />
(A) There shall be a Nominating Committee composed<br />
of the Immediate Past President, the President, the<br />
Vice-President, and one other member appointed<br />
by the President. Appointments shall be made and<br />
notice given to the membership at least 5 (five) days in<br />
advance of an election. The President shall serve as the<br />
Chair of the Committee.<br />
(B) The Committee shall solicit the membership,<br />
consider recommendations, and shall nominate at<br />
least one candidate for each Board position to be filled<br />
unless otherwise set forth in this Article. The Committee<br />
may resolve questions relating to the nomination of<br />
candidates, suggest rules of procedures for the elections<br />
and upon the direction of the President perform other<br />
appropriate duties.<br />
Section 2.<br />
(A) The Association Officers and Directors shall be<br />
elected at the Annual Meeting of the Membership. The<br />
Nominating Committee shall submit its report prior to<br />
such meeting. Additional nominations may be made<br />
from the floor.<br />
(B) Whenever only one nomination for an elective office<br />
is presented to the Membership, election shall be by<br />
voice vote. Whenever more than one nomination is<br />
presented, vote shall be by secret ballot. If more than<br />
two candidates are named for an office, a majority of<br />
the members voting shall be necessary to elect. If no<br />
candidate receives a majority, a second vote shall be<br />
taken upon the two leading candidates.<br />
ART<strong>IC</strong>LE IX (Committees)<br />
Section 1. The President, with the consent of the Board<br />
of Directors, shall establish Standing Committees for<br />
the Association.<br />
Section 2. The President shall appoint the Chair and<br />
members of all Committees of the Association. If the<br />
President does not appoint committee personnel, the<br />
Committee chair may appoint the members needed.<br />
Section 3. A President may remove the Chair or members<br />
of any committee appointed pursuant to this Article.<br />
Section 4. The President may appoint special<br />
committees, as he/she may deem advisable.<br />
Section 5. Meetings of all committees shall be upon the<br />
call of the Chair with the approval of the President.<br />
Section 6. A simple majority vote in the committee shall<br />
decide an issue.<br />
ART<strong>IC</strong>LE X (Rules of Procedure)<br />
Section 1. Roberts’ Rules of Order shall govern the<br />
procedure of the meetings of the Association.<br />
ART<strong>IC</strong>LE XI (Amendments)<br />
Section 1. These bylaws may be amended by a two-thirds<br />
(2/3) vote of the Active Members at any meeting provided<br />
(a) the attendance at such meetings constitutes a quorum,<br />
and (b) that a copy of any proposed amendment(s) shall<br />
have been mailed to each member of the Association at<br />
least five days in advance.<br />
ART<strong>IC</strong>LE XII (Committees)<br />
Section 1. Executive Committee.<br />
The Executive Committee shall consist of the President<br />
as Chair, Vice-President, Second Vice-President,<br />
Secretary, Treasurer and Immediate Past President.<br />
The Executive Committee shall conduct the affairs of<br />
the Association in accordance with the bylaws, policies<br />
and instructions of the Board of Directors. It shall be<br />
the Policy and Steering Committee of this Association,<br />
subject to the approval of the Board of Directors.<br />
The Executive Committee shall meet quarterly. A<br />
quorum shall consist of a simple majority of the<br />
Executive Committee. The President may call special<br />
Executive Committee meetings at any time by notifying<br />
the members of the Executive Committee.<br />
ART<strong>IC</strong>LE XIII (Indemnification of Directors, Officers<br />
and Employees)<br />
Section 1. The Association shall indemnify its directors,<br />
officers, employees, members and volunteers as<br />
authorized in Section 496A.4A, Code of Iowa 1987.<br />
