CONSTITUTION & BYLAWS<br />

(C) Notice of the date, hour and place of all meetings<br />

shall be given to the Directors at least twenty-four hours<br />

in advance.<br />

Section 6. Voting.<br />

A simple majority vote shall decide an issue provided a<br />

quorum is present.<br />

Section 7. Quorum.<br />

A majority of the Directors at a meeting shall constitute<br />

a quorum.<br />

ART<strong>IC</strong>LE V (Elective Officers)<br />

Section 1. The following officers shall be elected by the<br />

membership at its Annual Meeting and shall hold office for<br />

a term of one (1) year commencing on January 1 through<br />

December 31.<br />

The President shall be the chief officer of this Association<br />

and shall preside at its meetings and those of the Board<br />

of Directors. He/She shall be the official spokesperson of<br />

this Association in matters of public policy. He/She shall<br />

appoint all committees and shall be a member of all<br />

committees, and shall perform all other duties relevant to<br />

such office.<br />

(A) The President may appoint, with the consent of the<br />

Board of Directors, any State and National Directors and<br />

alternate Directors to which the Association is entitled<br />

under the provisions and conditions prescribed in the<br />

Bylaws of the National and State Association, to serve<br />

for a term of one year.<br />

(B) The Vice-President shall perform such duties as<br />

assigned by the President. He/She shall, in the absence<br />

of the President, or upon his direction, perform, all of<br />

the duties of the President.<br />

(C) The Second Vice-President shall perform duties<br />

as assigned by the President. He/She will assist the<br />

President and the Vice-President.<br />

(D) The Treasurer, shall be responsible to the Association<br />

for an accounting of all monies collected and disbursed<br />

by the Association and shall render a monthly report to<br />

the Board of Directors and make available an annual<br />

report to the membership. Upon direction of the President,<br />

may perform other duties appropriate to this office. The<br />

Treasurer shall serve as Chair of the Finance Committee.<br />

(E) The Secretary shall keep a record of the official<br />

proceedings of this Association and its Board of<br />

Directors, including reports of special committees.<br />

Upon direction of the President he/she shall perform<br />

other duties appropriate to this office.<br />

Section 2. Succession of Office.<br />

(A) In the absence of the President, the Vice-President<br />

shall act as President of the Association. Should either<br />

the President or the Vice-President not be able to<br />

serve, the Second Vice President shall act as President.<br />

If he/she is unable to serve, the Treasurer shall act as<br />

President. The membership will elect a new President<br />

to fill the unexpired term.<br />

(B) In the event of a vacancy, other than in the office<br />

of the President, the Board of Directors shall name<br />

a person from among its members to complete the<br />

unexpired term.<br />

ART<strong>IC</strong>LE VI (Administrative Offices)<br />

Section 1. The Board of Directors at such fees as deemed<br />

proper may retain an Executive Officer.<br />

Section 2. The Executive Officer shall serve as the chief<br />

administrative officer of this Association. The Executive<br />

Officer shall perform the duties and responsibilities<br />

delegated to him/her by the Board of Directors and all<br />

other functions related to such office.<br />

Section 3. The Executive Officer shall be empowered to<br />

employ and supervise an adequate staff or professional<br />

assistance to carry on the business of this Association as<br />

instructed by the Board of Directors. The Board, within<br />

the limitations of the fiscal budget, shall impose the<br />

rates of compensation.<br />

ART<strong>IC</strong>LE VII (Membership Voting, Quorums)<br />

Section 1. There shall be a Nominating Committee<br />

composed of the Immediate Past President, President,<br />

1st Vice President and another appointed member by<br />

the President. Appointments shall be made and notice<br />

given to the membership at least 5 days in advance of<br />

an election, The President shall serve as the Chair of the<br />

Committee. Amendment to this bylaw section would be<br />

to add the 2nd Vice President.<br />

Section 2. A simple majority vote shall decide an issue.<br />

This section shall not apply to voting on amendments to<br />

the Constitution or these Bylaws.<br />
