CONSTITUTION & BYLAWS
(C) Notice of the date, hour and place of all meetings
shall be given to the Directors at least twenty-four hours
in advance.
Section 6. Voting.
A simple majority vote shall decide an issue provided a
quorum is present.
Section 7. Quorum.
A majority of the Directors at a meeting shall constitute
a quorum.
ARTICLE V (Elective Officers)
Section 1. The following officers shall be elected by the
membership at its Annual Meeting and shall hold office for
a term of one (1) year commencing on January 1 through
December 31.
The President shall be the chief officer of this Association
and shall preside at its meetings and those of the Board
of Directors. He/She shall be the official spokesperson of
this Association in matters of public policy. He/She shall
appoint all committees and shall be a member of all
committees, and shall perform all other duties relevant to
such office.
(A) The President may appoint, with the consent of the
Board of Directors, any State and National Directors and
alternate Directors to which the Association is entitled
under the provisions and conditions prescribed in the
Bylaws of the National and State Association, to serve
for a term of one year.
(B) The Vice-President shall perform such duties as
assigned by the President. He/She shall, in the absence
of the President, or upon his direction, perform, all of
the duties of the President.
(C) The Second Vice-President shall perform duties
as assigned by the President. He/She will assist the
President and the Vice-President.
(D) The Treasurer, shall be responsible to the Association
for an accounting of all monies collected and disbursed
by the Association and shall render a monthly report to
the Board of Directors and make available an annual
report to the membership. Upon direction of the President,
may perform other duties appropriate to this office. The
Treasurer shall serve as Chair of the Finance Committee.
(E) The Secretary shall keep a record of the official
proceedings of this Association and its Board of
Directors, including reports of special committees.
Upon direction of the President he/she shall perform
other duties appropriate to this office.
Section 2. Succession of Office.
(A) In the absence of the President, the Vice-President
shall act as President of the Association. Should either
the President or the Vice-President not be able to
serve, the Second Vice President shall act as President.
If he/she is unable to serve, the Treasurer shall act as
President. The membership will elect a new President
to fill the unexpired term.
(B) In the event of a vacancy, other than in the office
of the President, the Board of Directors shall name
a person from among its members to complete the
unexpired term.
ARTICLE VI (Administrative Offices)
Section 1. The Board of Directors at such fees as deemed
proper may retain an Executive Officer.
Section 2. The Executive Officer shall serve as the chief
administrative officer of this Association. The Executive
Officer shall perform the duties and responsibilities
delegated to him/her by the Board of Directors and all
other functions related to such office.
Section 3. The Executive Officer shall be empowered to
employ and supervise an adequate staff or professional
assistance to carry on the business of this Association as
instructed by the Board of Directors. The Board, within
the limitations of the fiscal budget, shall impose the
rates of compensation.
ARTICLE VII (Membership Voting, Quorums)
Section 1. There shall be a Nominating Committee
composed of the Immediate Past President, President,
1st Vice President and another appointed member by
the President. Appointments shall be made and notice
given to the membership at least 5 days in advance of
an election, The President shall serve as the Chair of the
Committee. Amendment to this bylaw section would be
to add the 2nd Vice President.
Section 2. A simple majority vote shall decide an issue.
This section shall not apply to voting on amendments to
the Constitution or these Bylaws.
