(B) A vote of two-thirds (2/3) of the Board of Directors shall<br />

be required to reinstate any membership suspended or<br />

revoked under this Section. Reinstatement shall be subject<br />

to such terms and conditions as the Board may impose.<br />

Section 4. Meetings of the Membership.<br />

(A) An annual meeting of the membership of this<br />

Association shall be held on the second Thursday in<br />

November each year, or at such other time as the Board<br />

may designate, for the express purpose of electing the<br />

officers of the Association, a Board of Directors and<br />

taking on such other matters as may properly come<br />

before the general membership.<br />

(B) Regular meetings of the membership of this<br />

Association shall be held on the second Thursday,<br />

of each month, or at such other time as the Board of<br />

Directors may designate.<br />

(C) Special meetings of the membership of this<br />

Association may be called by the President or by a<br />

majority of the Board of Directors.<br />

(D) Notice shall be given of the date, hour and place of<br />

all meetings to each member at least twenty-four hours<br />

in advance.<br />

ART<strong>IC</strong>LE II (Fiscal Year)<br />

Section 1. The fiscal year of this Association shall be<br />

the calendar year, commencing January 1 and ending<br />

December 31.<br />

Article III (Dues and Initiation Fees)<br />

Section 1. Initiation Fee.<br />

An initiation fee for new builder and associate members<br />

of this Association is payable at the time an application<br />

for membership is made at a rate established by the<br />

Board of Directors, with such fee to be returned if<br />

membership is not approved.<br />

Section 2. Dues.<br />

Dues and other monies collected by the Association<br />

shall be placed in a repository selected by the Board of<br />

Directors. Payments from the funds of the Association<br />

shall be made on the signatures of two persons so<br />

authorized by the Board of Directors.<br />

(A) The dues of this Association shall be payable<br />

annually in the amounts as established by the Board of<br />

Directors each year.<br />

(B) Dues shall include those required for membership<br />

in the National Association of Homes Builders of the<br />

United States and the Home Builders Association of<br />

Iowa, which this Association shall collect and remit in<br />

accordance with the requirements of the National and<br />

State Associations, as, provided for.<br />

ART<strong>IC</strong>LE IV (Board of Directors)<br />

Section 1. The Board of Directors<br />

(A) Shall consist of the President, the Vice-President, the<br />

Second Vice President, the Secretary, the Treasurer, the<br />

Immediate Past President, and six elected members.<br />

The Board will also consist of one representative<br />

designated by the Women’s Council; one representative<br />

designated by the Remodelers Council; one State<br />

Director representing our Association with the Home<br />

Builders Association of Iowa; and one National Director<br />

representing our Association with the National Home<br />

Builders Association. These are the voting members of<br />

the board. The Executive Officer shall be an ex-official<br />

non-voting member of the Board.<br />

(B) The NAHB Board of Directors, amended the<br />

NAHB Bylaws on October 12, 2013 to allow Associate<br />

members to serve as the President or Chair of the Local<br />

Association and at least one other officer position. There<br />

shall be a majority number of Builder Directors on the<br />

Executive Committee and on the Board of Directors.<br />

Section 2. Chair.<br />

The President shall be Chair of the Board of Directors.<br />

Section 3. Term of Office.<br />

The Board members shall hold office for a one-year term.<br />

Section 4. Vacancies.<br />

Vacancies on the Board shall be filled by appointment of<br />

the President, subject to the concurrence of a majority of<br />

the Directors. Persons so appointed shall complete the<br />

unexpired term.<br />

Section 5. Meetings.<br />

Meetings of the Board of Directors shall be held as follows:<br />

(A) Regular meetings of the Board of Directors shall be<br />

held the third Thursday of each month or such other<br />

time as the Board may direct.<br />

(B) Special meetings of the Board of Directors may be<br />

called by the President or upon request of the Directors.<br />
