(B) A vote of two-thirds (2/3) of the Board of Directors shall
be required to reinstate any membership suspended or
revoked under this Section. Reinstatement shall be subject
to such terms and conditions as the Board may impose.
Section 4. Meetings of the Membership.
(A) An annual meeting of the membership of this
Association shall be held on the second Thursday in
November each year, or at such other time as the Board
may designate, for the express purpose of electing the
officers of the Association, a Board of Directors and
taking on such other matters as may properly come
before the general membership.
(B) Regular meetings of the membership of this
Association shall be held on the second Thursday,
of each month, or at such other time as the Board of
Directors may designate.
(C) Special meetings of the membership of this
Association may be called by the President or by a
majority of the Board of Directors.
(D) Notice shall be given of the date, hour and place of
all meetings to each member at least twenty-four hours
in advance.
ARTICLE II (Fiscal Year)
Section 1. The fiscal year of this Association shall be
the calendar year, commencing January 1 and ending
December 31.
Article III (Dues and Initiation Fees)
Section 1. Initiation Fee.
An initiation fee for new builder and associate members
of this Association is payable at the time an application
for membership is made at a rate established by the
Board of Directors, with such fee to be returned if
membership is not approved.
Section 2. Dues.
Dues and other monies collected by the Association
shall be placed in a repository selected by the Board of
Directors. Payments from the funds of the Association
shall be made on the signatures of two persons so
authorized by the Board of Directors.
(A) The dues of this Association shall be payable
annually in the amounts as established by the Board of
Directors each year.
(B) Dues shall include those required for membership
in the National Association of Homes Builders of the
United States and the Home Builders Association of
Iowa, which this Association shall collect and remit in
accordance with the requirements of the National and
State Associations, as, provided for.
ARTICLE IV (Board of Directors)
Section 1. The Board of Directors
(A) Shall consist of the President, the Vice-President, the
Second Vice President, the Secretary, the Treasurer, the
Immediate Past President, and six elected members.
The Board will also consist of one representative
designated by the Women’s Council; one representative
designated by the Remodelers Council; one State
Director representing our Association with the Home
Builders Association of Iowa; and one National Director
representing our Association with the National Home
Builders Association. These are the voting members of
the board. The Executive Officer shall be an ex-official
non-voting member of the Board.
(B) The NAHB Board of Directors, amended the
NAHB Bylaws on October 12, 2013 to allow Associate
members to serve as the President or Chair of the Local
Association and at least one other officer position. There
shall be a majority number of Builder Directors on the
Executive Committee and on the Board of Directors.
Section 2. Chair.
The President shall be Chair of the Board of Directors.
Section 3. Term of Office.
The Board members shall hold office for a one-year term.
Section 4. Vacancies.
Vacancies on the Board shall be filled by appointment of
the President, subject to the concurrence of a majority of
the Directors. Persons so appointed shall complete the
unexpired term.
Section 5. Meetings.
Meetings of the Board of Directors shall be held as follows:
(A) Regular meetings of the Board of Directors shall be
held the third Thursday of each month or such other
time as the Board may direct.
(B) Special meetings of the Board of Directors may be
called by the President or upon request of the Directors.
