Company 

Driven by their passion for motorcycles, 

Jörg Diehl, Jürgen Swora and Kai 

Jockel (1) founded SW-MOTECH in 1999 

in Bracht, Hessen/Germany. 

The successful story begins with the 

development of the first removable 

QUICK-LOCK Side Carrier (2), followed 

by further revolutionary and innovative 

products. 

Today, the company is a renowned producer 

of premium accessories for the

motorcycle market and an accredited 

OEM supplier. 

Qualified distributors represent SW- 

MOTECH in more than 50 countries across 

the globe. 

The present headquarters is located in 

Rauschenberg, Germany and covers over 

7.500 m² with more than 80 employees. 

SW-MOTECH also includes a subsidiary 

located in Brno, Czech Republic, with an 

additional 70 staff members.

Innovation 

The engineers, designers, and prototypers 

at SW-MOTECH are continually 

working close together to push quality 

standards and find new ways to develop 

better products. When making bike-specific 

products, precision is always a major 

factor. SW-MOTECH is already known 

for producing well thought out products 

that fit even better than many OEM parts, 

but that is not enough. 

The recent addition of 3D scanning technology 

(3) is one example of how our 

company is continually seeking new 

ways we can improve. As a result we 

can develop parts with a higher level of 

precision and efficiency, allowing us to 

design bike-specific products that are 

perfectly integrated into the geometry of 

each individual motorcycle.

Experience 

“Man grows with his tasks.” After the 

QUICK-LOCK Tankring generated an unexpected 

demand in 2004, we took up the 

challenge to further develop this ingenious 

idea. In 2008, the Electric Tankring 

was released, and finally in 2010 the 

second generation, QUICK-LOCK EVO 

Tankring was launched (4). 

The development of the QUICK-LOCK 

Tankring symbolizes our commitment to 

continually search for improvements we 

can make. With every product we develop 

we gain valuable experience. We then 

use this experience in combination with 

new technologies to create even better 

products for the future.

Achim Kessler (1) founded BAGS- 

CONNECTION in 2003 in Frankenberg, 

Hessen/Germany and launched the first 

product line. 

The idea of merging textile bags from 

BAGS-CONNECTION with hard parts from 

SW-MOTECH fascinated both companies 

from the start. This cooperation is responsible 

for creating a unique luggage 

solution known as the QUICK-LOCK Tankbag; 

a smart combination of design and 

engineering.

General Terms of Business of SW-MOTECH 

GmbH & Co. KG and BAGS-CONNECTION GmbH 

& Co. KG, Ernteweg 8/10, 35282 Rauschenberg, 

Germany. These General Terms of Business apply in 

their current version to all business relationships 

between SW-MOTECH GmbH & Co. KG and BAGS- 

CONNECTION GmbH & Co. KG, here after called 

”SW-MOTECH and BAGS-CONNECTION“, and their 

customers. 

1. Scope 

1.1 The conditions below apply to the supply of 

goods and other services by SW-MOTECH and 

BAGS-CONNECTION. 

1.2 These terms of business apply exclusively; any 

customer conditions that conflict with or differ 

from these terms of business will not be recognised 

unless SW-MOTECH and BAGSCONNECTION 

has specifically agreed to this in writing. 

2. The start of the contract 

2.1 The range shown on SW-MOTECH and BAGS 

CONNECTION‘s server or in SW-MOTECH and BAGS- 

CONNECTION‘s printed catalogue does not represent 

alegally binding offer but a non-binding online 

catalogue or printed catalogue. 

2.2 The customer will order the goods or services 

required by filling in the onlineorder form or the 

printed order form in the catalogue and sending it 

off. The contract will come into force when SWMO- 

TECH and BAGS-CONNECTION and the thirdparty 

supplier accept this offer. It is not necessary to 

send the customer an order confirmation. The 

customer will waive this in accordance with ƒ 151 

Clause 1BGB. 

2.3 The Internet customer will confirm that he 

accepts the general terms of business when he 

places the order.The general terms of business will 

be acknowledged by the customer whether he fills 

in an order form or not. 

3. Due date, payment and delay 

3.1 The purchase price is due immediately. Payment 

may be made by a credit card accepted by

SW-MOTECH and BAGS-CONNECTION at the time 

of the contract being concluded, by direct debit, 

in cash. 

3.2 All prices are in euros, include VAT at the statutory 

rate and are subject to alteration. 

3.3 The following applies to deliveries in Germany: 

3.3.1 Despatch: Normally despatched by Deutscher 

Paketdienst or by Post. 

3.3.2 Payment for despatches within Germany 

Direct debit: If you give us your account number 

and sort code we shall debit the amount from 

your account. This includes postage and packing 

as well as processing costs. Credit card: We need 

your credit card number and expiry date. The fee 

includes postage, packing and processing. It is 

also possible to order in writing, by e-mail or by 

fax. The afore mentioned charges may be modified, 

if the parcel service (f.e. Deutsche Post, UPS) decide 

to modify their shipment tariffs. The current 

rates can be asked seperately. 

3.4 The following applies to deliveries outside 

Germany: 

3.4.1 Despatch to countries outside Germany: 

Despatch by Deutscher Paketdienst, by post or by 

a cheaper method of transport depending on destination 

country. The customer will be liable for any 

customs‘ duties. 

3.4.2 Payment for despatch to countries outside 

Germany: Prepayment and Credit card (Euro / 

Mastercard or Visa): Postage and packing costs 

are calculated at cost and charged to the customer. 

You receive an invoice from SW-MOTECH 

and BAGS-CONNECTION. Cash on delivery: is only 

possible for the EU countries if the postal services 

offer this form of payment and the package is 

insured accordingly. The costs for packaging and 

delivery will then be calculated exactly on a time 

and materialbasis, verified and forwarded to the 

client. SW-MOTECH and BAGSCONNECTION cannot 

be held liable for errors and delays caused by currency 

transactions. 

3.5 If the customer does not pay on time, SW- 

MOTECH and BAGS-CONNECTION is entitled to demand 

delay interest of 8 % above the current base 

rate of the European Central Bank. SW-MOTECH 

and BAGS-CONNECTION‘s right to claim higher 

damages remains unaffected by this as does the 

customer‘s right to claim lower damages. 

4. Cancellation 

4.1 The customer is entitled to cancel his declaration 

of intent to conclude the contract within 14 

days of receiving the goods by returning the goods 

to SW-MOTECH and BAGS-CONNECTION in full and 

unused in the original packaging. Despatching the 

goods in good time will be sufficient proof that the 

deadline has been observed. 

4.2 The order cancellation will be denied if the 

goods are damaged or destroyed by the client. 

4.3 Your postage costs for returns will be refunded 

in accordance with ƒ 357 BGB under the following 

conditions: Returns are made from a German delivery 

address. You have cancelled the purchase contract 

in writing or by e-mail or sent the goods back 

to us within 14 days of receipt. The received goods 

are not according to the order. Please mind that 

the returns should not be set without postage paid. 

4.4 In case of order cancellation, SW-MOTECH and 

BAGS-CONNECTION will refund to the customer any 

money already paid. For transfers abroad, only the 

transfer fees will be deducted. Legal provisions 

apply to any benefits or profit drawn up to cancellation. 

5. Reservation of proprietary rights 

5.1 The goods supplied by SW-MOTECH and BAGS- 

CONNECTION remain SW-MOTECH and BAGS- 

CONNECTION‘s property until all contractual requirements 

have been fulfilled as well as any other 

claims that SW-MOTECH and BAGS-CONNECTION 

subsequently make against the customer in direct 

connection with the goods supplied for whatever 

legal reason. This also applies when payments are 

made for specific requirements. 

5.2 Before transfer of ownership the customer 

will only be entitled to these goods with the 

prior written approval of SW-MOTECH and BAGS- 

CONNECTION. If a third party seizes the goods, particularly 

if the goods are impounded, the customer 

must inform SW-MOTECH and BAGS-CONNECTION 

immediately in writing and also point out to the 

third party immediately that SW-MOTECH and 

BAGS-CONNECTION have proprietary rights. 

6. Returns, warranty, examination and 

defects 

6.1 When a client (reseller) returns merchandise 

to SW-MOTECH / BAGS-CONNECTION, copies of the 

invoice / delivery note must always be included. 

Otherwise, it is not possible to process any refund 

or exchange. Clients are not entitled to full 

refund for products with no defects. When returned 

merchandise is received by SW-MOTECH / BAGS- 

CONNECTION, the products are checked for damage 

and missing parts / packaging. At this time 

an appropriate amount, described in detail below, 

is deducted from the original purchase price and 

credited to the client‘s account. Returns and exchanges 

of stock merchandise, minus 10 % restocking 

fee and all shipping fees, are accepted 

for items returned in new, unused condition with 

all parts and packaging included. If the product 

is undamaged with all parts included, but without 

original packaging, 20 % of the original purchase 

price will be deducted for control, packaging and 

restocking work. If the product is missing parts or 

is damaged, 30 % of the original purchase price 

will be deducted. 

6.2 SW-MOTECH and BAGS-CONNECTION guarantee 

that the goods do not have any defects that would 

reduce or nullify their value or their suitability for 

normal usage or the use to which they are to be 

put in accordance with the contract. If the reduction 

in value or suitability is only minor this can be 

discounted. 

6.3 The guarantee period is 24 months and begins 

when the goods are handed over to the customer. 

Defects in the goods will be corrected by SW- 

MOTECH and BAGS-CONNECTION after being informed 

of this by the customer within this guarantee 

period. SW-MOTECH and BAGS-CONNECTION 

will decide whether to replace or repair the goods. 

6.4 The customer who is a reseller must examine 

the goods immediately on receipt and, if a fault 

is detected, must inform SW-MOTECH and BAGS- 

CONNECTION of this, describing the fault in writing 

within 7 days. The same applies to faults that are 

discovered later. If the customer is a retail customer, 

the customer is only required to complain 

about obvious defects. If SW-MOTECH and BAGS- 

CONNECTION hear nothing to the contrary within 

the specified time the goods are considered approved. 

The following procedure must be carried 

out for goods damaged in transit: If a package 

arrives clearly damaged, it must be opened in the 

presence of the postman. The postman will issue 

a damage confirmation certificate. With damage 

in transit that is not obvious, i.e. damage that the 

customer is not aware of until after he has opened 

it, the customer must take the package to the post 

office and obtain a damage certificate. It is not 

possible to accept a claim for damage without this 

document. 

6.5 Should the customer claim any supplementary 

performance, such as resending goods free of defects 

or removing a defect, and should an attempt 

at repair or a new shipment fail or not be successful 

within the guaranteed period, the customer can 

claim a reduction in price or cancel the contract. 

6.6 SW-MOTECH and BAGS-CONNECTION are not 

liable for consequential damage and moreover, 

only under the conditions in paragraph 7. Liability 

for assured characteristics and for deceit remains 

unaffected by the rulings in paragraph 6. Consequential 

guarantee claims cannot be made. 

6.7 If the complaint is unfounded SW-MOTECH and 

BAGS-CONNECTION reserves the right to claim reimbursement 

of the costs incurred from the customer. 

7. Liability 

7.1 Liability for damage caused through minor 

negligence of a single SW-MOTECH and BAGS- 

CONNECTION employee is not included here if no 

cardinal obligation has been infringed in accordance 

with paragraph 7.2. 

7.2 Liability for other damage that arises for 

the customer through SW-MOTECH and BAGS- 

CONNECTION‘s delay, through an impossibility 

caused by SW-MOTECH and BAGS-CONNECTION 

or through the infringement of an obligation that 

must be observed in order to fulfil the contract 

(cardinal obligation), such damage will be limited 

to damage that is typical and could be foreseen 

because of the way the goods are used under the 

terms of the contract. 

7.3 In the case of paragraph 7.2, liability is limited 

to an amount equal to double the purchase price 

paid for the order in question. 

7.4 There is no further liability, particularly for 

damage that has not occurred to the goods themselves, 

for lost profits or damage to other customer 

assets. 

7.5 The above rulings also apply to SW-MOTECH 

and BAGS-CONNECTION‘s staffand agents. 

8. Data protection 

8.1 If it has not been agreed to the contrary, SW- 

MOTECH and BAGS-CONNECTION will only use the 

personal data in this contract in order to carry 

out the contract. The customer‘s permission is 

required to use this information for market and 

opinion research and for advertising. 

8.2 SW-MOTECH and BAGS-CONNECTION may use 

this personal data to run a credit check with Creditreform. 

This is allowed under the regulations in 

ƒ 33.1 BDSG. 

9. Reselling 

9.1 For liability reasons reselling of SW-MOTECH 

and BAGS-CONNECTION’s products in second or 

third countries is expressly prohibited. With the 

exception of our authrized North American distributer, 

selling or shipping SW-MOTECH and BAGS- 

CONNECTION‘s products to customers in North 

America is expressly prohibited. 

10. Final conditions 

10.1 Changes and amendments to this contract 

must be in writing to be effective. There are no oral 

secondary agreements. 

Sales 

10.2 If it has not been agreed to the contrary, the 

customer may not transfer rights and obligations 

from this contract to a third party without SW- 

MOTECH and BAGS-CONNECTION‘s prior written 

agreement. 

10.3 If a provision of this contract is or becomes 

invalid, the other provisions remain valid. The contractual 

partners will agree to replace the invalid 

provision with a valid one that best corresponds to 

the economic aims of the contractual parties. 

10.4 This contract is subject exclusively to the material 

law of the Federal Republic of Germany with 

the exception of the UN convention on the purchase 

of movable items. This contract is not to be interpreted 

in the context of the laws of any foreign 

country outside of Germany. 

10.5 The place of fulfilment is the SW-MOTECH and 

BAGS-CONNECTION head office in Rauschenberg. If 

the customer is a businessperson or if his business 

headquarters is not in Germany, the parties agree 

that any disputes arising from the implementation 

of this contract will be dealt with by the Kirchhain 

or Marburg district court. 

10.6 The parties agree that the forgoing Englishlanguage 

document is an approximate translation 

of the original binding version of SW-MOTECH and 

BAGS-CONNECTION’s general terms of business, 

which are written in German. In the event of a discrepancy 

between this approximate English translation 

and the binding German original, the parties 

agree that the original German version shall prevail.
