Introduction<br />

The purpose of this Sole Supply Agreement is to describe the key services<br />

and quality standards we will provide to Osborne.<br />

Objectives of the Service<br />

• Lee Brothers will work with Osborne in a spirit of co-operation for the supply of Site Consumables (tools, tackle<br />

and janitorial) and water supply.<br />

• We aim to deliver our service effectively and efficiently in accordance with the specified needs and<br />

expectations of both parties.<br />

Overview<br />

Lee Brothers currently supply Osborne with a wide variety of site consumables and water. We have worked<br />

closely with Osborne for the last 15 years and have built up a true relationship and understanding of the core<br />

business. Our flexibility enables us to react to any situation and ensure that the service each business receives is<br />

paramount and appropriate to the specific business needs.<br />

Lee Brothers are now part of the Bunzl Plc Group of companies, of who operate in many varied markets<br />

throughout the globe. We have one depot/Head Office, ideally located in the West Midlands, giving us easy<br />

access to the major road networks. With our central distribution hub and substantial stockholding, we can<br />

maintain a fully tailored agreement to meet your specific requirements.<br />

Our team of trained warehouse operatives and driver, work alongside our external courier. They ensure that all<br />

orders are processed with the efficiency and professionalism that has helped make Lee Brothers one of the<br />

leading suppliers of site consumables and water.<br />

Lee Brothers, now part of a Multi-National organization, still carry our same core values. The business is headed<br />

up by Kirstie Fish, Sales Director, who has twelve years experience with Lee Brothers and ensures that we still<br />

operate with the same service and efficiency as always. We are large enough to deliver, but small enough to care.<br />

Lee Brothers has in excess of 120 years experience and our team pride themselves on delivering<br />

excellent service. Evidence of this is our recent award for supplier of the year for Willmott Dixon. We were up<br />

against competitors such as; Travis Perkins, Speedy Hire & Taylor Maxwell and we are extremely proud of this<br />

achievement.<br />

We also support local & national charities and have sponsored customers projects. Lee Brothers support a<br />

local children’s charity, Promise Dreams, which gives support to terminally ill children & their families.<br />

Case Studies<br />

Lee Brothers have many years of experience in supplying a diverse customer base in similar product usage<br />

industries to that of Osborne’s.<br />

We have supplied various tailored solutions to maintain and develop contracts with businesses such as<br />

Willmott Dixon, Interserve, VINCI, Jackson Civils, Mclaren Group and many more, demonstrating wide<br />

industry knowledge and giving Osborne’s confidence in our ability to maintain and supply with high levels<br />

of service.<br />

Please see below 4 case studies which outline our experience:<br />

Mclaren’s<br />

Buying Team identified that they wanted to reduce the number of suppliers<br />

and to offer a good value but a comprehensive range of products. They were buying<br />

their consumables, PPE and signage from 4 different companies. This resulted in differing<br />

types of product, conflicting advice and support and a general confusion amongst the<br />

site and office staff. Another factor identified by the management, was the miss-match of<br />

product pricing and over-spending.<br />

The product range was extensive but we worked alongside the customer to help them<br />

identify a fit for purpose range of products and rationalize their product range, which in<br />

turn delivered cost savings.<br />

Lee Brothers representatives worked alongside manufacturers to carry out on site<br />

toolbox talks and posters were produced to supplement the training.<br />

Lee Brothers were awarded a contract in February 2012 as preferred supplier of PPE &<br />

Consumables to Interserve. The initial contract ran until February 2014 and was extended for<br />

an additional 2 years.<br />

The contract was awarded with a focus on our capability to offer high levels of service, a<br />

fully stocked core product range, dedicated points of contact and the sourcing of ‘specials.’<br />

We also worked in partnership with Interserve to produce a bespoke catalogue at our own<br />

expense which featured the contracted core range. This was undertaken in conjunction and<br />

consultation with Interserve Buying & Health & Safety Teams.<br />

Stock is held in volume by our warehouse, removing the need for panicky ordering as was<br />

happening. These simple actions reduced procurement activity at site level, increased<br />

moral and reduced transactional and product cost.<br />

3The previous incumbent had been supplying the customer for many years,<br />

however, they could not deliver the service VINCI required. VINCI advised us their current<br />

supplier had not got availability of stock and simply could not turn the garments<br />

around fast enough.<br />

From experience gained over many years with similar type contracts, we understand<br />

that it is only by investing in stock and working with local suppliers that we are able to<br />

offer excellent service.<br />

Our logo operatives worked alongside our Sales Team and implemented a strategy to<br />

ensure the customer received the correct products when required.<br />

The feedback was that we had far exceeded expectations and had achieved far in<br />

advance of what the customer had anticipated.<br />

We have successfully retained Willmott Dixon’s business for the past 10 years. The spend<br />

currently exceeds £1.5 million per annum and is for the supply of Welfare, PPE, Signage and<br />

branded corporate clothing. We also supply to subcontractors operating on Willmott Dixon<br />

sites, offering the provision of a third party rebate.<br />

Willmott Dixon have just had a rebrand of their corporate clothing range and updated their<br />

corporate catalogue.<br />

As part of the implementation WD were provided with a choice of samples and various logo<br />

options. Once a decision had been made by their Buying Team a system was put in place for<br />

sites to order from us.<br />

A PPE ordering form for the ‘new image’ site PPE was created and then bulk orders were placed.<br />

Willmott Dixons designated Internal Sales Coordinators then worked with the suppliers, embroiderers and logo<br />

operatives to fulfill orders.<br />

Review meetings took place throughout, between Willmott Dixon and key members of our team which included<br />

Sales Director, Sales Office Manager and Internal Sales Coordinator.<br />

We recognise that dedicated Account Management is vital as this ensures that all participants of major contracts<br />

enjoy a high level of attention and that contractual obligations are met.<br />

A rebate will be in place for the 24 month duration, paid annually once an invoice has been received and all<br />

outstanding payments for the period have been settled:<br />

Toolbox Talks<br />

Our External Sales Team are all fully trained on all site consumables, small tools, traffic management and PPE.<br />

They have strong working relationships with leading manufacturers, should you require additional technical<br />

advice, training or educational safety days.<br />

We can offer basic training and tool box talks when requested in the following areas; head protection, eye wear,<br />

hearing protection, respiratory, hand protection, hi-visibility and foot wear.<br />

Bespoke Catalogues, Leaflets, Posters & Flyers<br />

To back up company polices and health & safety requirements we can create corporate leaflets, flyers & posters<br />

to educate staff.<br />

Bespoke Catalogues & call off sheets can be created to rationalise products available and for ease of site ordering.<br />

All Bespoke literature (catalogues, leaflets etc) will be free of charge to Osborne as part of this agreement.<br />

Management Reports<br />

As part of Bunzl Group, we have recently installed a data base bespoke computer system, enabling us to<br />

provide you with any type of report, for example by usage, by item, by site, by product, with the associated<br />

values.<br />

We can provide Osborne with management reports, all of which can be easily transferred into Excel or any<br />

preferred format. All reports will be submitted in line with the agreement.<br />

Key Performance Indicators<br />

Lee Brothers are happy to agree Key Performance Indicators between Osborne and ourselves. KPI’s will be<br />

measured regularly and areas for improvement will be identified and implemented.<br />

Lee Brothers’ are proactive and we complete a variety of regular in house KPI’s so that a bench mark can be<br />

established and targets met, ensuring service levels are exceeded.<br />

We can offer many KPI’s such as:<br />

Delivery analysis (OTIF).<br />

Order fill rate and line fill rate.<br />

Total Sales by sites, by volume, by product, by value.<br />

Account Reviews<br />

Lee Brothers are willing to undertake regular account reviews with Osborne at agreed<br />

times and venues. Suggested quarterly meetings to be held between Osborne & Lee<br />

Brothers. Monthly spend reports will be available to enable you to keep track of your rebate.<br />

Health & Safety<br />

As a major supplier of PPE, Site Consumables and Small Tools, Lee Brothers are very aware of our duties under<br />

the Health and Safety at Work Act 1974.<br />

We recognise the importance of Health & Safety and we always go the extra mile. As an example of Health &<br />

Safety initiatives that set us apart from our competitors, we have implemented the following:<br />

Designed and distributed Health & Safety campaign posters for our customers. This includes;<br />

• Hand protection – ensuring the right glove for the right job.<br />

• Eyewear protection – the major difference between specs and goggles.<br />

Last Summer we launched a sun protection campaign, working alongside Deb. We know that HSE are heavily<br />

focusing on Occupational Health so worked with our major clients to educate the importance of sun cream<br />

and checking the UV levels on site.<br />

Sustainability<br />

Lee Brothers recognise the need for sustainable development and this is a high priority to us. We are a Gold<br />

Member of the Supply Chain Sustainability School, of which we are tremendously proud. We feel that this<br />

distinguishes us from other providers. We aim to maintain this status level and set targets and objectives for<br />

the improvement of sustainability within our business.<br />

We have also:<br />

• Introduced a cardboard baler and recycling system for plastic and general waste.<br />

• Carbon trust awareness posters are displayed through all locations.<br />

• Electronic invoicing has replaced the majority of our paper format.<br />

Going the Extra Mile<br />

Lee Brothers strive to provide the best customer service. With Lee Brothers you are not just another customer,<br />

you are ‘our’ customer and ‘our’ priority.<br />

We believe our service is outstanding.<br />

Most of all.....we always go the extra mile. Here is an example of this;<br />

On Sunday 9th February 2014 I received a phone call from a customer requesting urgent help on the site in<br />

Dawlish, Somerset. The flooding in that area had been extensive and the customer requested urgent help for<br />

a site set up – asking what could we do?<br />

On the Sunday Afternoon our Sales Office Manager, Mathew Marks, processed the order from home (using<br />

our satellite service.) He and a colleague then travelled to the depot, picked and packed the whole large<br />

order, ready for delivery.<br />

We organised with our courier, for a driver to meet Mat at 5am on Monday 10th February – the order was<br />

delivered before most of us had our first coffee!<br />

This is what I believe sets us apart from ALL of our competitors and shows our full commitment to our<br />

customers.<br />

Invoicing<br />

Standard payment terms are 30 days end of month.<br />

Lee Brothers currently operate the following invoicing facilities;<br />

• Electronic Invoicing: - Automatic electronic invoicing<br />

• Consolidated Invoicing - We have the facility to set up consolidated invoices per site on a monthly basis.<br />

• Electronic Trading - Lee Brothers currently trade via COINS, TRADEX CAUSEWAY, TRADEX ACTIVE and our own in<br />

house systems.<br />

Conditions of the Service<br />

• The contract is for a period of 24 months, from 1st January 2015 with a further 2 year rolling contract if<br />

agreeable. Prices are to be valid for 12 months from 1st July 2015 and then reviewed between both parties.<br />

• Rebate to be valid from 1st January 2015. Rebate for each year will be spend relating to 1st January -<br />

31st December. It will be paid once an invoice has been received from Osborne, when all invoices have been<br />

cleared for the year. Rebate can be paid by either BACS payment or cheque, whichever is preferred.<br />

• End of contract bonus, after 4 years, of £25,000, if £1.5 mil spend is achieved.<br />

• All changes or alterations to the contract, price list, or level of service must be agreed between the two parties.<br />

• In the event of a dispute or difference of opinion, the parties shall use their reasonable endeavours and act in<br />

good faith to resolve such dispute.<br />

• Either party to give 2 months notice in writing to terminate contract<br />
