(f) Borrowings by Mutual Fund<br />

As per Regulations, the Fund may borrow to meet its temporary liquidity needs of the fund for the purpose<br />

repurchase, redemption of units or payment of interest or dividend to the unit holders upto 20% of the net<br />

assets of the scheme. The duration of such borrowing shall not exceed a period of six months.<br />

(g) Inter Scheme Transfers<br />

The transfer of investments from one scheme to another scheme of the mutual fund will be done on the basis of<br />

prevailing market prices for traded securities on spot basis. In case of security is not traded, the transfer will be<br />

effected on fair valuation basis to be arrived by the AMC. Such transfers, if made would be done in conformity<br />

with the objectives of the schemes and sebi regulations<br />

(h) Dividends and Distributions<br />

The Board of Trustees may, monthly, quarterly, semi-annually or at such other intervals, decides and declares a<br />

dividend. However, it must be distinctly understood that the actual declaration of dividends under the scheme and<br />

the frequency thereof will, interalia, depend upon the distributable surplus of the scheme. The decision of the Board<br />

of Trustees in this regard shall be final.<br />

The dividend that may be paid out of the net surplus of the scheme will be paid only to those unit holders whose<br />

names appear in the register of unit holders on the notified record date.<br />

X. PENALTIES & PENDING LITIGATIONS:<br />

1. No penalties have been awarded by SEBI under the SEBI Act or any of its Regulations against the sponsor of<br />

the Mutual Fund or any company associated with the sponsor in any capacity including the Asset Management<br />

Company, Trustees or any of the directors or any key personnel (specifically the fund managers) of the Asset<br />

Management Company and Trustees. No penalties have been awarded on the Sponsor and its associates by any<br />

financial regulatory body, including stock exchanges, for defaults in respect of shareholders, debenture holders<br />

and depositors. No penalties have been awarded for any economic offence and violation of any securities laws.<br />

2. There are no pending material litigation proceedings incidental to the business of the Mutual Fund to which the<br />

sponsor of the Mutual Fund or any company associated with the sponsor in any capacity including the Asset<br />

Management Company, Trustees or any of the directors or key personnel of the AMC is a party. Further, there<br />

are no pending criminal cases against the Sponsor or any company associated with the sponsor in any capacity<br />

including the Asset Management Company, Trustees or any of the directors or key personnel.<br />

3. There is no deficiency in the systems and operations of the sponsor of the Mutual Fund or any company<br />

associated with the sponsor in any capacity, including the Asset Management Company which SEBI has<br />

specifically advised to be disclosed in the Offer Document, or which has been notified by any other regulatory<br />

agency.<br />

4. There are no enquiries/ adjudication proceedings under the SEBI Act and the Regulations made thereunder,<br />

which are in progress against any company associated with the sponsor in any capacity including the Asset<br />

Management Company, Trustees or any directors or key personnel of the Asset Management Company.<br />

XII. APPROVAL BY THE BOARD OF TRUSTEES<br />

The original Offer Document was approved by the Board of Trustees of Sundaram Mutual Fund at their meeting<br />

held on 26th April 2003.<br />

Notwithstanding anything contained in the offer document the provisions of the SEBI (Mutual Funds) Regulations,<br />

1996 and the Guidelines there under shall be applicable.<br />

Investors are advised to read the unabridged Offer Document of the scheme carefully before<br />

investment.<br />
