Guidelines for Waiving
Parts of Our Code
Our Board of Directors must approve any amendment of this Code.
Our Board must also approve any waiver of our Code, for any employee,
director, or executive officers, including the Chief Executive Officer and
senior financial officers. Any amendment or waiver of our Code must be
properly documented, and publicly disclosed in accordance with all laws,
rules, and regulations, including those of the New York Stock Exchange.
