The extraordinaryshareholders’ meeting may also decide to carry out stocksplits or reverse splits.15.3 OTHER ELEMENTS THAT MAY HAVE AN IMPACT IN CASE OF TENDER OFFER15.3.1 Control mechanisms in relationto employee shareholdingIn the scope of the share capital increase reserved foremployees, which was carried out in the context of theinitial public offering of Rexel, the employee investmentfunds (FCPEs) “Rexel Actionnariat France” and “RexelActionnariat International” were created.The supervisory board of these FCPEs has, in particular,the following powers:− it exercises the voting rights attached to the shares issuedby Rexel and decides on the contribution of shares, and,in this respects, appoints one or several representativesof the fund at the Rexel shareholders’ meetings; and− the information provided to the works council, pursuantto articles L.2323-7 et seq., L.2323-46 et seq. andR.2323-1 of the French Labor Code, as well as a copyof the report of the chartered accountant appointedpursuant to articles L.2325-35 et seq. of the FrenchLabor Code, are also delivered to the supervisory boardof the funds.15.3.2 Agreements entered intoby Rexel to be amended or terminatedin case of change of controlThe agreements entered into by Rexel or which may needto be amended or terminated in case of change of controlare, in particular, the following:− the Senior Credit Agreement (see paragraph 7.2.1 of thisDocument de Référence).PAGE 254 | REXEL 2008
