8.0 Responsibilities of the Deputy Chair, <strong>Academic</strong> <strong>Board</strong>8.1 The Deputy Chair performs the responsibilities of the Chair – including presidingat meetings of the <strong>Academic</strong> <strong>Board</strong> – in the absence of the Chair.8.2 In addition, the Chair may assign specific duties to the Deputy Chair.9.0 Chairing of a Meeting in Absence of Chair <strong>and</strong> Deputy Chair9.1 When advance notice is given of the intended absence of both the Chair <strong>and</strong>Deputy Chair at a meeting of the <strong>Academic</strong> <strong>Board</strong>, the <strong>Academic</strong> <strong>Board</strong>Executive will appoint another member of the Executive to chair the scheduledmeeting of the <strong>Academic</strong> <strong>Board</strong>.9.2 In the event of an unforeseen absence of both the Chair <strong>and</strong> Deputy Chair at ameeting of the <strong>Academic</strong> <strong>Board</strong>, <strong>and</strong> the <strong>Academic</strong> <strong>Board</strong> Executive has not hadthe opportunity of appointing another of its members to chair the meeting, the<strong>Academic</strong> <strong>Board</strong> shall elect one of its number present, to chair the meeting.10.0 Quorum10.1 The quorum for a meeting of the <strong>Academic</strong> <strong>Board</strong> shall be the nearest wholenumber above one half of the members for the time being.11.0 Officers in Attendance11.1 The <strong>Academic</strong> <strong>Board</strong> may invite any officer of the <strong>University</strong> to attend for specificitems of a meeting or to attend specified meetings, to assist the <strong>Board</strong> in itsdeliberations.12.0 Attendance of Observers12.1 The <strong>Academic</strong> <strong>Board</strong> may permit the attendance of observers – whether fromwithin the <strong>University</strong>, or from external organisations - at any of its meetings.12.2 Observers do not have rights of debate, unless the meeting of the <strong>Academic</strong><strong>Board</strong> allows such participation.13.0 Role of the <strong>Academic</strong> <strong>Board</strong> Executive13.1 The <strong>Academic</strong> <strong>Board</strong> Executive is responsible for assisting the <strong>Board</strong> in thefollowing ways:13.1.1 the approval of the Agendas for meetings of the <strong>Academic</strong> <strong>Board</strong>13.1.2 the facilitation of the communication between the <strong>Academic</strong> <strong>Board</strong> <strong>and</strong>Faculties or Offices/committees13.1.3 the exercise of functions delegated to the <strong>Academic</strong> <strong>Board</strong> Executive bythe CouncilNote: at its meeting on 17 May 2006, the Council delegated to the<strong>Academic</strong> <strong>Board</strong> Executive all the functions delegated to the<strong>Academic</strong> <strong>Board</strong> (listed in the note to section 2.3 above) on theconditions that:1. a delegated function is to be exercised by the <strong>Academic</strong><strong>Board</strong> Executive ("ABE") only when it is not possible or


practicable for the <strong>Board</strong> itself to exercise the function in aparticular case, such as when the matter is extremelyurgent; <strong>and</strong>2. any exercise of delegated power by the ABE is to bereported as soon as practicable by the ABE to the<strong>Academic</strong> <strong>Board</strong>.13.1.4 the taking of all other action as appropriate, to facilitate the timely <strong>and</strong>proper achievement of the <strong>Academic</strong> <strong>Board</strong>’s delegations.14.0 Establishment of other Committees14.1 The <strong>Academic</strong> <strong>Board</strong> may establish, or recommend to the Council theestablishment of, st<strong>and</strong>ing committees to assist it in the performance of itsresponsibilities. The terms of reference <strong>and</strong> membership of each such st<strong>and</strong>ingcommittee will be prescribed by constitution.14.2 The <strong>Academic</strong> <strong>Board</strong> shall review the constitution of each st<strong>and</strong>ing committeeonce annually to consider whether the committee should continue, <strong>and</strong> if so,whether any changes are required to the terms of reference, membership ormethods of operation of the committee.14.3 Where it is proposed that the Council should delegate one or more of itsfunctions to a st<strong>and</strong>ing committee, the members of that st<strong>and</strong>ing committee mustfirst be appointed by the Council.15.0 Establishment of working parties15.1 The <strong>Academic</strong> <strong>Board</strong> may set up working parties to undertake particular tasks inrelation to a nominated activity. The composition of a working party may includepersons other than members of the <strong>Academic</strong> <strong>Board</strong>, <strong>and</strong> may include personswho are external to the <strong>University</strong>.15.2 A working party’s role is advisory.16.0 <strong>Academic</strong> <strong>Board</strong> Forums16.1 The Role Statement: Role of the <strong>Academic</strong> <strong>Board</strong> in Governance includes thefollowing statement:The <strong>Academic</strong> <strong>Board</strong> has a role to promote a collegiate environment forthe pursuit of academic excellence <strong>and</strong> therefore conducts its affairs in away which ensures a high profile within the <strong>University</strong> <strong>and</strong> which enjoysthe confidence of the <strong>University</strong> community.16.2 <strong>Academic</strong> <strong>Board</strong> Forums – on issues identified by the <strong>Board</strong> as being topical <strong>and</strong>of particular importance to the <strong>University</strong> – are the principal way in which the<strong>Academic</strong> <strong>Board</strong> involves the entire <strong>University</strong> community in the expression ofopinions <strong>and</strong> the conveyance of the views to the management <strong>and</strong> the Council.The number of Forums to be conducted in any year, <strong>and</strong> the topics fordiscussion, will be recommended to the <strong>Academic</strong> <strong>Board</strong> by the <strong>Academic</strong> <strong>Board</strong>Executive.17.0 Meeting Schedule17.1 The <strong>Academic</strong> <strong>Board</strong> will meet at least six times in each calendar year.
