4. Auditing of accountsThe General Meeting on 13 April 2010 appointed:Deloitte Reviseurs d’EntreprisesBV o.v.v.e. CVBA/SC s.f.d. SCRLBerkenlaan 8bB – 1831 Diegemrepresented by Michel Denayer, as Statutory Auditor for aperiod of three years and set its fees for this audit assignmentat EUR 70,000 non-indexable and exclusive of VAT.In the exercise of his duties, the Statutory Auditor maintainsclose relations with the Executive Management and has freeaccess to the Board of Directors via the Audit Committee.Furthermore, he may address directly and with no restrictionsthe Chairman of the Audit Committee and the Chairman of theBoard of Directors.For the group as a whole (GBL and its wholly-ownedsubsidiaries), total fees related to auditing of the 2011 accountsby Deloitte amounted to EUR 2,972,185 Details on fees paid toDeloitte can be found in note 27, page 114.5. Department headsMichel ChambaudBorn on 21 May 1952, French nationality.Michel Chambaud earned degrees from the HEC BusinessSchool and Political Science Institute in Paris and holds adoctorate in tax law. He began his career as Strategic andFinancial Adviser at Arthur D. Little and the World Bank.He then held different international positions as part of thefinancial management of Schlumberger group.He joined Pargesa group in 1987, where he managedthe investments of Parfinance, and later was named ChiefFinancial Officer and Head of Strategy of Imerys.Today he is GBL’s Investments Manager.Ann OpsomerBorn on 17 May 1960, Belgian nationality.Ann Opsomer holds a degree in law from Antwerp Universityand a degree in economic law from Catholic University ofLouvain. She began her career as a member of the BrusselsBar. In 1986, she joined GBL, where she held positionsin the financial department and subsequently in the legaldepartment. She has served as GBL’s Secretary General andCompliance Officer since 2004.Olivier PirotteBorn on 18 September 1966, Belgian nationality.Olivier Pirotte has a degree in Market DevelopmentEngineering from Solvay Business School (Free University ofBrussels). His career began at Arthur Andersen, where he wasresponsible for the Audit and Business Consulting Divisions.In 1995 he joined GBL, where he has held various financialand industrial monitoring responsibilities. He was GBL’sInvestments Director from 2000 to 2011.On 1 January 2012, Olivier Pirotte took up the role of CFOto succeed Patrick De Vos (1) . He supervises treasury,consolidation, accounting and taxation divisions.The Executive Management meets regularly the aforesaidheads of the Company’s different departments to monitor thegroup’s operational activities and to review any managementmeasures that may be needed.(1) Patrick De VosBorn on 9 October 1957, Belgian nationality. After earning a degree in law and applied economics fromAntwerp University, he began his career at Deloitte in the audit department. In 1985 he joined GBL group,where he was assigned different financial responsibilities before being named Chief Financial Officer in1994.
