GENERAL TERMS AND CONDITION OF TENDERU.P. STATE ROAD TRANSPORT CORPORATION, LUCKNOWTerms and General Conditions <strong>for</strong> the Tender Notice <strong>for</strong> <strong>supply</strong> <strong>of</strong> the items, mentionedin the bill <strong>of</strong> quantity, to U.P.S.R.T.C. Parivahan Bhawan, Lucknow as follows-1- Tenders are invited <strong>for</strong> <strong>supply</strong> <strong>of</strong> items mentioned as specified in the bill <strong>of</strong> quantity as perspecification mentioned there in from the manufacturer. Technical bid shall be opened first subsequent to satisfactory approval, financialbid <strong>of</strong> those only who qualify in first round, will be opened.7- Technical Bid <strong>of</strong> Tender will be opened by the duly authorized <strong>com</strong>mittee <strong>of</strong> <strong>of</strong>ficers <strong>for</strong><strong>tender</strong> opening on specified date mentioned in Bill <strong>of</strong> Quantity.


8- If any <strong>tender</strong>er withdraws his <strong>tender</strong> be<strong>for</strong>e expiry <strong>of</strong> the period referred to in para above, UPSRTCmay agree to allow such withdrawal, but in such a case Earnest Money deposited by the Tenderers maybe <strong>for</strong>feited, in case <strong>of</strong> refusal to such withdrawal and acceptance <strong>of</strong> the <strong>tender</strong>, still if the <strong>tender</strong>er failsto per<strong>for</strong>m his part <strong>of</strong> the contract, not only the Earnest Money deposited by the Tenderer shall belia<strong>bl</strong>e to be <strong>for</strong>feited but shall invite other consequences <strong>of</strong> Breach <strong>of</strong> contract.(2)9- UPSRTC reserves the right to place the purchase order on more than one source. Tenderer should givehis acceptance <strong>for</strong> <strong>supply</strong> on the eligi<strong>bl</strong>e lowest rate or else should specificially mention on theseparate sheet alongwith the Tender. In case the purchase order is placed to more than one source, thequantity shall be distributed as per the Purchase Policy <strong>of</strong> the Corporation and the preference <strong>for</strong>placing Purchase Order to more than one source would be given to second, third or subsequent lowestTenderer accordingly to their consent.In case <strong>of</strong> order to more than one source the total ordered qty. shall be distributed as pe rpurchase policy:--Sl. Rate diffrence Bifercation <strong>of</strong> Qty. to be purchase in %age1 NIl 50 : 502 > 0 to 5% < 60 : 403 > 5 % to 10 % < 70 : 304 > 10 % to 20 % < 80 : 205 > 20 % 90 : 10In case <strong>of</strong> 3 source <strong>of</strong> <strong>supply</strong> the %age <strong>for</strong> 1 st Lowest firm will remain the same as calculatedas per above policy and the distribution among 2 nd and 3 rd lowest firm shall be from the balence qty, asper policy given above.10- If subsequent to the submission <strong>of</strong> the <strong>tender</strong>, any Tenderer, alter or modifies the contents <strong>of</strong> his <strong>tender</strong>which are not accepta<strong>bl</strong>e to UPSRTC then, <strong>for</strong> the purpose <strong>of</strong> this condition, the Tenderer shall bedeemed to have withdrawn his proposal and thereby inviting <strong>for</strong>feiture <strong>of</strong> Earnest Money.11- Correction, if any made by the Tenderer must bear date and initial <strong>of</strong> the Tenderer.12- The General Manager (T) reserves the right to reject any or all the Tender without assigning anyreasons.13- It will be open to the General Manager (T) to accept any Tender in full or in part, in respect <strong>of</strong> valid<strong>tender</strong>, Tenderer/s shall <strong>supply</strong> such quantities as are accepted by the General Manager (T). TheTenderers are at liberty to <strong>tender</strong> <strong>for</strong> the whole or any portion <strong>of</strong> Quantity mentioned in the Bill <strong>of</strong>Quantity and Additional Terms and Conditions <strong>for</strong>m. The Tenderer should specifically mention thequantity in case partial quantity <strong>tender</strong> duly mentioning in the ‘BILL OF QUANTITY’.14- Tenderers must give detailed description; make and origin <strong>of</strong> the manufacturer <strong>of</strong> various items<strong>tender</strong>ed. Tenderer shall be bound by guarantee <strong>of</strong> quantity and quality <strong>of</strong> supplies as specified in the<strong>tender</strong> and thereafter by the UPSRTC.15- All rates must be inclusive <strong>of</strong> Packing, Forwarding, Insurance and Railway freight etc. F.O.R.Destination or door delivery basis. The price quoted shall be nett in Rupees strictly <strong>for</strong> the Unit (each)given in the Bill <strong>of</strong> Quantity. But Components <strong>of</strong> nett rate i.e. Basic Rate + taxes (Excise, VAT, EntryTax Etc.) + Packing and <strong>for</strong>warding + insurance, etc. must to be given seperately.Downloaded fromwww.upsrtc.<strong>com</strong>16- All Items <strong>of</strong>fered have to be delivered according to agreed delivery schedule failing which theConsignee reserves the right to accept the supplies beyond the stipulated period after imposing apenalty up to Rs. 50.0 (Rs. Fifty) per day per item <strong>for</strong> delay not exceeding 5% <strong>of</strong> the value <strong>of</strong> deloyedquantity. Supply may also be rejected because <strong>of</strong> late <strong>supply</strong> or non-<strong>supply</strong> within validity period.Those items, which have been supplied in time but subsequently rejected by the respective consigneesduring inspection, will be treated as rejected supplies. The period <strong>of</strong> delay shall be reckoned from thedate <strong>of</strong> receipt <strong>of</strong> material as per specification.


(3)17- All items supplies will be subject to an inspection be<strong>for</strong>e being accepted by the Consignee.18- In all matters <strong>of</strong> dispute relating to this Tender the decision <strong>of</strong> the Managing Director, UPSRTC will befinal and binding on Tenderer.19- All disputes and differences, arising out <strong>of</strong> the contract, shall be referred to the Sole Arbitrator <strong>of</strong> theManaging Director <strong>of</strong> UPSRTC or his nominee, who shall be an Officer <strong>of</strong> the UPSRTC not below therank <strong>of</strong> the General Manager whose decision shall be final and binding on both the parties. Thussubmission shall be deemed to be submission to arbitration within the meaning <strong>of</strong> Indian Arbitrationand Consciliation Act. 1996 and statutory modification there<strong>of</strong>. All matters are subject to Court atLucknow Jurisdiction only.20- Any other condition as per Bill <strong>of</strong> Quantity and Additional Terms and Conditions Form enclosed shallalso be treated as condition <strong>of</strong> Tender.21- Any Tender that does not contain all the in<strong>for</strong>mation required according to the conditions stated aboveor deviated from the above conditions on his own shall be lia<strong>bl</strong>e <strong>for</strong> rejection.22- General Manager (T) reserves the right to alter any quantity <strong>of</strong> any items.23- Rates must be quoted in attached schedule annexure “C” only.24- Supplies <strong>for</strong> items will have to be made F.O.R. Destination/consignee which in this case will be theGeneral Manager, Central Workshop/Dr. R.M.L. Workshop, Kanpur.25- In case where there is reduction in the cost <strong>of</strong> Raw Material, benefit <strong>for</strong> the same will be passed on tothe UPSRTC. The Raw Material Price reduction will be esta<strong>bl</strong>ished vis-à-vis ASRTU Price reductionwith basic rate <strong>of</strong> ASRTU rate contract prevailing on the day <strong>of</strong> opening <strong>of</strong> <strong>tender</strong> as the reference rate.26- If bidder is on rate contract with ASRTU and if the rates quoted in the Tender are higher than ASRTUrates, ASRTU rates shall prevail. In such cases if ASRTU allows price increase during the tendency <strong>of</strong>Rate Contract, same shall be passed on to the firm (after due consideration <strong>of</strong> <strong>com</strong>parative rateevaluation) subject to maximum limit <strong>of</strong> rate quoted in original <strong>tender</strong> to UPSRTC.27- Tenderers should Confirm / Guarantee that the rates quoted are lowest <strong>for</strong> respective quantity and thatthere are no other lower rates or discounts etc. (Excluding statutory duties) quoted to any other STU’sand/or Govt. Dept./ Undertaking. In case <strong>of</strong> such failure the difference shall be recovered from theordered Firm/Tenderer, after the lower rate quoted in other STU’s in known from the date <strong>of</strong> quotation28- Prequalification <strong>of</strong> Tender shall be judged with regard the each Bid & answer <strong>of</strong> Technical Bid ismandatory. In case fail to fill Technical bid with supporting document the <strong>tender</strong> may be disqualified29- The <strong>supply</strong> must be strictly done as per deliveryschedule to respective consignee.30- Failure to Supply and Risk Purchase ClasueIf the supplier fails to <strong>supply</strong> any stores in accordance with the terms and conditions hereinprovided and those agreed with the Undertakings, or fails to replace the stores as may be rejected bythe Undertakings, within the time stipulated, the Undertakings shall at the risk and cost <strong>of</strong> supplier andwithout any notice or reference to him be entitled to purchase such stores (<strong>of</strong> the same specifications)from any other source and at such price as the undertaking shall in their sole discretion think fit and ifDownloaded fromwww.upsrtc.<strong>com</strong>such price shall exceed the rate set out in rate contract, the supplier shall be lia<strong>bl</strong>e to pay to theUndertakings the difference between the price at which such stores have been purchased by theUndertakins and at the price set out in the contract plus 10% overheads. The risk purchase andpayment <strong>of</strong> difference with overheads in terms there<strong>of</strong> shall not absolve the supplier <strong>for</strong>m the liabilityto pay damage as may be suffered and claimed by the Undertakings due to the failure <strong>of</strong> the supplier tomake timely and proper delivery <strong>of</strong> the contracted stores.


(4)31- Force Majeure ClauseProvided however, if such failure referred to in clause (27) above shall have arisedfrom an act <strong>of</strong> God or disorganization <strong>of</strong> pu<strong>bl</strong>ic transport, thunder, flood, earthquake or anyother inevita<strong>bl</strong>e or un<strong>for</strong>eseen circumstance beyond human control including any casuedirectly or indirectly interfering with the <strong>supply</strong> <strong>of</strong> raw material such as limitation <strong>of</strong> importlicence or any other cause which the UPSRTC may admit as reasona<strong>bl</strong>e ground <strong>for</strong> non<strong>supply</strong>in time as may be justified by the circumstances <strong>of</strong> the case, the UPSRTC may <strong>for</strong>egothe claim <strong>for</strong> any such loss or damage.32- Liquidated DamagesIf the contractor fails to deliver the stores or any installment there<strong>of</strong> within the periodfixed <strong>for</strong> such delivery or at any time repudiates the contract be<strong>for</strong>e the expiry <strong>of</strong> such period,the Unertaking may without prejudice to the other rights <strong>of</strong> the purchaser to recover damages<strong>for</strong> breach <strong>of</strong> the contract, recover from the contractor as agreed liquidate damages and not byway <strong>of</strong> penalty a sum equivalent to 2% <strong>of</strong> the price <strong>of</strong> any stores which the Supplier hasfailed to deliver within the period fixed <strong>for</strong> the delivery in the schedule <strong>for</strong> each month or part<strong>of</strong> a month during which the delivery <strong>of</strong> such store may be in arrears, where delivery there<strong>of</strong>is accepted after expiry <strong>of</strong> the a<strong>for</strong>esaid period subject to the conditions that the damages tobe calculated shall be limited to 10% <strong>of</strong> the value <strong>of</strong> delayed supplies.33- Service <strong>of</strong> NoticeAny Notice required to be given under any <strong>of</strong> the <strong>for</strong>egoing Clause shall be deemedto have been given and served if sent to the supplier by registered Post/Speed Post/Courier atthe address given in the <strong>tender</strong> <strong>for</strong>m or at any other address subsequently notified by thesupplier.34- If the lower rates is <strong>of</strong>fered in fresh Tender in <strong>com</strong>parision to the previous <strong>tender</strong> the lowerrates shall be applica<strong>bl</strong>e <strong>for</strong> the balance qty./Supply from the date <strong>of</strong> New Tender TechnicalBid Opening.35- All payment will be made through NEFT/RTGS and suppliers have to provide all requiredbank Detailes.Signature <strong>of</strong> the Tenderer(With Stamp)Address:Date:Downloaded fromwww.upsrtc.<strong>com</strong>Signature <strong>of</strong> Issuing Officer(With Stamp)


(5)ADDITIONAL TERMS AND CONDITIONS(a) Sample may be sent <strong>for</strong> testing at CIRT Pune or any other testing Agency deemedsuita<strong>bl</strong>e <strong>for</strong> same <strong>for</strong> items mentioned in Bill <strong>of</strong> Quantity. Test Report shall be binding onboth the parties i.e. supplier and user.(b) Complete Specification <strong>of</strong> each items mentioned in Bill <strong>of</strong> Quantity giving details shouldbe mentioned while quoting.(c) Tenderers should confirm/guarantee that the rates quoted are lowest <strong>for</strong> respectivequantity and that there are no other lower rates or discount etc. (Excluding statutoryduties) quoted to any other STU’s or Govt. Dept./Undertaking. In case <strong>of</strong> such failure thedifference shall be recovered from the ordered Firm/Tenderer, after the Lower RateQuoted in other STU’s is known from the date <strong>of</strong> quotation.(d) Penalty will be imposed on the supplier <strong>for</strong> failure <strong>of</strong> sample in Test Report as perpenalty clause <strong>of</strong> ASRTU, New Delhi. (As Per Annexure “D”)(e) In case <strong>of</strong> 2 (Two) consecutive failure <strong>of</strong> sample <strong>for</strong> each items in testing, UPSRTC mayshort close the order and Tenderer will be lia<strong>bl</strong>e to pay the penalty <strong>for</strong> failure <strong>of</strong> sampleas per ASRTU Specification and Clauses.(f) Tenderer who are manufacturer (Not on Rate/Trial Contract) should submit D.I. validregistration/Registration <strong>of</strong> Company registrar <strong>for</strong> the product <strong>for</strong> which Tender has beencalled <strong>for</strong>.(g) Prequalification <strong>of</strong> Tender shall be judged with regard the each Bid answer <strong>of</strong> TechnicalBid is mandatory. (10)Annexure – DCriteria <strong>for</strong> levy <strong>of</strong> penalty/<strong>com</strong>pensation paya<strong>bl</strong>e by the supplier to the purchasing STU’s applica<strong>bl</strong>e <strong>for</strong>items due to short fall in specification.The supplies received from the supplier by the purchasing STU may be subjected to the laboratory testingas may be the purchasing STU.If the sample fails to meet the requirement <strong>of</strong> any one or more parameters specified in the specificationsapplica<strong>bl</strong>e to the contract then the lot from which the sample has been drawn shall be considered as not having metthe requirements <strong>of</strong> this specification and, as a consequence there<strong>of</strong>, <strong>com</strong>pensation will be paya<strong>bl</strong>e by the supplierbased on the value <strong>of</strong> the lot (inclusive <strong>of</strong> all taxes & incidentals) which will be decided on the loss <strong>of</strong> marks fromthe total marks allotted to each <strong>of</strong> the tests as detailed in the specifications.1- The loss <strong>of</strong> marks be in proportion to the extent to which actual test values deviate from thespecified values <strong>for</strong> test parameters marked as “P”.2- The loss <strong>of</strong> marks will be total <strong>for</strong> test parameters marked as “T”.3- In case any <strong>of</strong> the tests is not carried out, there will be no recovery <strong>of</strong> marks <strong>for</strong> that given test.For some test parameters the proportionate recovery can be made whenever the test reports indicate specificvalues. Whereas <strong>for</strong> some test parameters the recovery is required to be made ‘Total’. In case the test reports do notgive specific values and also the nature and applicability <strong>of</strong> the test parameters is such that total recovery is to bemade.There<strong>for</strong>e, the best parameters are classified as P or T which is clearly mentioned against each testparameters. Proportionate marks shall be considered <strong>for</strong> the test parameters which are classified as ‘P’. total marksshall be considered <strong>for</strong> test parameters which are classified as ‘T’.The penalty shall be liva<strong>bl</strong>e by the purchasing STU based on a single Test Report also. If more number <strong>of</strong>samples have been drawn & tested <strong>for</strong> the same item from the same lot then the average shotfall/deviation will be<strong>com</strong>puted taking into account all the Test Reports <strong>for</strong> that item including both passed as well as failed Test Reports.The penalty will be applica<strong>bl</strong>e on gross value <strong>of</strong> supplies made in a given lot <strong>of</strong> that item which had failed in thetests.For example if different items are supplied in a given lot say item to O.E. Part No. X,Y & Z or ASRTUitem code No. A,B & C i.e. items to different O.E. Part Nos. or items to different ASRTU code Nos. and if samples<strong>of</strong> the item to O.E.
