emove the materials against each Installment of delivery order/s within the 21 days. A further period of 7 days against eachInstallment may be allowed to the purchaser at the discretion of the steel company on payment of ground rent @ 15 paise perrs.100/- on the purchase price of the remaining balance quantity for each day. Such decision of the steel company in thisregard will be final and binding upon the purchaser. The lot will be treated as forfeited with value of the materials if not liftedwithin the extended period as followed by the steel company. Time being the essence of terms and conditions of auction.c) After paying each Installment of purchase money as mentioned in sub-clause (a) above and all taxes duties (imposts)mentioned in 12 hereof the purchaser will submit a written request to the steel company for necessary entry permits for thepurchasers’ laborers and technicians for each delivery. Such written request shall be in the form prescribed by the steelcompany and if the purchaser intends to bring in any of his equipment to facilitate dismantling or removal of the goods suchequipment must be specifically mentioned in the written request. on receipt of a written request from the purchasers with allnecessary particulars, the steel company will permit entry of purchasers’ laborers, technicians, equipment etc. as may beneeded for dismantling, removal, loading etc. of the stores purchased but the purchaser shall be wholly liable for and shallduly make good any damage or loss to any property of the steel company caused by the purchaser or any member of his staffor any agent employee, clerk, workman or servant. the steel company shall not be held liable under any legislation relating tofactories or workmen’s compensation actor otherwise for any breach of law or injury to the purchaser or any such person asaforesaid caused by or arising from any action of him or them.12 all sales tax, terminal tax, excise duty and all other taxes, duties (imposts) whether payable to the central government or tothe state government or to the municipal, local or other authorities shall be deposited by the purchaser with the mjunction orthe steel company as the case may be along with the purchase money as part of the purchased price as mentioned in clauses10 and 11 hereof. Non-payment of any amount payable under this clause will have the same effect as non-payment of thepurchase money and will result in ipso-facto termination of the contract and forfeiture of the earnest money. if the liability ofsuch tax (impost) and/or duty is in doubt, the mjunction’/steel company will have a right to call upon the purchaser to makesuch provision as the steel company may deem fit and proper to ensure the recovery of such taxes (impost) and/or duty. if thetax (impost) and/or duty is not recovered at the time of delivery/dispatch the steel company/mjunction will have the right tocall upon the purchaser, to pay such amount as may be due whenever the steel company/mjunction find that it has omitted tocharge or the steel company become liable to pay higher charge as a result of decisions or announcements by government orany other competent authority, even though, the full value of the materials may have been already paid ordelivery/dispatches may have been completed from the steel company’s works, collieries, mines etc. the steel company shallbe free to call upon the purchaser to make good the amount short recovered whenever such contingency should arise, or thesteel company shall be entitled to recover the amount of such tax (impost) or duty from the purchaser by way of set offagainst any amount or amounts that might at any time become payable by the steel company/mjunction to the purchaser onany account or accounts whatsoever.a) Sales Tax:Local sales tax shall be applicable to the sale made to the successful bidders who are carrying on their business in the statewhere the auctioned materials are kept and from where the materials will be delivered to such purchasers. however, centralsales tax will be applicable to the sales made to successful bidders whose place of business are located in the state other thanthe state in which the auctioned materials are kept.b) Undertaking:for such outside parties who are participating in the auction in respect of materials laying in different states, it is explicitlymade clear that they on successful bidding, will move auctioned materials to their respective place of business, i.e., outsidethe state in which materials are kept and the successful bidder/bidders will have to furnish cost declaration form ‘c’ inadvance.b) Tax collection at source- an amount as applicable shall be collected by TATA steel towards tax collection at source asstipulated in the budget amendment. This shall be in addition to sales tax and any other tax that may be applicable.13. The purchaser shall pay the sales tax at the higher rate (without any concession even if applicable) while making paymentfor the lot purchased by them in the auction. Any refund due to them under the law against such sales tax payment will onlybe refunded by us on the purchaser’s submitting the necessary declaration form/exemption certificate duly filled in. a copy ofthe registration certificate must be also furnished while claiming such refund. 14 notwithstanding anything to the contraryPage 5 of 16

) Purchaser will have to make his own labor arrangement for loading the materials on trucks/ trailers23 At the time of obtaining delivery of any goods, the purchaser shall not be entitled to pick or choose any particular item oritems from the lots sold to purchaser. The purchaser will have to operate the lot from one side of the heap until the entirequantity is lifted.24 The purchaser shall be wholly responsible for obtaining any allotment or allotments of wagons from the railways for thepurpose of removal of the goods purchased by the purchaser and also for all demurrage and other expenses incurred by thepurchaser in respect hereof. the steel company shall not be liable for any claim by the railway authorities in respect ofdamages to the railway wagons allotted against the application for allotment for wagons made on behalf of the purchaser. ifthere shall be any such claim by the railways on the steel company even after delivery of the materials, the steel company willclaim the amount involved from the purchaser and the purchaser will be liable for payment of all such claims.25 The steel company shall not be liable for or be bound in any manner for any representation or statements which are notcontained in the general conditions of sale and/or catalogue or are contrary to and inconsistent therewith purported to bemade by any officer upon of the steel company.26 Any dispute arising out of any contract shall be decided in Calcutta by the courts in Calcutta and by no other courts. thecourts in Calcutta shall have exclusive jurisdiction to adjudicate upon any such dispute.27 All complaints of whatsoever nature should be referred to the chief (marketing & sales), secondary products, the TATA iron& steel co. ltd., Calcutta, immediately by the parties concerned.28 Purchasers are warned that any attempt to misuse gate pass, challans authorising delivery or any such documents will openthem to serious penalties or such other action as may be open to the steelCompany. the purchasers should, therefore, ensure that important documents relating to sale are in the custody only oftrustworthy and responsible persons.29 If any non-ferrous metal is found in any of the lots while effecting delivery the same shall be treated as steel company’sproperty except where such non-ferrous metals are specifically mentioned. the purchaser shall not lift from the lots any suchpieces containing non-ferrous metals and shall have no claim to the same or ask for any compensation on account thereof.30 The general condition of the goods against all lots of the catalogue shall be treated as rejected obsolete, and condemnedunless otherwise specifically mentioned against the items or lots.31 Delivery of goods sold shall be granted during working hours on week days (other than Saturdays) between 8 a.m. and 5p.m. and on Saturdays between 8 a.m. and 12 noon on production of dispatch advice issued by the department concerned ofthe steel company or the mjunction as the case may be and a signed copy of the steel company’s authorization letter fortaking delivery. Deliveries will not be affected on Sundays nor on any other days being holidays observed in the works, minesetc. delivery ex-Jamshedpur tubes works will, however, be from Monday - Friday 7 a.m. to 1 p.m. and on Sunday 7 a.m. to 11a.m. on production on delivery orders to be issued by the company.32 The steel company shall not be liable for non-performance of any contract either wholly or in part nor for any delay inperformance resulting from or due to any cause beyond the steel company’scontrol including fires, strikes, go-slow, lock-out, closure, dispute with workmen, uncertain and unstable labour situation,power shortage, war, riots, civil commotion, pestilence, epidemics, floods,accidents, damages or accidents to machinery, shortage of wagons, shortage of fuel, shortage of any raw materials, shortageof labour, governments or railway restrictions, acts, demands or requirements of government, force majeure or anycircumstances beyond the control of the steel company whether directly due to or in consequence of the aforesaid causes ornot and the existence of such causes of consequences shall operate to extend the time of the performance on the part of thesteel company by such period as may be necessary to enable the steel company shall have no claim upon the steel company ofany kind. The provision of this paragraph shall not be limited or abrogated by any other terms of the contract whether printedor written nor will the provisions of this clause abrogate or limit the effect of any other clause mentioned in this catalogue.Page 7 of 16

33 In the event of any designation of an official of the steel company mentioned in these general conditions of sale beingreplaced at any time by any other designation such designation shall be deemed to be substituted by the corresponding newdesignation wherever it occurs in these general conditions of sale.34 If it detected at any time that the customer had loaded a material and/or materials for which he is not the auctionpurchaser the steel company will be within its rights to detain the truck, unload the materials at the cost and expenses of thecustomer and take such other and further action as may deem fit and necessary for the purpose.35 All lots sold on weight basis from the town division, Jamshedpur would have to be transported by the purchasers to TISCOsteel works auction yard at their own expenses, and by their own lorry, previously fared, for weighment and delivery. Beforethe Lorries enter the works for weighment, necessary excise formalities would have to be observed by the purchasers.36 The road permit will have to be arranged by the purchaser. The steel company will, however, certify that payments of salestax have been made by the party.37 Materials to be invoiced on the basis of the weight as recorded on Weigh Bridge which should be treated as final.38 Ems stipulations: - successful bidder has to comply with the following two (2) requirements.i) Put up display boards at the site indicating name of the party, nature of work, work order number, date of commencementetc.ii) Cordon the area where the work is in progress.39 Compliance to labour laws:- successful bidders connected with purchase/disposal and removal of old structures,equipment and other materials through secondary products from works premises and other sites, will have to strictly adheredto the relevant statutory provisions under the factories act & rules, contract labour (R&A) act & rules, ESI act & rules, bonusact & rules, pf act & rules and other applicable labour laws during the period of the order. Guidelines regarding the statutoryobligations are available with the contractors` cell, TISCO. Works, which will monitor the timely compliance of all theappropriate statutory matters by the concerned agencies/successful bidders.40 Special Instructions:1. Modvat: - in case of any of the buyers wants to avail the modvat he should furnish the following:a) Name & address of the buyersb) Address of central excise range/division and collectoratec) Xerox copy of central excise registrationd) Xerox copy of sales tax registratione) Permanent income tax or GIR number of the buyers please note: - please note that according to the notification fileno.23.11/94 part iii dated 3.2.2000 issued by ministry of environment & forests, govt. ofIndia, New Delhi, old & used ferrous/non-ferrous metal scrap, lead acid battery scrap, used oil can only be purchased by actualusers enlisted with ministry of environment & forests (MOEF). However, concerns who are actual users can purchase theabove items provided they submit the following documents:i) Valid license to process waste/scrapii) Valid consents under air and water actiii) Valid authorisation under hazardous waste rulesiv) Environment friendly technology for processing scientific disposal facility approved by the state pollution controlboard/central pollution control board.Customers must be extremely careful to avoid any wrong bidding (whether typographical or otherwise). They must checkand rectify their bid (if required) before submitting their bid in the live e-auction floor there is no provision for putting bidsin decimals. The customers shall be solely responsible for all consequences arising out of the bid submitted by him(including any wrongful bid submitted by him) customers must always ensure to keep their e-mail address valid and alive. Each lot put up for auction shall be deemed to be a separate contract of sale.Arbitration Clause: Dispute or differences arising out or relating to this Agreement shall be resolved through amicable mutualdiscussion. Failing such amicable resolution of dispute / differences either of the party may refer the matter to arbitration ofa Sole Arbitrator to be appointed by the Managing Director of mjunction services limited (for issues relating to mjunction) orby TATA STEEL LIMITED, Mann (for issues pertaining to TATA STEEL LIMITED. The award of the Arbitrator shall be final,binding and conclusive on the parties hereto. The venue for arbitration shall be Delhi. The Arbitration proceedings will begoverned and regulated by the provisions of Indian Arbitration and Conciliation Act, 1996 and the rules framed there underfrom time to time.Governing Law: This Agreement is construed and shall be governed in accordance with the laws of India without giving effectto any principle of conflict of law.Jurisdiction: The Court at Kolkata shall have exclusive jurisdiction on any of the terms touching upon any subject matter ofthis agreement.Page 9 of 16

AUCTIONS ON THE “SERVICE PROVIDER” PLATFORMINTRODUCTION:This Online Forward Auction is being conducted forGENERAL RULES AND REGULATION GOVERNING CONDUCT OF ONLINETATA STEEL LIMITED, a company existing within the meaning of Companies Act, 1956 having its registered office at BombayHouse, 24 Homi Modi Street, Mumbai - 400001 (hereinafter referred to as the “Client’’)on the Auction Platform ofMJUNCTION SERVICES LTD, a company incorporated and registered in India and having its registered office at TATA CENTRE 1 STFLOOR,43 J L Nehru Road, Kolkata 700 071 India (hereinafter referred as “Service Provider”).The General Rules and Regulations provided herein govern the conduct of on line Forward Auctions arranged by “ServiceProvider” on its Auction Platform. These rules cover the roles and responsibilities of the Parties in the online Forward Auctionson the Auction Platform. The acceptance, in-toto, to these General Rules and Regulations governing conduct of OnlineAuctions, and Terms and Conditions for sale of Materials belonging to TATA STEEL LIMITED, by Online Auction is a pre–requisite for securing participation of each Customer in the Online Auctions.The key terms pertaining to the online Forward Auctions are provided in the “Annexure-D”. Prospective customers are advisedto read through the same.ROLE OF “SERVICE- PROVIDER”1. “Service Provider’ is the agency (operator) primarily providing the service of the Forward auction to the “Client”.2. Finalisation of the auction items in consultation with the Client.3. Defining of bidding rules for each auction in consultation with the client.4. Enhancing customer awareness of and comfort with the auction mechanism and bidding rules.5. Input of the Auction items and defining the bidding rule in the auction engine.6. Enlarging the customer base by introducing new customers.7. Collection of Earnest Money Deposit (EMD), Letter of Interest etc. from the willing customers and forwarding the same to theClient.8. Providing access to the approved customers to participate in the Auction.9. Summarising the Auction proceedings and communicate the outcome to the Client.The responsibility of fulfillment of the contract rests between the customers and the client and the responsibility of the “ServiceProvider” shall be restricted to the extent of the Services provided by them.Page 10 of 16

ROLE OF CUSTOMERThe role of the Customer is outlined below: The Customer would participate in the auction with the aim of bidding to secure the auctioned item in the Online Auction. The Customer would be provided access to the Online Auction through a “User ID” protected by a “Password”. TheCustomer needs to ensure that the “User ID” and “Password” is not revealed to unauthorized persons. Customers are alsorequested to change the Password allocated to them by the “Service Provider” to keep their confidentiality. However it wouldbe Customer’s sole responsibility to ensure the security and privacy of the same and he/they would not hold the “Client” /“Service Provider” responsible in any manner whatsoever for any misuse of these user IDs and/or Password. The access to theauction mechanism shall be provided to all the approved Customers subsequent to obtaining their written consent to theGeneral Rules & Regulations and the Letter of Interest. The payment of Pre Bid Deposit as decided by the Service Providerbefore the start of the Online Auction will be one of the necessary conditions for participating in the auction. Customers hereby confirm that they shall commit to lift the item (being bid for) at the price entered by them in the auctionengine AND at the terms and conditions specified herein by the Client. All prices entered shall be legally binding on theCustomers. Customers are strongly advised to exercise due diligence while placing bids. Failure to honour the bids placed duringonline bidding shall render the Customers liable for penal action as deemed fit by “Client” / “Service Provider”. In the event of winning an allotment in the auction mechanism, the Customer shall commit to fulfill outlined obligations underthe contract between Winning Customer and Client. The Customers shall bid on the terms & place their bid in the auction engine in the manner specified herein.. The Customersshall not stipulate any conditions on their own unless the terms herein expressly permit such conditions being stipulated by theCustomer. Bids entered with conditions attached shall be considered Conditional bids & “Service Provider” retains the right ofrejecting these bids even without intimating the Client.BIDDING RULESThe Bidding Rules refer to the information and terms defined specifically for a particular auction. The purpose of the Biddingrules is to provide approved customers with the information and terms specific to the auction in which they are bidding. Thiswould include: Definition of the unit bidding. Start Time and duration of the auction. Any extension of the duration of the auction in the event of bids being received towards the end of the pre-specified duration. Start Bid Price. Specified Unit for Bidding. Price Increments and any reduction in the price increment in the auction in the event of inactivity. Other attributes (informational/non-negotiable in nature).While it shall be the endeavor of “Service Provider” to specify these rules at the earliest for each Online Auction. The “ServiceProvider” only in the case of unforeseen contingency beyond its control shall retain the right to delay the announcement of thesebiddings rules or modify rules specified earlier at the time of the online bidding in prior written consent of the Client. Thesedetails would be available to the customers on the Auction Engine at the time of bidding.The participation in the auction process presumes complete awareness and understanding of the bidding rules.CONDUCT OF THE AUCTION:Only those Customers who have been approved by the “Client” and handed over stamped and manually signed “General Rulesand Regulations governing conduct of Online Auction along with Letter of Interest, required EMD amount and other necessarydocuments to the “Service Provider” prior to the start of Online Auction will be given “Login ID” and “PASSWORD” to enable themview and participate in Online Auction. The Online Auction shall be conducted on pre-specified date. The Key Terms pertaining to the conduct of Online Auction such as“START TIME”, “DURATION”, “END TIME” AND “AUTO EXTENSION FACILITY” Shall be specified separately for each Auction.“Service Provider” retains the right to cancel or reschedule the Online Auction, with the prior written approval of the Client, onany of the following reasons: The number of confirmed Customers is deemed insufficient to conduct the Online Auction Some of the confirmed Customers are unable to access the module due to infrastructure problems such as sustained powerfailure or telecommunication breakdown. There are no bids, which are equal to or below Start Bid Price. Any other reason, which in the opinion of “Service Provider” / “Client” requires such action to be initiated.The duration of Online Auction may also vary from the pre-specified period of time either on account of termination of the OnlineAuction by “Service Provider” on the advice of the Client.ORIn case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smooth conduct and / or theintegrity of the auction process.ORdue to Auto Extension during the Auction, duration may increase from specified period.In the event of any problems being faced in the smooth conduct of the Online Auction, “Service Provider” with the approval ofthe Competent Authority of the Client, shall have the right to undertake one or more of the following steps: Cancellation/ premature termination of the Online Auction with/ without a subsequent rerun of the auction on a mutuallydecided date Cancellation of a bid Locking / deactivate a Customer’s account (suspension of operations in the account), etc.In case of failure of net connection, Customer will communicate his best price to the “Service Provider” and “Service Provider”will bid on behalf of the Customer with the minimum increment until the bid price reaches the best price offered by theCustomer, by proxy bidding mechanism.The best price communicated by the Customer will have to be authenticated by written confirmation or fax to the “ServiceProvider” and will be kept confidential between the “Service Provider” and the Customer. Customer will be bound by the priceoffered.LIABILITY OF “SERVICE PROVIDER”“Service Provider” shall not be liable to the Client/ Customers participating in the Online Auction or any other person(s) for: Any breach of contract between winning Customer and Client. Any delays in initiating the online auction or postponement / cancellation of the online auction proceedings due to anyproblem with the hardware / software / infrastructure facilities or any other shortcomings.While, reasonable care and diligence will be taken by “Service Provider” in discharge of its responsibilities such as design of theonline bid, communication of bid details and rules, guidance to client/ customers in accessing the Auction Engine and placingbids, etc. the customers shall specifically indemnify “Service Provider” from all liabilities for any shortcomings on these aspects. Itis clearly understood that these activities are undertaken by “Service Provider” to assist the Customers in participation but theultimate responsibility on all these counts lies totally with the customers.RIGHT OF THE CLIENT:The Client reserves the right to partially or totally accept or reject any / all bids placed in the Online Auction without assigning anyreason whatsoever. DEFINITION OF KEY TERMSAuction.Auction refers to a forum where the requirement for one/more lots of an item is stated and the participants(customers) are required to bid down the price to be selected to supply the requirement.Online Auctions.Online auctions refer to those auctions conducted through the Internet with the customers (from one ormore locations) simultaneously bidding to be selected for supplying the item/s on Auction. In other words,the venue for the auction is on an Internet website/ platform.Services refer to the Online Auctions conducted by the Service Provider through its website as the venue forthe purpose of the Online Auction and also includes the responsibilities narrated under the head “ROLE OFSERVICE PROVIDER” above.Award at the Auction.In a single winner format, only one customer (normally the customer who quotes the highest price) isawarded all the units of the item being auctioned. The customer quoting the highest price is normallyallotted the item.Client.Client is the individual/business entity who has contracted "Service Provider" to conduct such auction. In caseof auction, the purpose would be the genuine intent to sell the selected item/s (Lot) to the customersdesiring to buy these items from the Client.Customer.Customer is the individual/business entity participating in the auction,intending to buy the item(s) from the Client. To be become a Customer in the auction, a business entity hasto secure client approval for participation and also provide written assent to the General Rules andRegulations .Auction Engine.Auction Engine refers to the software that encapsulates the entire auction environment, processing logic andinformation flows. "Service Provider" is the sole owner of the auction engine and retains exclusive right overthe utilisation of the same.Timings of the Online Bid.All the timings of the Online Bid shall be based on the time indicated by the Server hosting the AuctionEngine. It shall be the endeavor of "Service Provider" to ensure that the Server Time reflects as closely aspossible the Indian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the event of any deviations betweenthe Server Time and the Indian Standard Time, the functioning of the Auction Engine (Launch, operation, andclosure) would be guided by the Server Time. Customers are advised to refresh both the windows of theAuction Module check the exact Server Time (displayed in both the windows).Page 14 of 16

Preview Time.Preview Time refers to the period of time that is provided prior to the commencement of bidding. This is tofacilitate approved participants to view the auction details such as item specifications, bidding details andbidding rules. The purpose is also to familiarize participants with the functionality and screens of the auctionmechanism. It is not mandatory for "Service Provider" to provide Preview Time .Start Time.Start time refers to the time of commencement of the conduct of the online auction. It signals thecommencement of the Price Discovery process through competitive bidding.Duration of the Auction.It refers to the length of time the price discovery process is allowed to continue by accepting bids fromcompeting customers. The duration of the auction would normally be for a pre-specified period of time.However, the bidding rules may state the conditions when the pre-specified duration may becurtailed/extended. The conditions include: Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity Time) Automatic extension in the event of bids being entered towards the end of the scheduled duration tofacilitate the other customers to view and react to the bid.Auto Extension of the Auction Timings.In the event of bids in the last few minutes of the scheduled bid time, the Bid Timings are automaticallyextended for a specified period from each such bid. Such Auto Extension shall continue until no bids areplaced for the specified period (Engine remains inactive for the specified period). The Inactivity Time for AutoExtension purpose is normally X minutes. "Service Provider" however retains the right to change the same.The Inactivity Time applicable for the particular Online Bid shall be visible to the customers under the BiddingRules module on the engine.End of the Auction.End of the Auction refers to the termination of the auction proceedings signaling an end to the pricediscovery process.Auction Report."Service Provider" would provide an Auction Report to the Client containing a summary of the auctionproceedings and outcome.
