Date : 04.10.2010Part AA 1.1 Purpose:Consortium of Public Sector Undertakings (<strong>CPSU</strong>s) consisting of Electronics Corporation ofIndia Limited (<strong>ECIL</strong>), Hyderabad, Bharat Electronics Limited (BEL), Bangalore and ITI Limited(ITI), Palakkad is implementing Creation of National Population Register (NPR) in 9 CostalStates, National Capital Territory of Delhi and Union Territory of Puducherry for Office ofRegistrar General India, Ministry of Home Affairs, Govt. of India.As part of creation of electronic database of the people residing in the area ,<strong>CPSU</strong>s are planning toCollect Biometric Data of the people aged 15 years and above. For the purpose ,<strong>CPSU</strong>s propose toprocure the required Finger Print <strong>Scanners</strong> ( 4+4+2, Slap Model) through a competitive biddingprocess.The tender will be processed in TWO BID System (Technical bid and Price bid).A 1.1.1 Scope:The Government of India has initiated the creation of National Population Register (NPR) bycollecting specific information of all usual residents in the country during the House listing andHousing Census phase of Census 2011 during April 2010 to September 2010. The NPR is acomprehensive identity database to be maintained by the Registrar General and CensusCommissioner India, Ministry of Home Affairs, Government of India (RGI). The finger Printcaptured during enrolment of Usual Residents, need to be the best images possible, must besufficient and effective for de-duplication of many -to –many.It is necessary that all the Finger Print <strong>Scanners</strong> should follow Finger Print standards and bestpractices to ensure interoperability of devices and the algorithms to avoid the vendor lock-in, andalso long term storage of the data with technology independence. Towards this goal NPRenrollment will adopt standard formulated by UIDAI. To meet this requirement STQC directorate(wing of DIT), under guidance from Unique Identification Authority of India (UIDAI) is certifyingthe devices to bring uniformity.A 1.2 Invitation:Page 2

II. The bidder, his employees ad agents shall not without prior written consent from the <strong>CPSU</strong>smake any use of any document or information given by user except for purposes of performing thecontract award.III. In case of breach the <strong>CPSU</strong>s shall take such legal action as it may be required.Part B .B.1. Pre-bid Criteria.B 1.1 OEM or OEM’s Authorized Indian Distributor, henceforth referred as “Prime Bidder”:1. The OEM must be a Registered Corporation/ Company /firm and should be operating /having business interest in India. The OEM may or may not be an Indian Company.2. OEM’s Authorized Indian Distributor must be a Registered Company/Firm in India as ondate of submission of the bid.3. In case the prime bidder is not the OEM, then the OEM shall provide a certificate toauthorize the prime bidder to bid on its behalf and in such case the OEM shall takecomplete responsibility to supply all the deliverables, activities, components and theirquality.4. Finger print device make and model should be certified by STQC directorate (wing ofDIT), as per specifications framed by Unique Identification Authority of India (UIDAI).5. <strong>CPSU</strong>s / ORGI will get the random samples drawn from the supplies and tested for thecompliance to the technical specifications of the RFQ. In case, it is found that the suppliesdo not conform to the specifications, the OEM will be Blacklisted.6. The bidder must execute a <strong>No</strong>n-Disclosure agreement on a Rs. 100/- stamp paper withconditions A 1.4 - I and submit the same along with bid. ( As per Format <strong>No</strong>.4 )7. Bidder must submit Earnest Money Deposit ( EMD ) of Rs.1,00,000/- or USD 2000/-along with the bid in the form of Bank Draft from a Nationalized/Scheduled Bank drawn infavour of M/s. Electronics Corporation of India Ltd., payable at Hyderabad.Documentary evidences for the above criteria are required to be submitted along with thebid.Part C .Instructions to Bidders (ITB):C. 1. Cost of Bidding:The bidder shall bear all costs associated with the preparation and submission of its bid and <strong>CPSU</strong>swill in no way be held responsible or liable for these costs.1.1 The cost of the bid document shall be 5,000/- (Rupees Five Thousand only ) or US$ 100/-(US $ Hundred), <strong>No</strong>n refundable, payable by way of a Demand Draft from aNationalized/Scheduled Bank drawn in favour of M/s. <strong>ECIL</strong>, payable at Hyderabad. The DemandDraft has to be enclosed along with the bid documents submitted.C. 2. Contents of Bidding Documents:Page 4


2.1 The bidding document provides overview of the requirements, bidding procedure and contractterms. It includes Introduction, eligibility criteria, Instruction to Bidders (ITB), conditions ofcontract (CC), Technical bid and financial bid.2.2 The contents of this RFQ and supporting documentation are confidential and are providedsolely for the purpose of response to the RFQ and will be governed by the <strong>No</strong>n-DisclosureAgreement.C. 3. Clarifications of Bidding Documents.C 3.1 A prospective bidder requiring any clarification of the bidding documents may notify the<strong>CPSU</strong>s in writing. The <strong>CPSU</strong>s will respond in writing to any request for clarification of thebidding documents, which it receives not later than one day prior to the last date for clarificationfrom <strong>ECIL</strong> to the bidders.C 3.2 Requests for clarification on telephone will not be entertained.C.4. Amendment of Document:C. 4.1 At any time prior to the deadline for submission of bids, the <strong>CPSU</strong>s may for any reason,whether at its own initiative or in response to a clarification requested by a prospective bidder,modify the bidding document by amendment. The amendment, if any, will be uploaded on to theweb.C. 5. Language of Bid:C 5.1 The bid prepared by the bidder, as well as all correspondence relating to the bid shall be inEnglish.C. 6. Document Constituting the Bid:C.6.1 The bid prepared by the Bidder shall comprise the following components:I. Provisional Certificate from STQC for the Finger Print Device Offered.II. Techno-Commercial Bid (Format <strong>No</strong>.1) Technical Bid will comprise of a Bid Form,Technical Issues, Qualification requirements, Service Support Details, Training Support,Financial bid Format with all quantities and line items without the price quoted in thefinancial bid and detailed delivery schedule including technical and commercial compliantstatement. Shortest delivery is the essence of this RFQ.III. Price Bid (Format <strong>No</strong>. 3) Financial bid will comprise Bid Form, Price details and Termsand conditions.IV. EMD in accordance with ITB Clause C.9.V. An undertaking from the bidder that the bidder is complying with all the conditions of thetender and Technical specifications of the Bidding Document. <strong>No</strong> deviation will beaccepted.VI. All information called for as per C.6.1.II (Techno Commercial Bid) and C.6.1.III (PriceBid) should be submitted in 2 separate sealed envelopes, each sealed envelope should alsocontain a soft copy in a CD. Both the 2 sealed envelope should be kept in an outer coverand sealed. The outer cover and the inner envelopes/covers should bear the details of theclause reference, addressee, Tender reference, last date/time for submission and bidder’saddress.Page 5


C.7. Bid Prices:The bidder shall indicate on the price schedule the unit prices and total bid prices in the Price BidFormat of the supplies/services/hardware it proposes to provide under the contract.Basis of Price:- Foreign bidders shall quote on CIP (Carriage & Insurance Paid),Hyderabad/Bangalore/Chennai terms basis. The equipments shall be packed to Cover Airtransit.- The Indian bidders shall quote on the basis of FOR Hyderabad / Bangalore / Palakkad, i.edelivery at stores of respective PSUs.C.8 Bids that do not fully comply with the Tender criteria shall be rejectedC.9. EMD- <strong>No</strong>n – interest bearing:C.10. Period of validity of Bids:C.10.1 Bids shall remain valid for 90 days after the date of Bid opening prescribed by <strong>CPSU</strong>s.<strong>CPSU</strong>s shall reject a Bid as non – responsive if the bid is submitted with shorter validity period.C.11. Format and Signing of Bids:The bid shall be signed by the bidder or a person duly authorized to bind the Bidder to the contract.The authorization shall be indicated by a written power of attorney accompanying the Bid.C.12. Sealing and Marking of Bids:C.12.1 The bids shall be submitted in 2 parts in 2 separate sealed envelopes marking /dates haveto be filled as per part A.1.3 (time schedules for various bid related events.)C.12.2 The envelopes shall be addressed to <strong>ECIL</strong> at the following address.Deputy General Manager (Purchase)M/s Electronics Corporation of India Limited,Components Division (RCD), <strong>ECIL</strong> POST,Hyderabad-500 062 (A.P.),INDIAPhone <strong>No</strong> 91-040-27122569 / 2718 2248E-Mail: cdpurchase@ecil.co.inC.13. Deadline for submission of Bids:The bids must be received by the <strong>CPSU</strong> at the address specified under ITB Clause C.12.2 not laterthan the scheduled time on the last date of receipt of tenders as specified under Clause A 1.3. In theevent of the specified date for the submission of Bids being declared a Holiday for the <strong>CPSU</strong>, thebids will be received up to the specified time on the next working day.Page 6


C.14. Late Bids:Any bid received by the <strong>CPSU</strong> after the deadline for submission of bids prescribed by the <strong>CPSU</strong>will be rejected. It will be the bidder responsibility to ensure that the bids are submitted at thecorrect delivery address and before the bid closing time & date.C.15. Bid opening and evaluation of Bids:Technical Bids will be opened first. Technical evaluation will be carried out by the TechnicalCommittee of consortium of <strong>CPSU</strong>s to assess and finalize the technically acceptable bidders. Theprice bids of only the technically acceptable bidders will be opened. The contract will be awardedto the bidder quoting the lowest quote. Lowest quote would be arrived by summing up all theassociated expenditure forming part of Landing Cost. The contract may be awarded to two bidderin the ratio of 70:30, provided the other bidders in the order of L2, L3, etc match the L1 price.The quantum of distribution of the contract between the 2 bidders will be 70:30, with 70% ofquantity on L1 bidder and 30% on L2/L3/L4 bidder at L1 rates on their acceptance.C.16. Clarification of Bids:During evaluation of bids, the <strong>CPSU</strong>s may, at its discretion, ask the Bidder for a clarification of itsbid. The request for clarification and response shall be in writing.C.17. <strong>CPSU</strong>s reserve the right to accept any bid or reject any or all the bids withoutassigning any reasons.C.17.1The <strong>CPSU</strong>’s reserve the right to verify the validity of the bid information, and to reject any bidwhere the contents appear to be incorrect, inaccurate or inappropriate in the <strong>CPSU</strong>’s estimation.C.17.2The <strong>CPSU</strong>’s shall have the right to change the bid quantity by +/- 10%C.17.3The <strong>CPSU</strong>’s shall have the right to cancel the RFQ process at any time prior to award of contractwithout assigning any reasons to bidders.C.18. Intimation of Award of Contract:C.18.1Prior to expiry of the period of bid validity, the processing <strong>CPSU</strong> will notify the successfulbidder/bidders in writing by registered letter / or by fax, to be confirmed in writing that its bid hasbeen accepted.Part-D.D.1. Conduction of Contract:Supply of <strong>Fingerprint</strong> <strong>Scanners</strong> as per the specification and Terms & Conditions of order.D.2. Standards:Page 7


The supplies offered in this contract shall conform to the standards mentioned in the Technicalspecifications.D.3. Performance Security:The supplier / vendor shall furnish Performance Guarantee to the ordering <strong>CPSU</strong>s for an amountof 10% of the contract value valid for Contract period of 12 Months from the delivery of the lastconsignment.D.4. Inspection & Tests :The bidder shall provide a sample Device for Technical evaluation. The sample shall be sentthrough in person or courier service to the attention of address given well in time.Bids of all accepted vendors will be subjected to technical evaluation based on the informationprovided in Techno-commercial bid and specifications compliance and deviation. Technicalliterature, specifications and other related data submitted along with part–I bid and the sampledevice along with necessary software. Vendor shall clarify all technical related issues arisingduring the technical evaluation and also to attend technical discussions either at <strong>ECIL</strong>,Hyderabad / BEL Bangalore and arrange demonstrations of the product. <strong>ECIL</strong> reserves the rightto reject technical bid, found not suitable, without assigning any reasons.The inspection of the supplies shall be carried out whether the supplies are in conformity with theTechnical specifications attached to the contract & are in line with the Inspection laid down in theTechnical specification and condition of the contract.D.5. Acceptance of the supplies will be based on the following criteria and to the <strong>CPSU</strong>ssatisfaction:a) Successful test of all required specifications and functions.b) Successful demonstration that the vendor’s facilities and system performance is as required andproposedc) Successful completion of all required training and Delivery of the complete documentation setto the <strong>CPSU</strong>s.Validity of Bids: The bids shall be kept valid for acceptance with respect to all terms for a periodof 90 days from the date of opening tenders.Basis of Price: Foreign bidders shall quote on CIP (Carriage & Insurance Paid), Hyderabad/Bangalore/ Chennai terms basis. The equipments shall be packed to cover Air transit. The Indianbidders shall quote on the basis of FOR Hyderabad / Bangalore / Palakkad ie delivery at respectivestores. The price quoted shall invariably include cost of all the necessary consumables and/oraccessories such as cleaning solutions, membranes etc., recommended to be used for functioningof the devices.Bid currency: Bid currency shall be indicated clearly. <strong>CPSU</strong>s prefer to have bid currency eitherin USD or EURO for foreign bidders.Page 8


Availing of CENVAT /VAT Credit: <strong>CPSU</strong>s would prefer to avail Cenvat credit on theprocurement of Finger Print <strong>Scanners</strong>, accordingly Indian bidders are required to propose the modeof executing the sale transaction.D.6 Terms of Payment:a) 90% Payment will be made through 90 days usance Letter of Credit for Foreign suppliers andwithin 90 days of acceptance of the materials for Indian suppliers.b) 10% after completion of warranty period or against submission of performance BankGuarantee from an Indian Bank for a value of 10% of purchase order to be furnished byseller or their authorized agents covering period of warranty.Any nationalized Indian Bank must confirm the BGs provided by Foreign Banks.Duties & Taxes: Duty, Sales taxes and other taxes are as applicable for indigenous suppliersprovided the present Tax rates are mentioned in price bid.D.7 Warranty: Tenderer or their authorized agent in India shall provide 12 months warranty fromthe date of receipt of material at <strong>CPSU</strong>s stores.D.8 Service Support: In case of foreign supplier, <strong>CPSU</strong>s prefers a supplier having provencustomer service facility in India either directly or through their agent. Manufacturer ortheir agent must assure service / technical support for a minimum period of five years. The servicecall must be attended with in 24 hours and down time shall not be more than 48 hours.D.9 Training: Seller shall train <strong>CPSU</strong>s engineers, at free of cost, with respect to Integration withapplication software, operations , maintenance at the time of supply.D.10 Manuals: The manufacturer shall provide five sets of hard copies and Three sets of softcopies of the following in English to each member of <strong>CPSU</strong>s:a) Operational/ User manuals.b) Detailed circuit diagrams, engineering drawings.c) Inspection and maintenance manuals.D.11 Delivery and L.D: Delivery schedule is the essence of the contract; Hence shortestdelivery schedule (less than or equal to 3 weeks) may be indicated. In the event of any delay in theagreed delivery schedule, liquidated damages will be recovered @ 2% per week of delay or partthereof subject to a maximum of 10% of the value of the order.D.12 Resolution of Disputes / Arbitration: All disputes and differences arising in connectionwith this contract shall be referred to the arbitration authority under provision of the Arbitrationand conciliation Act, 1966 and proceedings shall be held at respective <strong>CPSU</strong>s locations.<strong>CPSU</strong>s reserve the right to modify / alter the specifications duly notifying to all bidders before orduring technical evaluation or tender processing stage. Also <strong>CPSU</strong>s reserve the right to accept orreject any or all bids without assigning any reasons. Bids may be accepted or rejected in total or inany part thereof. <strong>CPSU</strong>s reserve the right to cancel RFQ process at any time prior to award ofcontract and Re-float the tender process without assigning reasons.Page 9


D.13 Termination for Default:The <strong>CPSU</strong>s may, without prejudice to any other remedy for breach of contract by return notice ofDefault sent to the supplier, terminate the contract in whole or part.Special Conditions:a) <strong>CPSU</strong>s reserve right to increase or decrease or modify the indented quantity while entering intocontract to suit the actual requirements of the project to a tune of 10%.b) On behalf of consortium, <strong>ECIL</strong> will select the successful bidder and finalise the technical andcommercial terms. Based on LOI issued by <strong>ECIL</strong>, other members of the consortium will placeorders on the supplier. Thereon further business transactions will be carried out by the supplierwith respective <strong>CPSU</strong>s as per the terms and conditions of the agreement.c) Purchase Orders will be issued by respective <strong>CPSU</strong>s based on LOI issued by <strong>ECIL</strong>.E. Technical Specifications:The <strong>Fingerprint</strong> <strong>Scanners</strong> to be supplied by supplier to <strong>CPSU</strong>s should comply with the followingspecifications:Technical Specification for Slap <strong>Fingerprint</strong> ScannerE1. Scope:The Indian Government proposes to use fingerprint identification and authentication for Creationof National Population Register (NPR). Biometric data includes fingerprint image, face image andiris data. While enrollment, all ten-fingerprint images will be captured and stored in database. Forthe purpose of acquisition of fingerprint image data at the time of enrolment, verification oridentification, the fingerprint scanner devices need to be used. There is a need to standardizedevice specifications to ensure interoperability of fingerprint images of the same person taken atdifferent stages. Device specification covers scan resolution, pixel depth and dynamic range. Thebiometric samples captured during enrolment need to be the best finger images possible.It is necessary that these vendors should follow fingerprint standards and best practices to ensureinteroperability of devices and the algorithms to avoid the vendor lock-in, and also long termstorage of the data with technology independence. Towards this goal NPR enrollment will adopt“<strong>Fingerprint</strong> image and Minutiae data standard for e-Governance application in India” formulatedby Department of Information Technology, Ministry of Communications and InformationTechnology (DIT), GOI. This would be on the basis of ISO 19794-4:2005(E) as <strong>Fingerprint</strong> Imagestandard, and ISO 19794-2:2005(E) as Minutiae data format standard. This particular <strong>Fingerprint</strong>image data standard has been tailored from the ISO 19794-4:2005(E) standard to meet specificneeds of e-Governance applications in Indian context.Biometric Standards formulated by the Expert committee under DIT would be applicable for alle-Governance applications of India and the principles for standards formulation would begoverned by the Government’s Policy on Open Standards. The <strong>Fingerprint</strong> image standardspecifies fingerprint image specifications in different stages like acquisition for enrolment /verification / identification, storage and transmission. It includes minutiae template specificationsPage 10


and best practices for implementation of the standard specifications in different categories of e-Governance applications based upon the volume of data, and verification/ accuracy requirements.To meet this requirement STQC directorate (wing of DIT), under guidance from UniqueIdentification Authority of India (UIDAI) is certifying the devices to bring uniformity. As perUIDAI the raw fingerprint data-3 Images: (4 left fingers, 4 right fingers, 2 thumbprints) shall betaken during enrollment.E2 <strong>Fingerprint</strong> Image Quality SpecificationsCaptured images must be checked for image quality. While many proprietary algorithms claimsuperior image quality indicators, NIST <strong>Fingerprint</strong> Image Quality (NFIQ) is publicly availableand has been widely used. Images captured with NFIQ value of 1, 2 and 3 qualify for acceptablequality. NFIQ level 4 or 5 are poor quality images for minutiae data creation and are discouragedfrom use for enrolment / Verification/Identification purposes. However, if it is not possible toobtain desired quality images even after 5 attempts, best out of these attempts may be accepted forstorage / matching.For best practices for enrolment/identification at image acquisition setting level 31 and 41, EFTS/FCertification of the device will be used.2. company, corporation, a partnership, trust or any other entity or organization or otherbody whatsoever.(2) All tangible and intangible information obtained, developed or disclosed including alldocuments, data, papers, statements, any business/customer information, trade secrets andprocess of the Disclosing Party relating to its business practices in connection with theprovision of services by the Disclosing Party, trade and business of the Disclosing Party, orotherwise, is deemed by the Disclosing Party and shall be considered to be confidential andproprietary information (hereinafter referred to as “Confidential Information”) and shall betreated as absolute secret and confidential information by Receiving Party, who agrees andundertakes not to disclose to any person such information otherwise than in terms of thisAgreement. Both parties hereby further agree that all the papers, writings, presentations,correspondence and drafts of documents made available to them prior to the execution of thisAgreement shall be deemed to be Confidential Information.Both Parties further agree that during the course of discussions referred to hereinabove, andsubsequently for a period of 5 (five) years from the date hereof, the Receiving Party shall not,either directly or indirectly disclose any Confidential Information to anybody whatsoeverwithout prior written permission in this regard from Disclosing Party.(3) The Confidential Information shall be used by the Receiving Party, directly or indirectly, solelyfor the purpose for which the deal is made and for no other purpose. The ConfidentialInformation will not be used by the Receiving Party in any way detrimental to the DisclosingParty.(4) Without limiting the above, both the Parties undertake:A) not to disclose the Confidential Information that is or has been or will be madeavailable or that inspection of the Confidential Information is being or has been or willbe made;B) not to make copies of, or reproduce in any form and by any process, all or any of theConfidential Information, except in the form of notes or memoranda made by theReceiving Party’s employees or their Affiliate’s employees during their evaluation ofthe Confidential Information;C) to limit the access to the Confidential Information solely to those of its directors,officials or employees or its affiliate’s directors, officials or employees who havereason to require access pursuant to Clause 3 above;D) to ensure that each of such director, official or employee referred to in Clause 4 (iii) towhom the Confidential Information is disclosed, observes strictly the restrictions as touse and disclosure contained herein;E) to return all Confidential Information to the Disclosing Party forthwith upon request bythe Disclosing Party or upon conclusion of the discussions with the Disclosing Party,whichever is later. Should the Disclosing Party permit the destruction of suchConfidential Information, the Receiving Party shall destroy the ConfidentialInformation and shall provide the Disclosing Party with written notice that suchdestruction has been carried out.(5) The restriction on use and disclosure set out above shall not apply to any ConfidentialInformation which is required to be disclosed by way of an action or order of a court ofcompetent jurisdiction or of any requirement of legal process regulation or governmental order,decree, regulation or rule; or when the Disclosing Party agrees that it can be disclosed; orbecomes available in writing to the Company from sources which to the Receiving Party’sknowledge are under no obligation of confidentiality to Disclosing Party.Page 18


(6) The parties agree that damages may not be an adequate remedy for any breach of thisAgreement by Recipients and that Discloser, as the case may be, shall be entitled to obtain anylegal and / or equitable relief including, without limitation, an injunction, in the event of anybreach of this Agreement. <strong>No</strong>twithstanding anything to the contrary, the liability of each Partyshall be limited to general, direct damages and shall not extend to indirect or remote damages ofany type whatsoever, including loss of profits.(7) In the event of Receiving Party is required to disclose Confidential Information in thecircumstances outlined in Clause 5 above, the Receiving Party will notify the Disclosing Partyas soon as possible of its having received a request to so disclose, unless otherwise prohibitedby law.(8) This agreement shall be binding upon and shall inure for the benefit of the successors andassign of the Parties hereto.(9) This Agreement represents the entirety of the agreement of the Parties relating to the disclosureof the Confidential Information and shall not be waived, amended or assigned by either Partyexcept by written consent of the other Party. This Agreement may be executed in counterparts,each of which shall be deemed an original, but all of which taken together shall constitute oneand the same agreement.(10) This Agreement, the relationship between the Parties and all rights and obligations arising fromany act done or required to be done under this Agreement and the terms herein shall begoverned by and construed in accordance with the laws in India and the Courts in ……………shall be the exclusive jurisdiction.(11) In the event of any dispute or difference between Parties to this agreement in respect of orconcerning or connected with the interpretation or implementation of this Agreement or arisingout of this Agreement, such dispute or difference shall be referred to arbitration by 3(Three) arbitrators, 1 (One) arbitrator to be appointed by each of the disputing Parties; and thethird arbitrator to be appointed by the two arbitrators so appointed, in accordance with theIndian Arbitration and Conciliation Act, 1996, or any modification or amendment thereof. Thearbitration shall be held at Palakkad and the arbitration proceedings shall be conducted inEnglish.
