The Clientshall advise the Consultants in writing of relevant local customs and theConsultants shall, after such notifications, respect such customs.3.2 Conflict of Interests3.2.1 Consultants Not to Benefit from Commissions, Discounts, etc.The Remuneration of the Consultants pursuant to Clause GC 6 hereof shallconstitute the Consultants' sole remuneration in connection with this Contract orthe Services and, subject to Clause GC 3.2.2 hereof, the Consultants shall notaccept for their own benefit any trade commission, discount or similarpayment in connection with activities pursuant to this Contract or to theServices or in the discharge of their obligations hereunder, and the Consultantsshall use their best efforts to ensure that any Sub- consultants and or Associates,as well as the Personnel and agents of either of them, similarly shall not receiveany such additional remuneration.3.2.2 If the Consultants, as part of the Services, have the responsibility of advising theClient on the procurement of goods, works or services, the Consultants shallcomply with any applicable procurement guidelines of the Client(MPRDC)and or Associates Bank or of the Association, as the case may be, andother funding agencies and shall at all times exercise such responsibility in thebest interest of the Client. Any discounts or commissions obtained by theConsultants in the exercise of such procurement responsibility shall be for theaccount of the Client.3.2.3 Consultants and Affiliates Not to engage in Certain ActivitiesThe Consultants agree that, during the term of this Contract and after itstermination, the Consultants and any entity affiliated with the Consultants, aswell as any Sub- consultant and or Associates and any entity affiliated with such80
