Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/1704INSTRUCTION TO BIDDERS (ITB)1.0 GENERAL1.1 Introduction:1.1.1 M/s. <strong>National</strong> <strong>Aluminium</strong> <strong>Company</strong> <strong>Ltd</strong>. have proposed to raise the existing Ashpond at its Alumina Refinery at Damanjodi from 920 M RL to 930 M RL.1.1.2 M/s. <strong>National</strong> <strong>Aluminium</strong> <strong>Company</strong> <strong>Ltd</strong>. (NALCO) hereinafter referred to as“Owner”.1.1.3 It shall be the bidder’s responsibility to have thorough understanding of thereference documents, site condition and specifications included in the BiddingDocument.1.2 Definitions:With respect to this document, the following definitions shall apply:i) “Instructions to Bidders” (ITB) shall mean the documents describing inwhich manner the bidder shall prepare and submit the bid.ii) “Letter Inviting Bid “(LIB)/ “Notice Inviting Tender”(NIT) shall mean theOwner’s request to Bidder for a Bid/ Tender together with the BiddingDocument.iii) “Tender” or Bid shall mean Bidder’s offer to perform the work, iniv)accordance with bidding Document.“Tender Document” or “Bidding Document” shall mean the documentslisted herein, and any subsequent addenda.v) “Bidder” or “Tenderer” shall mean the person or company whodownloads/ purchase the Tender Document or Bidding Document andsubmits his Tender or Bid to Owner.2.0. Bidding Document, Clarification and Amendment.2.1 Bidding Document:2.1.1 The Bidding Document shall consist of the following and should be read inconjunction with any amendment issued subsequently.i) Notice Inviting Tender.ii) Instructions to Bidders and its attachments.iii) General Conditions of Contract (GCC) and its amendments.iv) Special Conditions of Contract (SCC).v) Technical Specifications/ Standards.vi) Preamble to Bill of Quantities (BOQ) & Schedule of Rates (SOR) in threeschedules (Schedule-A, Schedule-B & Schedule-C)vii) Drawings (8 Nos.).2.1.2 The Bidder is expected to examine the Bidding Document, including allinstructions, terms, specifications and drawings in the Bidding Document. Failureto furnish all information required as per the bidding Document or submission of a


Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/1704bid not substantially responsive to the Bidding Document in every respect couldresult in rejection of the Bid.2.1.3 Bidding documents are exclusive documents of ‘OWNER’ and once purchased/downloaded are non-transferable and shall at all times remain the exclusiveproperty of ‘OWNER’ with a license to the intending Bidder to use the BiddingDocuments for the limited purpose of submitting the bid.2.1.4 The tender document downloaded in totality must be bound together suitably andsigned and stamped on all pages and marked ‘ORIGINAL’ in token of hisacceptance of all conditions/ stipulations mentioned there in. Bidder shall submitthe ORIGINAL along-with his bid including the drawing(s), (if any) and he mayretain a copy for his reference. Bidder shall fill up the rates/ amount in the pricepart of the bid hard copy issued with Bidding Document and submit the same insealed envelop as described elsewhere in this Instructions to Bidders.2.1.5 The complete tender document is being hosted on website. The intendingbidders are required to download the same from the website and submit thecomplete bid document and is required to furnish a certificate to that effect asper Annexure – F-7. Bids shall be liable for rejection in case of any omission/correction/ deletion/ addition to the original tender document. Owner shall notbe liable for any such discrepancy.2.2 Clarification Requests by Bidder:2.2.1 Although the details presented in this bidding document consisting of General/Special Conditions of Contract, Scope of Work, Technical Specifications andDrawings have been compiled with all reasonable care, it is the Bidder’sresponsibility to ensure that the information provided is adequate and clearlyunderstood.2.2.2 Bidder shall examine the Bidding document thoroughly in all respect and if anyconflict, discrepancy, error or omission is observed, Bidder may request forclarification as per format in Annexure F-8 within the cut off date specified in theLIB/ NIT or up to ten days prior the due date of submission of bid. Suchclarification requests shall be directed to the Owner.2.2.3 Any failure by Bidder to comply with the aforesaid requirement shall not excusethe Bidder, after subsequent award of contract, from performing the work inaccordance with the agreement.2.2.4 Response to queries/ clarifications raised will be sent as expeditiously as possibleto those who raise such queries. The response shall not form part of BiddingDocument unless issued as an Amendment/ Addendum.2.2.5 Bidders are expected to resolve all their clarifications/ queries to the BiddingDocument and submit their bid in total compliance to Bidding Document withoutdeviation/ stipulation/ clarification.

Any amendment thus issuedshall become part of Bidding document and Bidder shall submit ‘original’amendment duly signed and stamped in token of his acceptance.2.3.2 For amendment issued during the bidding period, Bidder shall consider the impactin his bid. For amendment issued subsequent to receiving the bids, Bidder shallfollow the instructions issued along with amendment with regard to submission ofimpact on quoted price/ revised price, if any.2.4 Confidentiality of Document:2.4.1 Bidder shall treat the Bidding document and contents thereof as confidential andshould not use for any other purpose except for participation in the bid.2.5 Acknowledgement & Confirmation to Bid:2.5.1. Intending bidder, who have downloaded the BID document shall acknowledge thesame and confirm his intention to bid for the tendered work as perAcknowledgement Cum-Consent Letter proforma enclosed as Annexure- F-7.3.0 SPLIT UP OF WORKS3.1 Owner reserves the right to split the work in two or more parts at its discretion andaward the works to one or more bidders if considered expedient.4.0 PREPARATION OF BIDS4.1 Site Visit:4.1.1 Bidder is advised to visit and examine the site and its surrounding and shallfamiliarize himself of the existing facilities and environment, and shall collect allother information which he may require for preparing and submitting the bid andentering into the contract. Claims and objections due to ignorance of existingconditions or inadequacy of information will not be considered after submissionof the bid and during implementation.4.1.2 The bidder and any of his personnel or agents will be granted permission by theOwner to enter upon his premises and lands for the purpose of such inspection,but only upon the explicit condition that the bidder, his personnel or agents willrelease and indemnify the Owner and his personnel and agents from and againstall liability in respect thereof and will be responsible for personnel injury (whetherfatal or otherwise), loss or damage and expenses incurred as a result hereof.4.2. The Bidder shall not be entitled during the saidperiod to revoke or cancel his bid or to vary the bid except and to the extentrequired by Owner in writing. In case of Bidder revoking or canceling his bid orvarying any term in regard thereof, the OWNER shall forfeit the earnest moneypaid by him along-with bid. Bid shall be revalidated for extended period asrequired by Owner/ in writing. However, in case Bidders wish to stipulate any deviations tobidding requirements other than those mentioned above, they shall indicate thesame as per the format for exceptions/ deviations enclosed to ITB.Bidder shall note that clarifications/ queries/ deviations mentioned elsewhere inthe offer shall not be given any cognizance.4.10 Bidder is advised that OWNER intend to fully evaluate the technical and unpricedcommercial submissions.It is important that Bidder clearly demonstrates his experience and capability,giving to OWNER a high level of confidence that if awarded, the Bidder will beable to perform the works within the stipulated Time Schedule and quoted priceand meeting all other requirements listed in the Bidding document.Bidder is requested to furnish the complete and correct information required forevaluation of his bid. If the information with regard to resources and concurrentcommitment or any other information/ documentation forming basis of evaluationis found incomplete/ incorrect, the same may be considered as adequate groundfor rejection of the bid.5.0 SUBMISSION OF BID:5.1 As the tender is hosted on website, the intending bidder is free to download thesame from the website. However, the bidder must submit the tender by filling upof all relevant information as required by typing or printing with indelible blackink on white paper in consecutively numbered pages and be in solid binding andeach page signed along with duly filled in enclosed formats attached to thisTender document.5.2 The tenderers are advised to submit the tender based strictly on the Terms andConditions and Specifications contained in the tender documents includingamendments, if any, issued prior to submission of offer. Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/1704d) Bidder to satisfy possession of adequate plant, machinery, equipments,infrastructure and Laboratory instruments etc. as required for the proper andtimely execution of the proposed work.(Suggested Plant & machnaries etcenclosed in SCC/ Tech Spec)e) Bidder to satisfy having sufficient number of experienced & qualifiedTechnical, Administrative and laboratory personnel for due execution of thework.f) The bidders should have the required resources for supervision & qualityassurance measures for similar jobs with emphasis on proper documentationand certification by a third party.7.0 BID OPENING AND EVALUATION:7.1 Opening Part-I of bid:On the date and time mentioned in ‘Notice Inviting Tender,’ Part-I i.e. Pre-Qualification part along with Earnest Money Deposit & Techno commercial partwill be opened in the office of owner, at the address given at para 5.5.1 above.Bidder shall depute his authorised representative to attend the opening of such bid.Bidder’s representative, who is present during bid opening, shall sign the ‘Bidopening statement’ evidencing his attendance.In the event the specified date of bid opening being declared a holiday for owner,the bid shall be opened at the appointed time and location on the next workingday.7.2 Clarification & Additional Information.During evaluation of Part-I bid, Owner, may request Bidder for any clarificationon the bid, additional or outstanding documents. Bidder shall submit all additionaldocuments in one original and 2 copies.7.3 Techno-Commercial Discussion:Techno commercial discussion with Bidder shall be arranged, if needed. Biddershall depute his authorised representative (s) for attending such discussions. Therepresentative (s) attending the discussions shall produce authorization from hisorganisation to attend the discussions and sign the minutes of meeting on behalf ofhis organisation. The authorised representatives must be competent andempowered to settle all technical and commercial issues with the exception ofPrice implication, wherever applicable.7.4 Bid Evaluation Criteria7.4.1 Bid is the responsibility of Bidder and no relief or consideration can be given forerrors and omissions made by the Bidder inadvertently or advertently for what soever reason. Bid with incomplete information is liable for rejection.7.4.2 Non-submission of details/ documents as per para 5.3 above may lead to rejectionof bid.

The bidder not meeting the PQrequirement shall summarily be rejected.7.4.4 Proposed deployment of resources like manpower and equipments, tools & tacklesshall be looked into to ensure performance of work within stipulated time period.7.4.5 The concurrent commitments of Bidder on various jobs under execution by thebidder will be taken into account to assess the spare capacity available with thebidder.7.4.6 Performance of Bidder on works executed/ under execution shall also be takeninto consideration before selecting the Bidder for opening of his TechnoCommercial bid.7.4.7 In the techno commercial evaluation, only the techno commercial conditions (ifany) spelt out by the bidder for the subject tender will be evaluated.7.5 Opening of Price Bid.Price Bids of only those bidders, whose bids are considered techno-commerciallyacceptable and meeting the PQ criteria, shall only be opened. During price bidopening, only total price and rebate, if any shall be read out. Authorizedrepresentative of successful bidders may participate in BID opening.7.6 Evaluation of Price Bid:7.6.1 The price quoted by the bidder shall be checked for arithmetic correction, if any,based on rate and amount filled by the Bidder in the standard SOR format in threeschedules A,B & C. If some discrepancies and found between the rate/ amountgiven in works and figures, the total amount shall be corrected as per thefollowing procedure, which shall be binding upon the Bidder:(a)(b)(c)When there is a difference between the rate in figures and works, the ratein words shall be taken as correct irrespective of amount indicated.When the rate quoted by the Bidder in figures and words tallies but theamount is incorrect, the rate quoted by the Bidder shall be taken as correctand not the amount.When it is not possible to ascertain the correct rate, in the mannerprescribed above the rate as quoted in works shall be adopted.7.6.2 In case a Bidder does not quote for the various items of SOR, and the estimatedprice impact of unquoted items is more than 10% of his quoted price, the bid shallbe declared as incomplete and will be rejected. If such price impact of unquoteditems is 10% or less of his total quoted price and under special circumstances,Owner may decide to consider the bid, then for the purpose of comparison, theunquoted item shall be loaded by price impact calculated on the basis of highest ofthe rates quoted by other bidders. If such Bidder happens to the selected Bidder,price of unquoted items shall be negotiated before award of work.


Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/17047.6.3 In case, it is noticed that the total amount or individual rates quoted by the bidderfor any item(s) is unusually high or unusually low, it will be sufficient cause forrejection of his bid unless the Owner is convinced about the reasonability afterscrutiny of the analysis for rates to be furnished by the bidder (on demand).7.6.4 The unit rates quoted shall remain FIRM for variation in completed value of thecontract including the cost of additional / altered / new items of work to anyextent.7.7 Process to be confidentialInformation related to the examination, clarification, evaluation and comparisonof bids and recommendations for award of contract shall not be disclosed toBidder or other person not officially concerned with such process. Any effort byBidder to influence the Owner’s processing of bidding or award decisions mayresult in rejection f such Bidder’s bid.7.8 Owner’s Right to accept or Reject a Bid.Owner reserves the right to accept a bid other than the lowest and to accept orreject any bid in whole or part, to annul the bidding process or to reject all bidswith or without notice or reasons. Such decisions by Owner shall bear no liabilitywhatsoever consequent upon such decisions.7.9 Purchase preference to PSU’s:OWNER reserve the right to allow purchase preference to the Public SectorEnterprises/ Undertakings as admissible under the existing Government of IndiaPolicy.8.0 NEGOTIATIONS AND AWARD OF WORK:8.1 NegotiationBidders are requested to quote their best prices considering the fact that pricenegotiation, if required, may be held only with the lowest bidder. Bidder shallattend such negotiation meetings and if requested by the Owner shall provide theanalysis of rates /break up of amount quoted by him for any or all items of Bill ofQuantities to demonstrate the reasonability. As a result of negotiation, Bidder mayoffer rebate on his earlier quoted price. However, no uncalled for or voluntaryrebate offered shall be considered for evaluation.8.2 Award of WorkThe successful Bidder shall be issued Fax of Intent (FOI) prior to expiry of Bidvalidity. Bidder shall confirm acceptance by returning a signed copy of the FOI.OWNER shall not be obliged to furnish any information/ clarification/ explanationto the unsuccessful bidders as regards non-acceptance of their bids. Except forrefund of EMD to unsuccessful bidders, Owner shall correspond only with thesuccessful bidder (s).


Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/17049.0 SCOPE OF WORKi) The work shall be carried out on item rate basis for which Schedule of Quantitieshave been furnished for different items of work as defined in the Scope of work,Technical Specification Drawings, General Conditions & Special Conditions ofContract.ii) The tender not covering the total scope of work and services as detailed out in theenclosed tender document are liable for rejection.9.1 The bidder shall carefully check the enclosed Technical Specifications and shallsatisfy himself as to the suitability of the work as given in the TechnicalSpecifications and shall take full responsibility for the completion of work as perdefined scope.10. LANGUAGE: The tender shall be submitted in English language only.11. EARNEST MONEY DEPOSIT:Bidder shall submit Earnest Money in the form as specified in GCC. However, incase of submission in Bank Guarantee, the proforma attached herewith may beused. The BGs may be from any of the Bank as per list furnished. Only originalcopy of Bank Guarantee will be accepted, photocopy will not be accepted.Earnest Money shall be returned to the unsuccessful Tenderers at the earliest afterfinalisation of the contract. Earnest Money of the successful tenderer shall bereturned only after the tenderer furnishes the Initial Security Deposit and ContractAgreement is signed.The Earnest Money Deposit in the form of Bank Guarantees shall be kept validinitially for a period of 6 months from the date of opening of the tender.No interest shall be paid on Earnest Money Deposit. The offer without EarnestMoney or with short Earnest Money or Earnest Money deposit in the form otherthan specified herein above shall be liable for rejection.The Earnest Money shall be forfeited if:a) The tender is revoked during its validity period.b) The prices are increased unilaterally after the tender opening and duringvalidity of offer by the tenderer,c) The owner accepts the tenderer’s bid proposal and the tenderer refuse to enterinto contract after the contract is awarded to him,d) The tenderer fails to submit Bank Guarantee towards Initial Security Depositwithin the period specified as per NIT.


Tender for Expansion of Ash Pond atNALCO’s Alumina Refinery atTENDER DamanjodiNO: NBC/P&T/11/040/170412 NO CLAIM OR COMPENSATION FOR SUBMISSION OF TENDER:The Bidder whose tender is not accepted shall not be entitled to claim any costs,charges and expenses incidental to or incurred by him through or in connectionwith his submission of tender or its consideration by the Purchaser, even thoughthe Purchaser may elect to modify/withdraw the Invitation to Tender or does notaccept the tender.13 OST/CST REGISTRATION CERTIFICATE:The Bidder shall furnish copies of Orissa Sales Tax (OST)/ Central Sales Tax(CST) registration with Govt authorities.14 SIGNING OF CONTRACTS:The enclosed General Conditions of the Contract AND ALL OTHERENCLOSED Contract stipulations shall form the basis of the final Contract/ Letterof Acceptance. The tenderer shall carefully go through all the stipulations given inthe said documents.On the Tender being accepted by the owner, Contract will be signed and executedby and between the owner and the Successful Tenderer at the earliest to benotified by the owner in due course in accordance with the ‘Form of Contract’(Annexed to GCC).
