The resources necessary for the constitution <strong>of</strong> YAC YRETA's capitalshall be provided by A and E and by ANDE.2. Either <strong>of</strong> the High Contracting Parties may, with the consent <strong>of</strong> the other, advancefunds to constitute the capital, on terms to be established by common agreement.Article IX. The resources which, in addition to those mentioned in the precedingarticle, are necessary for the studies, construction and oper<strong>at</strong>ion <strong>of</strong> the power st<strong>at</strong>ion and<strong>of</strong> the auxiliary works and install<strong>at</strong>ions, and <strong>of</strong> the works carried out to improve thenavigability <strong>of</strong> the River Parana, shall be provided by the High Contracting Parties orobtained by YACYRETA through credit oper<strong>at</strong>ions.Article X. The High Contracting Parties, jointly or separ<strong>at</strong>ely, directly or indirectly,and in such a manner as they may agree upon, shall give to YACYRETA, <strong>at</strong> its request,a guarantee for any credit oper<strong>at</strong>ions th<strong>at</strong> it may carry out. Similarly, they shall guaranteethe exchange transactions necessary for the payment <strong>of</strong> the oblig<strong>at</strong>ions assumed byYACYRETA.Article XI. 1. In so far as possible and under comparable conditions, the pr<strong>of</strong>essionalservices, skilled and unskilled manpower, equipment, m<strong>at</strong>erials and resources availablein the two countries shall be utilized in an equitable manner.2. The High Contracting Parties shall adopt all the necessary measures to enabletheir n<strong>at</strong>ionals to work, without distinction, on the projects mentioned above, in the territory<strong>of</strong> either Party.3. The provisions <strong>of</strong> this article shall not apply to the conditions agreed upon withfinancing institutions concerning the engagement <strong>of</strong> skilled personnel or the purchase <strong>of</strong>equipment or m<strong>at</strong>erials. The provisions <strong>of</strong> this article shall also be inapplicable if technological conditions so require.Article XII. The High Contracting Parties shall adopt, with respect to tax<strong>at</strong>ion, thefollowing rules:(a) They shall not impose taxes, charges or fees <strong>of</strong> any kind on YACYRETA and theelectricity services provided by it;(b) They shall not impose taxes, charges or fees <strong>of</strong> any kind on the m<strong>at</strong>erials and equipment th<strong>at</strong> YACYRETA may purchase in either country or import from a third countryfor utiliz<strong>at</strong>ion in its works or install<strong>at</strong>ions. Similarly, they shall not impose taxes, charges<strong>of</strong> fees <strong>of</strong> any kind affecting oper<strong>at</strong>ions which are rel<strong>at</strong>ed to such m<strong>at</strong>erials and equipment in which YACYRETA particip<strong>at</strong>es;(c) They shall not impose taxes, charges or fees <strong>of</strong> any kind on YAC YRETA's pr<strong>of</strong>its andon its payments and remittances to any individual or corpor<strong>at</strong>e body, provided th<strong>at</strong>payment <strong>of</strong> such taxes, charges and fees is the legal responsibility <strong>of</strong> YACYRETA;(d) They shall impose no restriction or tax<strong>at</strong>ion on any movement <strong>of</strong> YACYRETA's fundsresulting from the implement<strong>at</strong>ion <strong>of</strong> this <strong>Tre<strong>at</strong>y</strong>;(e) They shall impose no restrictions <strong>of</strong> any kind on the transit or storage <strong>of</strong> the m<strong>at</strong>erialsand equipment referred to in paragraph (b) <strong>of</strong> this article;(/) The m<strong>at</strong>erials and equipment referred to in subparagraph (b) <strong>of</strong> this article shall beadmitted into the territories <strong>of</strong> the two countries.Article XIII. 1. The energy produced by the hydroelectric scheme referred to inarticle I shall be divided into equal parts between the two countries and each one shallVol. 1380, 1-23141

The jurisdiction applicable to YACYRETA, with regard to individualsor corpor<strong>at</strong>e bodies domiciled in Argentina or Paraguay, shall be th<strong>at</strong> <strong>of</strong> the city <strong>of</strong> BuenosAires or th<strong>at</strong> <strong>of</strong> the city <strong>of</strong> <strong>Asuncion</strong>, respectively. For this purpose, each High ContractingParty shall apply its own laws, taking into account the provisions <strong>of</strong> this <strong>Tre<strong>at</strong>y</strong>.2. In the case <strong>of</strong> individuals or corpor<strong>at</strong>e bodies domiciled outside Argentina orParaguay, YACYRETA shall establish by agreement the clauses th<strong>at</strong> will govern contractualrel<strong>at</strong>ions with regard to works and supplies.Article XX. 1. The civil and penal responsibility <strong>of</strong> the councillors, directors, deputydirectors and other Argentine and Paraguayan <strong>of</strong>ficials <strong>of</strong> YACYRETA for acts harmfulto the interests <strong>of</strong> YACYRETA shall be investig<strong>at</strong>ed and judged in accordance with theprovisions <strong>of</strong> the respective n<strong>at</strong>ional laws.2. For employees <strong>of</strong> another n<strong>at</strong>ionality, proceedings shall conform to Argentine orParaguayan n<strong>at</strong>ional law, depending on whether the employees are assigned to Argentinaor Paraguay.Article XXI. Any disagreement over the interpret<strong>at</strong>ion <strong>of</strong> this <strong>Tre<strong>at</strong>y</strong> and the annexesthereto shall be settled by the High Contracting Parties through the usual diplom<strong>at</strong>ic channelsand the tre<strong>at</strong>ies existing between them on the peaceful settlement <strong>of</strong> disputes, with noresultant delay or interpret<strong>at</strong>ion in the construction or oper<strong>at</strong>ion <strong>of</strong> the hydroelectric schemeand its auxiliary works and install<strong>at</strong>ions.Article XXII. The Argentine-Paraguayan Joint Technical Commission <strong>of</strong> Yacyret -Apip established by the Agreement <strong>of</strong> 23 January 1958 shall remain in existence untilthe start <strong>of</strong> oper<strong>at</strong>ions by YACYRETA.Article XXIII. By agreement between the High Contracting Parties, the bin<strong>at</strong>ionalentity established by this <strong>Tre<strong>at</strong>y</strong> may undertake the planning, construction and oper<strong>at</strong>ion<strong>of</strong> other similar schemes under conditions to be laid down in each case.Article XXIV. This <strong>Tre<strong>at</strong>y</strong> shall be r<strong>at</strong>ified and the respective instruments shall beexchanged as soon as possible in the city <strong>of</strong> Buenos Aires.Article XXV.
