QUALIFICATIONSThe process by which <strong>proposals</strong> will be c<strong>on</strong>sidered <str<strong>on</strong>g>for</str<strong>on</strong>g> funding under this RFQ c<strong>on</strong>sists of twodistinct stages. The first stage is a determinati<strong>on</strong> of whether or not the vendor/agency qualifiesunder the set of General Minimum Qualificati<strong>on</strong>s. If it is determined a vendor/agency does notmeet any <strong>on</strong>e of these General Minimum Qualificati<strong>on</strong>s, the proposal in its entirety will not bec<strong>on</strong>sidered <str<strong>on</strong>g>for</str<strong>on</strong>g> funding.If the vendor/agency meets all of the General Minimum Qualificati<strong>on</strong>s, the proposal will beevaluated to see if it meets the Technical Minimum Qualificati<strong>on</strong>s. Target populati<strong>on</strong>/service<strong>proposals</strong> that do not meet the minimum Technical Qualificati<strong>on</strong>s will not be c<strong>on</strong>sidered <str<strong>on</strong>g>for</str<strong>on</strong>g>funding. This will not eliminate other target populati<strong>on</strong>/service <strong>proposals</strong> submitted in the sameRFQ from being c<strong>on</strong>sidered. Each proposal will be reviewed independently in the TechnicalMinimum Qualificati<strong>on</strong> secti<strong>on</strong>.3.1 General Minimum Qualificati<strong>on</strong>sNOTE: It is mandatory that each comp<strong>on</strong>ent listed below in the Technical MinimumQualificati<strong>on</strong>s be addressed. 3.1.1 Who Can ApplyExisting <strong>Nevada</strong> entities that are organized in accordance with <strong>Nevada</strong> andFederal laws are qualified to submit <strong>proposals</strong>, if they meet the guidelines listedbelow:3.1.1.1 Must have operati<strong>on</strong>s in <strong>Nevada</strong> <str<strong>on</strong>g>for</str<strong>on</strong>g> a minimum of three (3) yearsprior to proposal date;3.1.1.2 Must dem<strong>on</strong>strate financial viability;3.1.1.3 Must provide a minimum twenty-five (25) percent matchingc<strong>on</strong>tributi<strong>on</strong> (cash or in-kind services) to the project; and3.1.1.4 Must be current <strong>on</strong> all state tax obligati<strong>on</strong>s.3.2 Technical Minimum Qualificati<strong>on</strong>sNOTE: It is mandatory that each comp<strong>on</strong>ent listed below in the TechnicalMinimum Qualificati<strong>on</strong>s be addressed. Failure to address each comp<strong>on</strong>ent willresult in disqualificati<strong>on</strong> of proposal.Vendors/agencies proposing to receive funding through this RFQ must provide a detaileddescripti<strong>on</strong> of their proposed service plan, which must include, at a minimum, thefollowing in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> <str<strong>on</strong>g>for</str<strong>on</strong>g> each target populati<strong>on</strong> <str<strong>on</strong>g>for</str<strong>on</strong>g> which funding is requested:3.2.1 Allowable Training Activities3.2.1.1 Customized occupati<strong>on</strong>al training designed to meet the specialrequirements of an employer (or group of employers), c<strong>on</strong>ductedwith a commitment to hire or c<strong>on</strong>tinue to employ the individual orindividuals up<strong>on</strong> successful completi<strong>on</strong> of training.3.2.1.2 Customized <strong>on</strong>-the-job training related to the introducti<strong>on</strong> of newtechnologies, introducti<strong>on</strong> to new producti<strong>on</strong> or serviceprocedures, or upgrading to new jobs that require additi<strong>on</strong>al skills.3.2.2 Allowable Training ProvidersTraining may be c<strong>on</strong>ducted at the business’s own facility, a training provider’sfacility, or a combinati<strong>on</strong> of sites.3.2.2.1 <strong>Nevada</strong> System of Higher Educati<strong>on</strong>;3.2.2.2 Training providers approved by <strong>Nevada</strong>’s Commissi<strong>on</strong> <strong>on</strong> PostSec<strong>on</strong>dary Educati<strong>on</strong>;3.2.2.3 Training Providers licensed/certified through other state or federalentities;3.2.2.4 Employees of the applying entity with documented competenciesin the proposed curriculum; or3.2.2.5 Professi<strong>on</strong>als with documented competencies in the proposedoccupati<strong>on</strong>al training category.RFQ 1552 RFQ No. 1552 <str<strong>on</strong>g>Page</str<strong>on</strong>g> 6Specialized Training Projects Approved 05/07/02Revised 08/06/04

6.4 The State will not be held resp<strong>on</strong>sible <str<strong>on</strong>g>for</str<strong>on</strong>g> proposal envelopes mishandled as a result ofthe envelope not being properly prepared. Facsimile, e-mail or teleph<strong>on</strong>e <strong>proposals</strong> willNOT be c<strong>on</strong>sidered; however, at the State’s discreti<strong>on</strong>, the proposal may be submitted allor in part <strong>on</strong> electr<strong>on</strong>ic media, as requested within the RFQ document. Proposal may bemodified by facsimile, e-mail or written notice provided such notice is received prior tothe opening of the <strong>proposals</strong>.6.5 Although it is a public opening, <strong>on</strong>ly the names of the vendors <strong>submitting</strong> <strong>proposals</strong> willbe announced per NRS §333.335(6). Resp<strong>on</strong>ses to each secti<strong>on</strong> and subsecti<strong>on</strong> should be labeled so as to indicatewhich item is being addressed. Excepti<strong>on</strong>s to this will be c<strong>on</strong>sidered during theevaluati<strong>on</strong> process.6.8 If complete resp<strong>on</strong>ses cannot be provided without referencing c<strong>on</strong>fidential in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong>,such c<strong>on</strong>fidential in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> must be provided in accordance with submittal <str<strong>on</strong>g>instructi<strong>on</strong>s</str<strong>on</strong>g>and specific references made to the tab, page, secti<strong>on</strong> and/or paragraph where thec<strong>on</strong>fidential in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> can be located.6.9 Proposals are to be prepared in such a way as to provide a straight<str<strong>on</strong>g>for</str<strong>on</strong>g>ward, c<strong>on</strong>cisedelineati<strong>on</strong> of capabilities to satisfy the requirements of this RFQ. Expensive bindings,colored displays, promoti<strong>on</strong>al materials, etc., are not necessary or desired. Emphasisshould be c<strong>on</strong>centrated <strong>on</strong> c<strong>on</strong><str<strong>on</strong>g>for</str<strong>on</strong>g>mance to the RFQ <str<strong>on</strong>g>instructi<strong>on</strong>s</str<strong>on</strong>g>, resp<strong>on</strong>siveness to theRFQ requirements, and <strong>on</strong> completeness and clarity of c<strong>on</strong>tent.610 Descripti<strong>on</strong>s <strong>on</strong> how any and all equipment and/or services will be used to meet therequirements of this RFQ shall be given, in detail, al<strong>on</strong>g with any additi<strong>on</strong>al in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong>documents that are appropriately marked.6.11 The proposal must be signed by the individual(s) legally authorized to bind the vendor,see NRS §333.337.6.12 For ease of resp<strong>on</strong>ding to the RFQ, vendors are encouraged, but not required, to requestan electr<strong>on</strong>ic copy of the RFQ. Electr<strong>on</strong>ic copies are available in the following <str<strong>on</strong>g>for</str<strong>on</strong>g>mats:Word 2003 via e-mail, diskette, or <strong>on</strong> the State Purchasing Divisi<strong>on</strong>'s website in PDF orEXE <str<strong>on</strong>g>for</str<strong>on</strong>g>mat at http://purchasing.state.nv.us. 6.<str<strong>on</strong>g>13</str<strong>on</strong>g> Vendors utilizing an electr<strong>on</strong>ic copy of the RFQ in order to prepare their proposal shouldplace their written resp<strong>on</strong>se in an easily distinguishable f<strong>on</strong>t immediately following theapplicable questi<strong>on</strong>.6.14 For purposes of addressing questi<strong>on</strong>s c<strong>on</strong>cerning this RFQ, the sole c<strong>on</strong>tact will be thePurchasing Divisi<strong>on</strong>. Up<strong>on</strong> issuance of this RFQ, other employees and representativesof the agencies identified in the RFQ will not answer questi<strong>on</strong>s or otherwise discuss thec<strong>on</strong>tents of this RFQ with any prospective vendors or their representatives. Failure toobserve this restricti<strong>on</strong> may result in disqualificati<strong>on</strong> of any subsequent proposal NAC§333.155(3). This restricti<strong>on</strong> does not preclude discussi<strong>on</strong>s between affected parties <str<strong>on</strong>g>for</str<strong>on</strong>g>the purpose of c<strong>on</strong>ducting business unrelated to this procurement.6.15 A vendor who believes proposal requirements or specificati<strong>on</strong>s are unnecessarilyrestrictive or limit competiti<strong>on</strong> may submit a request <str<strong>on</strong>g>for</str<strong>on</strong>g> administrative review, inwriting, to the Purchasing Divisi<strong>on</strong>. To be c<strong>on</strong>sidered, a request <str<strong>on</strong>g>for</str<strong>on</strong>g> review must bereceived no later than the deadline <str<strong>on</strong>g>for</str<strong>on</strong>g> submissi<strong>on</strong> of questi<strong>on</strong>s.The Purchasing Divisi<strong>on</strong> shall promptly resp<strong>on</strong>d in writing to each written reviewrequest, and where appropriate, issue all revisi<strong>on</strong>s, substituti<strong>on</strong>s or clarificati<strong>on</strong>s througha written amendment to the RFQ.Administrative review of technical or c<strong>on</strong>tractual requirements shall include the reas<strong>on</strong><str<strong>on</strong>g>for</str<strong>on</strong>g> the request, supported by factual in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong>, and any proposed changes to therequirements.6.16 If a vendor changes any material RFQ language, vendor’s resp<strong>on</strong>se may be deemed n<strong>on</strong>resp<strong>on</strong>sive.NRS §333.311.6.17 Vendors are cauti<strong>on</strong>ed that some services may c<strong>on</strong>tain licensing requirement(s). Vendorsshall be proactive in verificati<strong>on</strong> of these requirements prior to proposal submittal.Proposals, which do not c<strong>on</strong>tain the requisite licensure, may be deemed n<strong>on</strong>-resp<strong>on</strong>sive.However, this does not negate any applicable <strong>Nevada</strong> Revised Statute (NRS)requirements.7. QUALIFICATION EVALUATIONS AND AWARD PROCESS7.1 General Minimum Qualificati<strong>on</strong>s shall be evaluated <strong>on</strong> a pass/fail basis. Only vendorswho meet the General Minimum Qualificati<strong>on</strong>s will have their Technical <strong>proposals</strong>c<strong>on</strong>sidered. 7.2 The evaluati<strong>on</strong> committee may also c<strong>on</strong>tact the references provided in resp<strong>on</strong>se to theSecti<strong>on</strong> identified as Company Background and References; c<strong>on</strong>tact any vendor to clarifyany resp<strong>on</strong>se; c<strong>on</strong>tact any current users of a vendor’s services; solicit in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> fromany available source c<strong>on</strong>cerning any aspect of a proposal; and seek and review any otherin<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> deemed pertinent to the evaluati<strong>on</strong> process. The evaluati<strong>on</strong> committee shallnot be obligated to accept the lowest priced proposal, but shall make awards in the bestinterests of the State of <strong>Nevada</strong> NRS § 333.335(5)7.3 Each vendor must include in its proposal a complete disclosure of any alleged significantprior or <strong>on</strong>going c<strong>on</strong>tract failures, c<strong>on</strong>tract breaches, any civil or criminal litigati<strong>on</strong> orinvestigati<strong>on</strong>s pending which involves the vendor or in which the vendor has been judgedguilty or liable. Failure to comply with the terms of this provisi<strong>on</strong> may disqualify anyproposal. The State reserves the right to reject any proposal based up<strong>on</strong> the vendor’sprior history with the State or with any other party, which documents, without limitati<strong>on</strong>,unsatisfactory per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance, adversarial or c<strong>on</strong>tentious demeanor, significant failure(s) tomeet c<strong>on</strong>tract milest<strong>on</strong>es or other c<strong>on</strong>tractual failures. <str<strong>on</strong>g>See</str<strong>on</strong>g> generally, NRS §333.335.7.4 Clarificati<strong>on</strong> discussi<strong>on</strong>s may, at the State’s sole opti<strong>on</strong>, be c<strong>on</strong>ducted with vendors whosubmit <strong>proposals</strong> determined to be acceptable and competitive per NAC §333.165.Vendors shall be accorded fair and equal treatment with respect to any opportunity <str<strong>on</strong>g>for</str<strong>on</strong>g>discussi<strong>on</strong> and/or written revisi<strong>on</strong>s of <strong>proposals</strong>. Such revisi<strong>on</strong>s may be permitted aftersubmissi<strong>on</strong>s and prior to award <str<strong>on</strong>g>for</str<strong>on</strong>g> the purpose of obtaining best and final offers. Inc<strong>on</strong>ducting discussi<strong>on</strong>s, there shall be no disclosure of any in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> derived from<strong>proposals</strong> submitted by competing vendors.7.5 A Notificati<strong>on</strong> of Intent to Award shall be issued in accordance with NAC §333.170.Any award is c<strong>on</strong>tingent up<strong>on</strong> the successful negotiati<strong>on</strong> of final c<strong>on</strong>tract terms andup<strong>on</strong> approval of the State of <strong>Nevada</strong> Board of Examiners. Negotiati<strong>on</strong>s shall bec<strong>on</strong>fidential and not subject to disclosure to competing vendors unless and until anagreement is reached. If c<strong>on</strong>tract negotiati<strong>on</strong>s cannot be c<strong>on</strong>cluded successfully, theState up<strong>on</strong> written notice to all vendors may negotiate a c<strong>on</strong>tract with the next highestscoring vendor or withdraw the RFQ.7.6 Any c<strong>on</strong>tract resulting from this RFQ shall not be effective unless and until approved bythe <strong>Nevada</strong> State Board of Examiners (NRS 284.173).8. TERMS, CONDITIONS AND EXCEPTIONS8.1 Per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of vendors will be rated semi-annually following c<strong>on</strong>tract award and thenannually <str<strong>on</strong>g>for</str<strong>on</strong>g> the term of the c<strong>on</strong>tract by the using State agency in six categories: customerservice; timeliness; quality; technology; flexibility; and pricing. Vendors will be notifiedin writing of their rating.8.2 In accordance with <strong>Nevada</strong> Revised Statute 333.336, if a vendor <strong>submitting</strong> a proposal inresp<strong>on</strong>se to this solicitati<strong>on</strong> is a resident of another state, and with respect to c<strong>on</strong>tractsawarded by that state, applies to vendors who are residents of that state a preference,which is not af<str<strong>on</strong>g>for</str<strong>on</strong>g>ded to vendors or c<strong>on</strong>tractors who are residents of the State of <strong>Nevada</strong>,the State of <strong>Nevada</strong>, Purchasing Divisi<strong>on</strong> shall, insofar as is practicable, increase the outof state vendor’s proposal by an amount that is substantially equivalent to the preferencethat the other state of which the vendor is a resident denies to vendors or c<strong>on</strong>tractors whoare residents of the State of <strong>Nevada</strong>.RFQ 1552 RFQ No. 1552 <str<strong>on</strong>g>Page</str<strong>on</strong>g> 17Specialized Training Projects Approved 05/07/02Revised 08/06/04


8.3 This procurement is being c<strong>on</strong>ducted in accordance with NRS chapter 333 and NACchapter 333.8.4 The State reserves the right to alter, amend, or modify any provisi<strong>on</strong>s of this RFQ, or towithdraw this RFQ, at any time prior to the award of a c<strong>on</strong>tract pursuant hereto, if it is inthe best interest of the State to do so.8.5 The State reserves the right to waive in<str<strong>on</strong>g>for</str<strong>on</strong>g>malities and minor irregularities in <strong>proposals</strong>received.8.6 The State reserves the right to reject any or all <strong>proposals</strong> received prior to c<strong>on</strong>tract award(NRS §333.350).8.7 The State shall not be obligated to accept the lowest priced proposal, but will make anaward in the best interests of the State of <strong>Nevada</strong> after all factors have been evaluated(NRS §333.335).8.8 Any irregularities or lack of clarity in the RFQ should be brought to the PurchasingDivisi<strong>on</strong> designee’s attenti<strong>on</strong> as so<strong>on</strong> as possible so that corrective addenda may befurnished to prospective vendors.8.9 Proposals must include any and all proposed terms and c<strong>on</strong>diti<strong>on</strong>s, including, withoutlimitati<strong>on</strong>, written warranties, maintenance/service agreements, license agreements, leasepurchase agreements and the vendor’s standard c<strong>on</strong>tract language. The omissi<strong>on</strong> of thesedocuments renders a proposal n<strong>on</strong>-resp<strong>on</strong>sive.8.10 Alterati<strong>on</strong>s, modificati<strong>on</strong>s or variati<strong>on</strong>s to a proposal may not be c<strong>on</strong>sidered unlessauthorized by the RFQ or by addendum or amendment.8.11 Proposals that appear unrealistic in the terms of technical commitments, lack of technicalcompetence, or are indicative of failure to comprehend the complexity and risk of thisc<strong>on</strong>tract, may be rejected.8.12 Proposals from employees of the State of <strong>Nevada</strong> will be c<strong>on</strong>sidered in as much as theydo not c<strong>on</strong>flict with the State Administrative Manual, NRS Chapter §281 and NRSChapter §284.8.<str<strong>on</strong>g>13</str<strong>on</strong>g> Proposals may be withdrawn by written or facsimile notice received prior to the proposalopening time. Withdrawals received after the proposal opening time will not bec<strong>on</strong>sidered except as authorized by NRS §333.350(3).8.14 The price and amount of this proposal must have been arrived at independently andwithout c<strong>on</strong>sultati<strong>on</strong>, communicati<strong>on</strong>, agreement or disclosure with or to any otherc<strong>on</strong>tractor, vendor or prospective vendor. Collaborati<strong>on</strong> am<strong>on</strong>g competing vendors aboutpotential <strong>proposals</strong> submitted pursuant to this RFQ is prohibited and may disqualify thevendor.8.15 No attempt may be made at any time to induce any firm or pers<strong>on</strong> to refrain from<strong>submitting</strong> a proposal or to submit any intenti<strong>on</strong>ally high or n<strong>on</strong>competitive proposal.All <strong>proposals</strong> must be made in good faith and without collusi<strong>on</strong>.8.16 Prices offered by vendors in their <strong>proposals</strong> are an irrevocable offer <str<strong>on</strong>g>for</str<strong>on</strong>g> the term of thec<strong>on</strong>tract and any c<strong>on</strong>tract extensi<strong>on</strong>s. The awarded vendor agrees to provide thepurchased services at the costs, rates and fees as set <str<strong>on</strong>g>for</str<strong>on</strong>g>th in their proposal in resp<strong>on</strong>se toRFQ 1552 RFQ No. 1552 <str<strong>on</strong>g>Page</str<strong>on</strong>g> 18Specialized Training Projects Approved 05/07/02Revised 08/06/04


this RFQ. No other costs, rates or fees shall be payable to the awarded vendor <str<strong>on</strong>g>for</str<strong>on</strong>g>implementati<strong>on</strong> of their proposal.8.17 The State is not liable <str<strong>on</strong>g>for</str<strong>on</strong>g> any costs incurred by vendors prior to entering into a<str<strong>on</strong>g>for</str<strong>on</strong>g>mal c<strong>on</strong>tract. Costs of developing the proposal or any other such expensesincurred by the vendor in resp<strong>on</strong>ding to the RFQ, are entirely the resp<strong>on</strong>sibility ofthe vendor, and shall not be reimbursed in any manner by the State.8.18 All <strong>proposals</strong> submitted become the property of the State, selecti<strong>on</strong> or rejecti<strong>on</strong> does notaffect this right; <strong>proposals</strong> will be returned <strong>on</strong>ly at the State’s opti<strong>on</strong> and at the vendor’srequest and expense. The master technical proposal, the master cost proposal andC<strong>on</strong>fidential In<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> of each resp<strong>on</strong>se shall be retained <str<strong>on</strong>g>for</str<strong>on</strong>g> official files. Only themaster technical proposal and master cost proposal will become public record after theaward of a c<strong>on</strong>tract. The failure to separately package and clearly mark Part III – whichc<strong>on</strong>tains C<strong>on</strong>fidential In<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong>, Trade Secrets, and/or Proprietary In<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> shallc<strong>on</strong>stitute a complete waiver of any and all claims <str<strong>on</strong>g>for</str<strong>on</strong>g> damages caused by release of thein<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> by the State.8.19 A proposal submitted in resp<strong>on</strong>se to this RFQ must identify any subc<strong>on</strong>tractors, andoutline the c<strong>on</strong>tractual relati<strong>on</strong>ship between the awarded vendor and each subc<strong>on</strong>tractor.An official of each proposed subc<strong>on</strong>tractor must sign, and include as part of thequalificati<strong>on</strong>s submitted in resp<strong>on</strong>se to this RFQ, a statement to the effect that thesubc<strong>on</strong>tractor has read and will agree to abide by the awarded vendor’s obligati<strong>on</strong>s.8.20 The awarded vendor will be the sole point of c<strong>on</strong>tract resp<strong>on</strong>sibility. The State will looksolely to the awarded vendor <str<strong>on</strong>g>for</str<strong>on</strong>g> the per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of all c<strong>on</strong>tractual obligati<strong>on</strong>s, whichmay result from an award based <strong>on</strong> this RFQ, and the awarded vendor shall not berelieved <str<strong>on</strong>g>for</str<strong>on</strong>g> the n<strong>on</strong>-per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of any or all subc<strong>on</strong>tractors.8.21 The awarded vendor must maintain, <str<strong>on</strong>g>for</str<strong>on</strong>g> the durati<strong>on</strong> of its c<strong>on</strong>tract, insurance coveragesas set <str<strong>on</strong>g>for</str<strong>on</strong>g>th in the Insurance Schedule of the c<strong>on</strong>tract <str<strong>on</strong>g>for</str<strong>on</strong>g>m appended to this RFQ. Work<strong>on</strong> the c<strong>on</strong>tract shall not begin until after the awarded vendor has submitted acceptableevidence of the required insurance coverages. Failure to maintain any required insurancecoverage or acceptable alternative method of insurance will be deemed a breach ofc<strong>on</strong>tract.Notwithstanding any other requirement of this secti<strong>on</strong>, the State reserves the right toc<strong>on</strong>sider reas<strong>on</strong>able alternative methods of insuring the c<strong>on</strong>tract in lieu of the insurancepolicies required by the above-stated Insurance Schedule. It will be the awarded vendor’sresp<strong>on</strong>sibility to recommend to the State alternative methods of insuring the c<strong>on</strong>tract.Any alternatives proposed by a vendor should be accompanied by a detailed explanati<strong>on</strong>regarding the vendor’s inability to obtain insurance coverage as described above. TheState shall be the sole and final judge as to the adequacy of any substitute <str<strong>on</strong>g>for</str<strong>on</strong>g>m ofinsurance coverage.8.22 Each vendor must disclose any existing or potential c<strong>on</strong>flict of interest relative to theper<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of the c<strong>on</strong>tractual services resulting from this RFQ. Any such relati<strong>on</strong>shipthat might be perceived or represented as a c<strong>on</strong>flict should be disclosed. By <strong>submitting</strong>qualificati<strong>on</strong>s in resp<strong>on</strong>se to this RFQ, vendors affirm that they have not given, nor intendto give at any time hereafter, any ec<strong>on</strong>omic opportunity, future employment, gift, loan,gratuity, special discount, trip, favor, or service to a public servant or any employee orrepresentative of same, in c<strong>on</strong>necti<strong>on</strong> with this procurement. or unintenti<strong>on</strong>ally c<strong>on</strong>ceal or obfuscate a c<strong>on</strong>flict of interest will automatically result inthe disqualificati<strong>on</strong> of a vendor’s proposal. An award will not be made where a c<strong>on</strong>flictof interest exists. The State will determine whether a c<strong>on</strong>flict of interest exists andwhether it may reflect negatively <strong>on</strong> the State’s selecti<strong>on</strong> of a vendor. The State reservesthe right to disqualify any vendor <strong>on</strong> the grounds of actual or apparent c<strong>on</strong>flict of interest.8.23 The State will not be liable <str<strong>on</strong>g>for</str<strong>on</strong>g> Federal, State, or Local excise taxes NRS §372.325.8.24 Attachment B of this RFQ shall c<strong>on</strong>stitute an agreement to all terms and c<strong>on</strong>diti<strong>on</strong>sspecified in the RFQ, including, without limitati<strong>on</strong>, the Attachment C c<strong>on</strong>tract <str<strong>on</strong>g>for</str<strong>on</strong>g>m andall terms and c<strong>on</strong>diti<strong>on</strong>s therein, except such terms and c<strong>on</strong>diti<strong>on</strong>s that the vendorexpressly excludes. Excepti<strong>on</strong>s will be taken into c<strong>on</strong>siderati<strong>on</strong> as part of the evaluati<strong>on</strong>process.8.25 The State reserves the right to negotiate final c<strong>on</strong>tract terms with any vendor selectedNAC §333.170. The c<strong>on</strong>tract between the parties will c<strong>on</strong>sist of the RFQ together withany modificati<strong>on</strong>s thereto, and the awarded vendor’s proposal, together with anymodificati<strong>on</strong>s and clarificati<strong>on</strong>s thereto that are submitted at the request of the Stateduring the evaluati<strong>on</strong> and negotiati<strong>on</strong> process. In the event of any c<strong>on</strong>flict orc<strong>on</strong>tradicti<strong>on</strong> between or am<strong>on</strong>g these documents, the documents shall c<strong>on</strong>trol in thefollowing order of precedence: the final executed c<strong>on</strong>tract, the RFQ, any modificati<strong>on</strong>sand clarificati<strong>on</strong>s to the awarded vendor’s proposal, and the awarded vendor’s proposal.Specific excepti<strong>on</strong>s to this general rule may be noted in the final executed c<strong>on</strong>tract.8.26 Vendor understands and acknowledges that the representati<strong>on</strong>s above are material andimportant, and will be relied <strong>on</strong> by the State in evaluati<strong>on</strong> of the proposal. The State may terminate this C<strong>on</strong>tract, and C<strong>on</strong>tractor waives any and all claim(s) <str<strong>on</strong>g>for</str<strong>on</strong>g> damages, effectiveimmediately up<strong>on</strong> receipt of written notice (or any date specified therein) if <str<strong>on</strong>g>for</str<strong>on</strong>g> any reas<strong>on</strong> the C<strong>on</strong>tracting Agency’s fundingfrom State and/or federal sources is not appropriated or is withdrawn, limited, or impaired.c. Cause Terminati<strong>on</strong> <str<strong>on</strong>g>for</str<strong>on</strong>g> Default or Breach. A default or breach may be declared with or without terminati<strong>on</strong>. This C<strong>on</strong>tractmay be terminated by either party up<strong>on</strong> written notice of default or breach to the other party as follows:i. If C<strong>on</strong>tractor fails to provide or satisfactorily per<str<strong>on</strong>g>for</str<strong>on</strong>g>m any of the c<strong>on</strong>diti<strong>on</strong>s, work, deliverables, goods, or servicescalled <str<strong>on</strong>g>for</str<strong>on</strong>g> by this C<strong>on</strong>tract within the time requirements specified in this C<strong>on</strong>tract or within any granted extensi<strong>on</strong> ofthose time requirements; orii. If any state, county, city or federal license, authorizati<strong>on</strong>, waiver, permit, qualificati<strong>on</strong> or certificati<strong>on</strong> required bystatute, ordinance, law, or regulati<strong>on</strong> to be held by C<strong>on</strong>tractor to provide the goods or services required by this C<strong>on</strong>tract is<str<strong>on</strong>g>for</str<strong>on</strong>g> any reas<strong>on</strong> denied, revoked, debarred, excluded, terminated, suspended, lapsed, or not renewed; oriii. If C<strong>on</strong>tractor becomes insolvent, subject to receivership, or becomes voluntarily or involuntarily subject to thejurisdicti<strong>on</strong> of the bankruptcy court; oriv. If the State materially breaches any material duty under this C<strong>on</strong>tract and any such breach impairs C<strong>on</strong>tractor's abilityto per<str<strong>on</strong>g>for</str<strong>on</strong>g>m; orv. If it is found by the State that any quid pro quo or gratuities in the <str<strong>on</strong>g>for</str<strong>on</strong>g>m of m<strong>on</strong>ey, services, entertainment, gifts, orotherwise were offered or given by C<strong>on</strong>tractor, or any agent or representative of C<strong>on</strong>tractor, to any officer or employee ofthe State of <strong>Nevada</strong> with a view toward securing a c<strong>on</strong>tract or securing favorable treatment with respect to awarding,extending, amending, or making any determinati<strong>on</strong> with respect to the per<str<strong>on</strong>g>for</str<strong>on</strong>g>ming of such c<strong>on</strong>tract; orvi. If it is found by the State that C<strong>on</strong>tractor has failed to disclose any material c<strong>on</strong>flict of interest relative to theper<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of this C<strong>on</strong>tract.d. Time to Correct. Terminati<strong>on</strong> up<strong>on</strong> a declared default or breach may be exercised <strong>on</strong>ly after service of <str<strong>on</strong>g>for</str<strong>on</strong>g>mal written noticeas specified in paragraph (4), and the subsequent failure of the defaulting party within 15 calendar days of receipt of thatnotice to provide evidence, satisfactory to the aggrieved party, showing that the declared default or breach has been corrected.e. Winding Up Affairs Up<strong>on</strong> Terminati<strong>on</strong>. In the event of terminati<strong>on</strong> of this C<strong>on</strong>tract <str<strong>on</strong>g>for</str<strong>on</strong>g> any reas<strong>on</strong>, the parties agree thatthe provisi<strong>on</strong>s of this paragraph survive terminati<strong>on</strong>:i. The parties shall account <str<strong>on</strong>g>for</str<strong>on</strong>g> and properly present to each other all claims <str<strong>on</strong>g>for</str<strong>on</strong>g> fees and expenses and pay those whichare undisputed and otherwise not subject to set off under this C<strong>on</strong>tract. ii. C<strong>on</strong>tractor shall satisfactorily complete work in progress at the agreed rate (or a pro rata basis if necessary) if sorequested by the C<strong>on</strong>tracting Agency;iii. C<strong>on</strong>tractor shall execute any documents and take any acti<strong>on</strong>s necessary to effectuate an assignment of this C<strong>on</strong>tract ifso requested by the C<strong>on</strong>tracting Agency;iv. C<strong>on</strong>tractor shall preserve, protect and promptly deliver into State possessi<strong>on</strong> all proprietary in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> inaccordance with paragraph (21).11. REMEDIES. Except as otherwise provided <str<strong>on</strong>g>for</str<strong>on</strong>g> by law or this C<strong>on</strong>tract, the rights and remedies of the parties shall not beexclusive and are in additi<strong>on</strong> to any other rights and remedies provided by law or equity, including, without limitati<strong>on</strong>, actualdamages, and to a prevailing party reas<strong>on</strong>able attorneys' fees and costs. It is specifically agreed that reas<strong>on</strong>able attorneys' feesshall include without limitati<strong>on</strong> $125 per hour <str<strong>on</strong>g>for</str<strong>on</strong>g> State-employed attorneys. The State may set off c<strong>on</strong>siderati<strong>on</strong> against anyunpaid obligati<strong>on</strong> of C<strong>on</strong>tractor to any State agency in accordance with NRS 353C.190.12. LIMITED LIABILITY. The State will not waive and intends to assert available NRS chapter 41 liability limitati<strong>on</strong>s in allcases. C<strong>on</strong>tract liability of both parties shall not be subject to punitive damages. Liquidated damages shall not apply unlessotherwise specified in the incorporated attachments. Damages <str<strong>on</strong>g>for</str<strong>on</strong>g> any State breach shall never exceed the amount of fundsappropriated <str<strong>on</strong>g>for</str<strong>on</strong>g> payment under this C<strong>on</strong>tract, but not yet paid to C<strong>on</strong>tractor, <str<strong>on</strong>g>for</str<strong>on</strong>g> the fiscal year budget in existence at the time ofthe breach. Damages <str<strong>on</strong>g>for</str<strong>on</strong>g> any C<strong>on</strong>tractor breach shall not exceed 150% of the c<strong>on</strong>tract maximum “not to exceed” value.C<strong>on</strong>tractor’s tort liability shall not be limited.<str<strong>on</strong>g>13</str<strong>on</strong>g>. FORCE MAJEURE. Neither party shall be deemed to be in violati<strong>on</strong> of this C<strong>on</strong>tract if it is prevented from per<str<strong>on</strong>g>for</str<strong>on</strong>g>ming anyof its obligati<strong>on</strong>s hereunder due to strikes, failure of public transportati<strong>on</strong>, civil or military authority, act of public enemy,accidents, fires, explosi<strong>on</strong>s, or acts of God, including, without limitati<strong>on</strong>, earthquakes, floods, winds, or storms. In such an eventthe intervening cause must not be through the fault of the party asserting such an excuse, and the excused party is obligated topromptly per<str<strong>on</strong>g>for</str<strong>on</strong>g>m in accordance with the terms of the C<strong>on</strong>tract after the intervening cause ceases.14. INDEMNIFICATION. To the fullest extent permitted by law, C<strong>on</strong>tractor shall indemnify, hold harmless and defend, notexcluding the State's right to participate, the State from and against all liability, claims, acti<strong>on</strong>s, damages, losses, and expenses,including, without limitati<strong>on</strong>, reas<strong>on</strong>able attorneys' fees and costs, arising out of any alleged negligent or willful acts oromissi<strong>on</strong>s of C<strong>on</strong>tractor, its officers, employees and agents.15. INDEPENDENT CONTRACTOR. C<strong>on</strong>tractor is associated with the State <strong>on</strong>ly <str<strong>on</strong>g>for</str<strong>on</strong>g> the purposes and to the extent specifiedin this C<strong>on</strong>tract, and in respect to per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of the c<strong>on</strong>tracted services pursuant to this C<strong>on</strong>tract, C<strong>on</strong>tractor is and shall be anindependent c<strong>on</strong>tractor and, subject <strong>on</strong>ly to the terms of this C<strong>on</strong>tract, shall have the sole right to supervise, manage, operate,c<strong>on</strong>trol, and direct per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of the details incident to its duties under this C<strong>on</strong>tract. Nothing c<strong>on</strong>tained in this C<strong>on</strong>tract shallbe deemed or c<strong>on</strong>strued to create a partnership or joint venture, to create relati<strong>on</strong>ships of an employer-employee or principalagent,or to otherwise create any liability <str<strong>on</strong>g>for</str<strong>on</strong>g> the State whatsoever with respect to the indebtedness, liabilities, and obligati<strong>on</strong>s ofC<strong>on</strong>tractor or any other party. C<strong>on</strong>tractor shall be solely resp<strong>on</strong>sible <str<strong>on</strong>g>for</str<strong>on</strong>g>, and the State shall have no obligati<strong>on</strong> with respect to:(1) withholding of income taxes, FICA or any other taxes or fees; (2) industrial insurance coverage; (3) participati<strong>on</strong> in anygroup insurance plans available to employees of the State; (4) participati<strong>on</strong> or c<strong>on</strong>tributi<strong>on</strong>s by either C<strong>on</strong>tractor or the State tothe Public Employees Retirement System; (5) accumulati<strong>on</strong> of vacati<strong>on</strong> leave or sick leave; or (6) unemployment compensati<strong>on</strong>coverage provided by the State. C<strong>on</strong>tractor shall indemnify and hold State harmless from, and defend State against, any and alllosses, damages, claims, costs, penalties, liabilities, and expenses arising or incurred because of, incident to, or otherwise withrespect to any such taxes or fees. Neither C<strong>on</strong>tractor nor its employees, agents, or representatives shall be c<strong>on</strong>sideredemployees, agents, or representatives of the State. The State and C<strong>on</strong>tractor shall evaluate the nature of services and termnegotiated in order to determine "independent c<strong>on</strong>tractor" status and shall m<strong>on</strong>itor the work relati<strong>on</strong>ship throughout the term ofthe C<strong>on</strong>tract to ensure that the independent c<strong>on</strong>tractor relati<strong>on</strong>ship remains as such. INSURANCE SCHEDULE. Unless expressly waived in writing by the State, C<strong>on</strong>tractor, as an independent c<strong>on</strong>tractor andnot an employee of the State, must carry policies of insurance in amounts specified in this Insurance Schedule and pay alltaxes and fees incident hereunto. The State shall have no liability except as specifically provided in the C<strong>on</strong>tract. TheC<strong>on</strong>tractor shall not commence work be<str<strong>on</strong>g>for</str<strong>on</strong>g>e:1) C<strong>on</strong>tractor has provided the required evidence of insurance to the C<strong>on</strong>tracting Agency of the State, and2) The State has approved the insurance policies provided by the C<strong>on</strong>tractor.Prior approval of the insurance policies by the State shall be a c<strong>on</strong>diti<strong>on</strong> precedent to any payment of c<strong>on</strong>siderati<strong>on</strong> under thisC<strong>on</strong>tract and the State’s approval of any changes to insurance coverage during the course of per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance shall c<strong>on</strong>stitute an<strong>on</strong>going c<strong>on</strong>diti<strong>on</strong> subsequent this C<strong>on</strong>tract. Unlessspecifically specified herein or otherwise agreed to by the State, the required insurance shall be in effect prior to thecommencement of work by the C<strong>on</strong>tractor and shall c<strong>on</strong>tinue in <str<strong>on</strong>g>for</str<strong>on</strong>g>ce as appropriate until the latter of:1. Final acceptance by the State of the completi<strong>on</strong> of this C<strong>on</strong>tract; or2. Approved Insurer: Each insurance policy shall be:1) Issued by insurance companies authorized to do business in the State of <strong>Nevada</strong> or eligible surplus lines insurersacceptable to the State and having agents in <strong>Nevada</strong> up<strong>on</strong> whom service of process may be made, and2) Currently rated by A.M. Best as “A- VII” or better.Evidence of Insurance:Prior to the start of any Work, C<strong>on</strong>tractor must provide the following documents to the c<strong>on</strong>tracting State agency:1) Certificate of Insurance: The Acord 25 Certificate of Insurance <str<strong>on</strong>g>for</str<strong>on</strong>g>m or a <str<strong>on</strong>g>for</str<strong>on</strong>g>m substantially similar must be submittedto the State to evidence the insurance policies and coverages required of C<strong>on</strong>tractor.2) Additi<strong>on</strong>al Insured Endorsement: An Additi<strong>on</strong>al Insured Endorsement (CG20 10 or C20 26) , signed by an authorizedinsurance company representative, must be submitted to the State to evidence the endorsement of the State as an additi<strong>on</strong>alinsured per General Requirements, Subsecti<strong>on</strong> a above.3) Schedule of Underlying Insurance Policies: If Umbrella or Excess policy is evidenced to comply with minimum limits,a copy of the Underlyer Schedule from the Umbrella or Excess insurance policy may be required.Review and Approval: Documents specified above must be submitted <str<strong>on</strong>g>for</str<strong>on</strong>g> review and approval by the State prior to thecommencement of work by C<strong>on</strong>tractor. Neither approval by the State nor failure to disapprove the insurance furnished byC<strong>on</strong>tractor shall relieve C<strong>on</strong>tractor of C<strong>on</strong>tractor’s full resp<strong>on</strong>sibility to provide the insurance required by this C<strong>on</strong>tract.Compliance with the insurance requirements of this C<strong>on</strong>tract shall not limit the liability of C<strong>on</strong>tractor or its subc<strong>on</strong>tractors,employees or agents to the State or others, and shall be in additi<strong>on</strong> to and not in lieu of any other remedyavailable to the State under this C<strong>on</strong>tract or otherwise. COMPLIANCE WITH LEGAL OBLIGATIONS. C<strong>on</strong>tractor shall procure and maintain <str<strong>on</strong>g>for</str<strong>on</strong>g> the durati<strong>on</strong> of this C<strong>on</strong>tractany state, county, city or federal license, authorizati<strong>on</strong>, waiver, permit, qualificati<strong>on</strong> or certificati<strong>on</strong> required by statute,ordinance, law, or regulati<strong>on</strong> to be held by C<strong>on</strong>tractor to provide the goods or services required by this C<strong>on</strong>tract. C<strong>on</strong>tractor willbe resp<strong>on</strong>sible to pay all taxes, assessments, fees, premiums, permits, and licenses required by law. Real property and pers<strong>on</strong>alproperty taxes are the resp<strong>on</strong>sibility of C<strong>on</strong>tractor in accordance with NRS 361.157 and 361.159. C<strong>on</strong>tractor agrees to beresp<strong>on</strong>sible <str<strong>on</strong>g>for</str<strong>on</strong>g> payment of any such government obligati<strong>on</strong>s not paid by its subc<strong>on</strong>tractors during per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of this C<strong>on</strong>tract.The State may set-off against c<strong>on</strong>siderati<strong>on</strong> due any delinquent government obligati<strong>on</strong> in accordance with NRS 353C.190.18. WAIVER OF BREACH. Failure to declare a breach or the actual waiver of any particular breach of the C<strong>on</strong>tract or itsmaterial or n<strong>on</strong>material terms by either party shall not operate as a waiver by such party of any of its rights or remedies as to anyother breach.19. SEVERABILITY. If any provisi<strong>on</strong> c<strong>on</strong>tained in this C<strong>on</strong>tract is held to be unen<str<strong>on</strong>g>for</str<strong>on</strong>g>ceable by a court of law or equity, thisC<strong>on</strong>tract shall be c<strong>on</strong>strued as if such provisi<strong>on</strong> did not exist and the n<strong>on</strong>en<str<strong>on</strong>g>for</str<strong>on</strong>g>ceability of such provisi<strong>on</strong> shall not be held torender any other provisi<strong>on</strong> or provisi<strong>on</strong>s of this C<strong>on</strong>tract unen<str<strong>on</strong>g>for</str<strong>on</strong>g>ceable.20. ASSIGNMENT/DELEGATION. To the extent that any assignment of any right under this C<strong>on</strong>tract changes the duty ofeither party, increases the burden or risk involved, impairs the chances of obtaining the per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of this C<strong>on</strong>tract, attempts tooperate as a novati<strong>on</strong>, or includes a waiver or abrogati<strong>on</strong> of any defense to payment by State, such offending porti<strong>on</strong> of theassignment shall be void, and shall be a breach of this C<strong>on</strong>tract. C<strong>on</strong>tractor shall neither assign, transfer nor delegate any rights,obligati<strong>on</strong>s or duties under this C<strong>on</strong>tract without the prior written c<strong>on</strong>sent of the State.21. STATE OWNERSHIP OF PROPRIETARY INFORMATION. Any reports, histories, studies, tests, manuals, <str<strong>on</strong>g>instructi<strong>on</strong>s</str<strong>on</strong>g>,photographs, negatives, blue prints, plans, maps, data, system designs, computer code (which is intended to be c<strong>on</strong>siderati<strong>on</strong>under the C<strong>on</strong>tract), or any other documents or drawings, prepared or in the course of preparati<strong>on</strong> by C<strong>on</strong>tractor (or itssubc<strong>on</strong>tractors) in per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance of its obligati<strong>on</strong>s under this C<strong>on</strong>tract shall be the exclusive property of the State and all suchmaterials shall be delivered into State possessi<strong>on</strong> by C<strong>on</strong>tractor up<strong>on</strong> completi<strong>on</strong>, terminati<strong>on</strong>, or cancellati<strong>on</strong> of this C<strong>on</strong>tract.C<strong>on</strong>tractor shall not use, willingly allow, or cause to have such materials used <str<strong>on</strong>g>for</str<strong>on</strong>g> any purpose other than per<str<strong>on</strong>g>for</str<strong>on</strong>g>mance ofC<strong>on</strong>tractor's obligati<strong>on</strong>s under this C<strong>on</strong>tract without the prior written c<strong>on</strong>sent of the State. Notwithstanding the <str<strong>on</strong>g>for</str<strong>on</strong>g>egoing, theState shall have no proprietary interest in any materials licensed <str<strong>on</strong>g>for</str<strong>on</strong>g> use by the State that are subject to patent, trademark orcopyright protecti<strong>on</strong>.22. PUBLIC RECORDS. Pursuant to NRS 239.010, in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> or documents received from C<strong>on</strong>tractor may be open to publicinspecti<strong>on</strong> and copying. The State will have the duty to disclose unless a particular record is made c<strong>on</strong>fidential by law or acomm<strong>on</strong> law balancing of interests. CONFIDENTIALITY. C<strong>on</strong>tractor shall keep c<strong>on</strong>fidential all in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong>, in whatever <str<strong>on</strong>g>for</str<strong>on</strong>g>m, produced, prepared, observedor received by C<strong>on</strong>tractor to the extent that such in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> is c<strong>on</strong>fidential by law or otherwise required by this C<strong>on</strong>tract.24. FEDERAL FUNDING. In the event federal funds are used <str<strong>on</strong>g>for</str<strong>on</strong>g> payment of all or part of this C<strong>on</strong>tract:a. C<strong>on</strong>tractor certifies, by signing this C<strong>on</strong>tract, that neither it nor its principals are presently debarred, suspended, proposed<str<strong>on</strong>g>for</str<strong>on</strong>g> debarment, declared ineligible, or voluntarily excluded from participati<strong>on</strong> in this transacti<strong>on</strong> by any federal department oragency. This certificati<strong>on</strong> is made pursuant to the regulati<strong>on</strong>s implementing Executive Order 12549, Debarment andSuspensi<strong>on</strong>, 28 C.F.R. pt. 67, § 67.510, as published as pt. System Compliance. C<strong>on</strong>tractor warrants that any in<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> system applicati<strong>on</strong>(s) shall not experience abnormallyending and/or invalid and/or incorrect results from the applicati<strong>on</strong>(s) in the operating and testing of the business of the State.This warranty includes, without limitati<strong>on</strong>, century recogniti<strong>on</strong>, calculati<strong>on</strong>s that accommodate same century and multicentury<str<strong>on</strong>g>for</str<strong>on</strong>g>mulas and data values and date data interface values that reflect the century. Pursuant to NRS 41.0321, the State isimmune from liability due to any failure of any incorrect date being produced, calculated or generated by a computer or otherin<str<strong>on</strong>g>for</str<strong>on</strong>g>mati<strong>on</strong> system.27. PROPER AUTHORITY. The parties hereto represent and warrant that the pers<strong>on</strong> executing this C<strong>on</strong>tract <strong>on</strong> behalf of eachparty has full power and authority to enter into this C<strong>on</strong>tract. C<strong>on</strong>tractor acknowledges that as required by statute or regulati<strong>on</strong>this C<strong>on</strong>tract is effective <strong>on</strong>ly after approval by the State Board of Examiners and <strong>on</strong>ly <str<strong>on</strong>g>for</str<strong>on</strong>g> the period of time specified in theC<strong>on</strong>tract.
