These activities will be c<strong>on</strong>cluded <strong>in</strong> accordance with <strong>the</strong>ir respective nati<strong>on</strong>al laws andregulati<strong>on</strong>s <strong>of</strong> each Party, and will be subject to <strong>the</strong> availability <strong>of</strong> funds appropriated for <strong>the</strong>sepurposes .ARTICLE 6This <str<strong>on</strong>g>Agreement</str<strong>on</strong>g> will be without prejudice to <strong>the</strong> cooperati<strong>on</strong> <strong>of</strong> ei<strong>the</strong>r Party with o<strong>the</strong>r Statesand Internati<strong>on</strong>al Organizati<strong>on</strong>s.ARTICLE 7In <strong>the</strong> event questi<strong>on</strong>s arise regard<strong>in</strong>g implementati<strong>on</strong> <strong>of</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, <strong>the</strong> questi<strong>on</strong>s will beresolved by <strong>the</strong> Pr<strong>in</strong>cipal Implement<strong>in</strong>g Agencies <strong>in</strong> <strong>the</strong> Federative Republic <strong>of</strong> Brazil and UnitedStates and, if necessary, referred to <strong>the</strong> heads <strong>of</strong> <strong>the</strong> Pr<strong>in</strong>cipal Implement<strong>in</strong>g Agencies forresoluti<strong>on</strong>.ARTICLE 81. Subject to its laws and regulati<strong>on</strong>s, each Party:(a) will arrange for duty-free entry <strong>of</strong> equipment required for <strong>the</strong> implementati<strong>on</strong> <strong>of</strong> agreedcooperative programs;(b) will facilitate provisi<strong>on</strong> <strong>of</strong> <strong>the</strong> appropriate entry and residence documentati<strong>on</strong> for <strong>the</strong> o<strong>the</strong>rParty's nati<strong>on</strong>als who enter, exit, and reside with<strong>in</strong> its territory <strong>in</strong> order to carry out activitiesunder implement<strong>in</strong>g arrangements established under this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>; and(c) will facilitate <strong>the</strong> provisi<strong>on</strong> <strong>of</strong> aircraft over-flight clearances as necessary <strong>in</strong> order to carry outactivities under implement<strong>in</strong>g arrangements established under this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>.2. Such arrangements shall be fully reciprocal.ARTICLE 9Noth<strong>in</strong>g <strong>in</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g> will be c<strong>on</strong>strued as grant<strong>in</strong>g or imply<strong>in</strong>g any rights to, or <strong>in</strong>terest <strong>in</strong>,patents or <strong>in</strong>venti<strong>on</strong>s <strong>of</strong> <strong>the</strong> Parties, <strong>in</strong>stituti<strong>on</strong>s act<strong>in</strong>g <strong>on</strong> <strong>the</strong>ir behalf, or <strong>the</strong>ir c<strong>on</strong>tractors orsubc<strong>on</strong>tractors.ARTICLE 10The treatment <strong>of</strong> Intellectual Property created or furnished <strong>in</strong> <strong>the</strong> course <strong>of</strong> cooperativeactivities under this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g> is provided for <strong>in</strong> <strong>the</strong> Annex, which will form an <strong>in</strong>tegral part <strong>of</strong>this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, and will apply to all activities c<strong>on</strong>ducted under <strong>the</strong>ir auspices <strong>of</strong> this agreementunless agreed o<strong>the</strong>rwise by <strong>the</strong> Parties or <strong>the</strong>ir Pr<strong>in</strong>cipal Implement<strong>in</strong>g Agencies <strong>in</strong> writ<strong>in</strong>g.ARTICLE 113


A. This Annex is applicable to all cooperati<strong>on</strong> undertaken pursuant to this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, except aso<strong>the</strong>rwise specifically agreed by <strong>the</strong>ir Parties or <strong>the</strong>ir designees.B. For purposes <strong>of</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, "Intellectual Property" will have <strong>the</strong> mean<strong>in</strong>g found <strong>in</strong> Article2 <strong>of</strong> <strong>the</strong> c<strong>on</strong>venti<strong>on</strong> establish<strong>in</strong>g <strong>the</strong> World Intellectual Property Organizati<strong>on</strong>, d<strong>on</strong>e <strong>in</strong>Stockholm, July 14, 1967.C. This Annex addresses <strong>the</strong> allocati<strong>on</strong> <strong>of</strong> rights, <strong>in</strong>terests, and royalties between <strong>the</strong> Parties.Each Party will ensure that <strong>the</strong> o<strong>the</strong>r Party can obta<strong>in</strong> <strong>the</strong> rights to Intellectual Propertyallocated <strong>in</strong> accordance with this Annex, by obta<strong>in</strong><strong>in</strong>g those rights from its own participantsthrough c<strong>on</strong>tracts or o<strong>the</strong>r legal means, if necessary. This Annex does not o<strong>the</strong>rwise alter orprejudice <strong>the</strong> allocati<strong>on</strong> between a Party and its participants, which will be determ<strong>in</strong>ed by thatParty's laws and practices.D. Disputes c<strong>on</strong>cern<strong>in</strong>g Intellectual Property aris<strong>in</strong>g under this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g> should be resolvedthrough discussi<strong>on</strong>s between <strong>the</strong> c<strong>on</strong>cerned participat<strong>in</strong>g <strong>in</strong>stituti<strong>on</strong>s or, if necessary, <strong>the</strong>Parties or <strong>the</strong>ir designees. Up<strong>on</strong> mutual agreement <strong>of</strong> <strong>the</strong> Parties, a dispute will be submitted toan Arbitral Tribunal for b<strong>in</strong>d<strong>in</strong>g arbitrati<strong>on</strong> <strong>in</strong> accordance with <strong>the</strong> applicable rules <strong>of</strong><strong>in</strong>ternati<strong>on</strong>al law. Unless <strong>the</strong> Parties or <strong>the</strong>ir designees agree o<strong>the</strong>rwise <strong>in</strong> writ<strong>in</strong>g, <strong>the</strong>arbitrati<strong>on</strong> rules <strong>of</strong> Uncitral will govern.E. Term<strong>in</strong>ati<strong>on</strong> or expirati<strong>on</strong> <strong>of</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g> will not affect rights or obligati<strong>on</strong>s under thisAnnex.II. ALLOCATION OF RIGHTSA. The Parties, or <strong>the</strong>ir designated implement<strong>in</strong>g agencies, <strong>in</strong> accordance with Article I <strong>of</strong> this<str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, will be entitled to a n<strong>on</strong>exclusive, irrevocable, royalty-free license <strong>in</strong> all countries totranslate, reproduce, and publicly distribute scientific and technical journal articles, reports andbooks directly aris<strong>in</strong>g from cooperati<strong>on</strong> under this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>. All publicly distributed copies <strong>of</strong> acopyrighted work prepared under this provisi<strong>on</strong> will <strong>in</strong>dicate <strong>the</strong> names <strong>of</strong> <strong>the</strong> authors <strong>of</strong> <strong>the</strong>work unless an author explicitly decl<strong>in</strong>es to be named.B. Rights to all forms <strong>of</strong> Intellectual Property, o<strong>the</strong>r than those rights described <strong>in</strong> Secti<strong>on</strong> II(A)above, will be allocated as follows:1. Visit<strong>in</strong>g researchers and scientists visit<strong>in</strong>g primarily <strong>in</strong> fur<strong>the</strong>rance <strong>of</strong> <strong>the</strong>ir educati<strong>on</strong> willreceive Intellectual Property Rights under <strong>the</strong> policies <strong>of</strong> <strong>the</strong> host <strong>in</strong>stituti<strong>on</strong>. In additi<strong>on</strong>, eachvisit<strong>in</strong>g researcher or scientist named as an <strong>in</strong>ventor will be entitled to share <strong>in</strong> a porti<strong>on</strong> <strong>of</strong> anyroyalties earned by <strong>the</strong> host <strong>in</strong>stituti<strong>on</strong> from <strong>the</strong> licens<strong>in</strong>g <strong>of</strong> such Intellectual Property.2. (a) For Intellectual Property created dur<strong>in</strong>g jo<strong>in</strong>t research with participati<strong>on</strong> from <strong>the</strong> twoParties, for example, when <strong>the</strong> Parties, participat<strong>in</strong>g <strong>in</strong>stituti<strong>on</strong>s, or participat<strong>in</strong>g pers<strong>on</strong>nel,have agreed <strong>in</strong> advance <strong>on</strong> <strong>the</strong> scope <strong>of</strong> work, each Party will be entitled to obta<strong>in</strong> all rights and<strong>in</strong>terests <strong>in</strong> its own country. Rights and <strong>in</strong>terests <strong>in</strong> third countries will be determ<strong>in</strong>ed <strong>in</strong>implement<strong>in</strong>g arrangements c<strong>on</strong>cluded pursuant to Article 3 <strong>of</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>. If research isnot designated as "jo<strong>in</strong>t research" <strong>in</strong> <strong>the</strong> relevant implement<strong>in</strong>g arrangements c<strong>on</strong>cludedpursuant to Article 3 <strong>of</strong> this <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, rights to Intellectual Property aris<strong>in</strong>g from <strong>the</strong> research5


will be allocated <strong>in</strong> accordance with Secti<strong>on</strong> IIB I above. In additi<strong>on</strong>, each pers<strong>on</strong> named as an<strong>in</strong>ventor will be entitled to share <strong>in</strong> a porti<strong>on</strong> <strong>of</strong> any royalties earned by <strong>the</strong>ir <strong>in</strong>stituti<strong>on</strong> from <strong>the</strong>licens<strong>in</strong>g <strong>of</strong> <strong>the</strong> property.(b) Notwithstand<strong>in</strong>g Paragraph 2 (a) above, if a type <strong>of</strong> Intellectual Property is available under<strong>the</strong> laws <strong>of</strong> <strong>on</strong>e Party but not <strong>the</strong> o<strong>the</strong>r Party, <strong>the</strong> Party whose laws provide for this type <strong>of</strong>protecti<strong>on</strong> will be entitled to all rights and <strong>in</strong>terests <strong>in</strong> all countries which provide rights to suchIntellectual Property. Pers<strong>on</strong>s named as <strong>in</strong>ventors <strong>of</strong> <strong>the</strong> Property will n<strong>on</strong>e<strong>the</strong>less be entitled toroyalties as provided <strong>in</strong> Paragraph 2 (a) above.III. BUSINESS-CONFIDENTIAL INFORMATIONIn <strong>the</strong> event that <strong>in</strong>formati<strong>on</strong> identified <strong>in</strong> a timely fashi<strong>on</strong> as Bus<strong>in</strong>ess-C<strong>on</strong>fidential is furnishedor created under <strong>the</strong> <str<strong>on</strong>g>Agreement</str<strong>on</strong>g>, each Party and its participants will protect such <strong>in</strong>formati<strong>on</strong> <strong>in</strong>accordance with applicable laws, regulati<strong>on</strong>s, and adm<strong>in</strong>istrative practice. Informati<strong>on</strong> may beidentified as "Bus<strong>in</strong>ess-C<strong>on</strong>fidential" if a pers<strong>on</strong> hav<strong>in</strong>g <strong>in</strong>formati<strong>on</strong> may derive an ec<strong>on</strong>omicbenefit from it or may obta<strong>in</strong> a competitive advantage over those who do not have it, <strong>the</strong><strong>in</strong>formati<strong>on</strong> is not generally known or publicly available from o<strong>the</strong>r sources, and <strong>the</strong> owner hasnot previously made <strong>the</strong> <strong>in</strong>formati<strong>on</strong> available without impos<strong>in</strong>g <strong>in</strong> a timely manner anobligati<strong>on</strong> to keep it c<strong>on</strong>fidential.6
