He was bornin Oporto, Portugal on December 13th, 1954. Heholds a degree in Civil Engineering from Faculdadede Engenharia do Porto (1976) and a MBA fromEscola de Gestão do Porto (1989). He also hascomplementary Executive degrees from INSEAD(Fontainbleau, France – 1995), PADE from AESE(Lisbon, 2000) and the Advanced ManagementProgram from Wharton School (Philadelphia,USA – 2003). He was a Teacher’s Assistant atthe Instituto Superior de Engenharia do Portobetween 1976 and 1989. In 1981 he joined theHydro Generation department at EDP. In 1989 hemoved to the financial sector, where he becameGeneral Director at the Millennium BCP Bank,and Executive Board Member of BCP’s Insurance,Pensions and Assets Management companies.Between 1999 and 2002 he was Executive Directorof Eureko BV (The Netherlands), President ofEureko Polska (Poland) and Vice-President ofPZU (the largest insurance company in Poland).In 2003 he was the President of the PortugueseAssociation of Investment Funds (APFIN). Hewas the CEO and Vice-Chairman of the Board ofDirectors of EDP – Energias do Brasil between2003 and 2007, and Chairman of the Board ofDirectors of its subsidiaries. During this period,he also held positions as Vice-President of thePortuguese Chamber of Commerce in Braziland President of the Brazilian Association ofElectricity Distribution companies. In 2005 hewas awarded the prize of Executive of the Yearby the publication Valor Económico. Since 2006he has been a Member of the Executive Board ofEDP. In 2007, he assumed functions as Chairmanand CEO of Horizon Wind Energy in the USA,being also a Member of the Executive Board ofEDP Renováveis, from 2008 until 2011. In 2009,he was appointed CEO of EDP Internacional andof EDP Soluções Comerciais, while maintainingresponsibilities for EDP Distribuição at EDP’sExecutive Board level.He is a Founding Member ofthe Portuguese Institute for Corporate Governance.He was appointed on 30th March 2006 as memberof the Executive Board of Directors, which officebegan on 30th June 2006, and reappointed on 15thApril 2009 and 20th February 2012.João Manuel Veríssimo Marques da Cruz. Hewas born on 23rd May 1961. He holds a degreein Management (1984) from Lisbon’s ISE at theTechnical University of Lisbon - Instituto Superiorde Economia da Universidade Técnica de Lisboa,an MBA (1989) from the Technical Universityof Lisbon - Universidade Técnica de Lisboa anda Post Graduation in Marketing and Managementof Airlines (1992) from the Bath University /International Air Travel Association, UK. He beganhis career at the TAP Group in 1984 (TransportesAéreos de Portugal) having had several positionsuntil becoming General Director. Between 1997and 1999 he was a Board Member of TAPGER.Between 2000 and 2002, he was a memberof the Board of several companies within CP –Portuguese Railways, namely EMEF. From 2002and 2005, became CEO of AirLuxor, an airlinecompany, and from 2005 and 2007 he waschairman and CEO of ICEP - Instituto do ComércioExterno de Portugal, a Portuguese state ownedagency for international trade and promotion.Since March 2007, he is a board member of EDPInternacional S.A. and in 2009 he was nominatedChairman of the Board of Directors of CEM –Macao Electrical Company. He was appointedas member of the Executive Board of Directorson 20th February 2012.Miguel Stilwell de Andrade. He was born on6th August 1976. He concluded an M.Eng withDistinction in Mechanical Engineering in theUniversity of Strathclyde (Glasgow, Scotland)and has an MBA by MIT Sloan (Boston, USA).He initiated his career in UBS Investment BankEDP - Annual Report 2012in London, UK, where he worked primarily in M&Aand participated in various projects in Europe,including Portugal, as well as in Japan, Thailandand Brazil. He lived in Scotland, Italy, England,Portugal and USA between 1994 and 2003. In2000, he entered EDP where he held severalroles within the Group. Between 2005 and 2009he was Head of the Corporate Development/ M&A team for the EDP Group. During thisperiod, he coordinated and managed variousM&A and capital market transactions for EDP.Key transactions in which he participated orcoordinated include the acquisition of many of thecompanies that gave rise to EDP Renewables; theacquisition of Hidrocantábrico; the share capitalincrease in 2004; the different phases of EDP´sprivatization; the divestment of many of EDP´snon-core assets; the EDP Energias do Brazil IPOin 2005; and the EDP Renewables IPO in 2008.Between 2009 and 2011, he was also Chairmanof InovGrid ACE. He was appointed as memberof the Executive Board of Directors on 20thFebruary 2012.Ana Maria Machado Fernandes. She was born on1st November 1962. She graduated in Economicsfrom the Faculty of Economics at Oporto (1986).She received a postgraduate degree in Financefrom the Faculty of Economics of Universidadedo Porto and an MBA from the Escola de Gestãodo Porto (1989). She lectured at the Faculty ofEconomics of Universidade do Porto from 1989until 1991. She began her professional career in1986 at Conselho – Gestão e Investimentos,a company of the Banco Português do AtlânticoGroup, in the capital markets, investments andbusiness restructuring field. In 1989 she beganworking at Efisa, Sociedade de Investimentos,in the area of corporate finance, and was latermade a director of Banco Efisa. In 1992 shejoined the Grupo Banco de Fomento e Exterioras director in the area of investment banking andwas Head “Corporate Finance” at BPI between1996 and 1998. In 1998 she joined Gás de Portugalas Director of Strategic Planning and M&Aand, in 2000, became Director of Strategy andPortfolio Management of Galp Business. She laterbecame President of Galp Power and Director ofTransgás. From 2004 until 2006 she was directorof the Board of Galp Energia. She was appointedon 30th March 2006 as member of the ExecutiveBoard of Directors, which office began on 30thJune 2006, and reappointed on 15th April 2009,ending the term of office on 20th February 2012.Jorge Manuel Pragana da Cruz Morais. He wasborn on October 17th, 1957. He was awardeda degree in Electrotechnical Engineering fromInstituto Superior Técnico in 1980 and an MBAfrom Universidade Nova de Lisboa in 1989. Hebegan his career at EDP, in 1983, in transportnetwork planning. From 1991 to 1994 he servedas Adviser to the EDP Board of Directors,coordinating the restructuring process thatculminated in the creation of the EDP Group in1994. He was appointed Director of StrategicPlanning and was responsible for coordinatingthe Group’s privatisation (first and second phasesof the IPO process). He was also a non-executivemember of the Turbogás Board of Directors(1998-2000), non-executive member of the Boardof Electricidade dos Açores (1999-2000) andDirector of the Centro para a Conservação deEnergia (1993-1996). From 2000 to 2004, he wasthe Executive Director of Oni SGPS and otherOni Group companies, acting as CFO from 2002to 2004. From 2005 until March 2006 he servedas Executive Director, fulfilling the roles of CFOof HC Energía and Naturgas Energia, the Spanishcompanies of EDP Group. Currently he is theChairman of APE – Associação Portuguesa deEnergia. He was appointed on 30th March 2006as member of the Executive Board of Directors,which office began on 30th June 2006, andreappointed on 15th April 2009, ending the termof office on 20th February 2012.277
